namely PT Abhimata Citra Abadi (“ACA”).

Description of Material Information or Facts tertanggal 20 Agustus 2026, yang dibuat di
hadapan Stephanie Wilamarta, S.H., Notaris di
Jakarta, Perseroan telah menjual, mengalihkan,
dan menyerahkan saham yang dimilikinya
sejumlah 100.090 saham dengan nilai nominal
Rp10.009.000.000,- pada ACA kepada Yuslinda
Nasution, yang mewakili 99,99% dari seluruh
modal ditempatkan dan disetor ACA
("Penjualan Saham"). Sejak efektifnya
Penjualan Saham tersebut, pengendalian
langsung atas ACA beralih kepada Yuslinda
Nasution. /
Pursuant to the Deed of Sale and Purchase of
Shares No. 61 dated 20 August 2026, made before
Stephanie Wilamarta, S.H., Notary in Jakarta,
the Company has sold, transferred and delivered
shares that it owned in the amount 100,090
shares with nominal value Rp10,009,000,000 in
ACA to Yuslinda Nasution, representing 99.99%
of the issued and paid-up capital of ACA (“Sale
of Shares”). Upon the Sale of Shares becoming
effective, the direct control over ACA was
transferred to Yuslinda Nasution.
4. Dampak kejadian, informasi atau fakta Penjualan Saham ini merupakan bagian dari
material tersebut terhadap kegiatan strategi Perseroan untuk mengoptimalkan
operasional, hukum, kondisi keuangan, atau struktur investasi dan pengelolaan portofolio
kelangsungan usaha Emiten atau Perusahaan usahanya. Penjualan Saham tidak menimbulkan
Publik. / dampak material yang merugikan terhadap
Impact of the incident, material information kegiatan operasional, kondisi hukum, kondisi
or facts on the operational activities, legal, keuangan, maupun kelangsungan usaha
financial condition, or business continuity of Perseroan. Setelah penyelesaian Penjualan
the Issuers or Public Companies. Saham, ACA tidak lagi menjadi entitas yang
dikendalikan oleh Perseroan dan karenanya,
laporan keuangan ACA tidak lagi dikonsolidasikan
ke dalam laporan keuangan Perseroan. /
The Sale of Shares forms part of the Company's
strategy to optimize its investment structure and
business portfolio management. The Sale of
Shares does not have any material adverse
impact on the Company's operational activities,
legal condition, financial condition or business
continuity. Following the completion of the Sale
of Shares, ACA will no longer be an entity
controlled by the Company and, accordingly,
ACA’s financial statements will no longer be
consolidated into the Company's financial
statements.
