Jenis Informasi atau Fakta Material Pengajuan Permohonan Persetujuan (Consent Solicitation)
dan Penawaran Tender Tunai atas Surat Utang 2026
Uraian Informasi atau Fakta Material Sehubungan dengan surat utang yang diterbitkan oleh
Perseroan dengan jumlah USD400.000.000 (empat ratus juta
Dolar Amerika Serikat) dengan suku bunga sebesar 7.75% per
tahun yang akan jatuh tempo di tahun 2026 (Surat Utang
2026), Perseroan bermaksud melakukan:
pengajuan permohonan persetujuan (consent solicitation)
untuk mengubah indenture sehubungan dengan Surat Utang
2026 (Consent Solicitation); dan
penawaran tender secara tunai untuk membeli kembali suatu
jumlah tertentu atau seluruhnya yang masih terutang atas
Surat Utang 2026 sebagaimana dirinci dalam Memorandum
Penawaran untuk Pembelian dan Consent Solicitation (Tender
Offer).
Sehubungan dengan pengajuan Consent Solicitation dan
Tender Offer, Perseroan telah menandatangani antara lain
Dealer Manager Agreement tanggal 5 Maret 2024 oleh dan
antara Perseroan, BUMA Australia Pty Ltd, dan BNI Securities
Pte. Ltd., Deutsche Bank AG, Singapore Branch sebagai
dealer managers.
Dampak kejadian, informasi atau fakta Consent Solicitation dan Tender Offer bukan merupakan
material tersebut terhadap kegiatan penawaran umum sebagaimana dimaksud dalam Undang-
operasional, hukum, kondisi keuangan, Undang No. 8 Tahun 1995 tentang Pasar Modal sebagaimana
atau kelangsungan usaha Emiten atau diubah dari waktu ke waktu atau pun penawaran sebagaimana
Perusahaan Publik dimaksud dalam Peraturan OJK No. 30/POJK.04/2019 tentang
Penerbitan Efek Bersifat Utang dan/atau Sukuk yang
Dilakukan Tanpa Melalui Penawaran Umum.
Apabila Consent Solicitation disetujui oleh pemegang Surat
Utang 2026, maka perubahan-perubahan tersebut akan
memberikan fleksibilitas lebih bagi Perseroan.

Consent Solicitation and Tender Offer of 2026 Notes
Type of Material Information or Facts
Description of Material Information or In relation to the notes issued by the Company in the amount
Facts of USD400,000,000 (four hundred million United States
Dollars) with an interest rate of 7,75% per annum which will
mature in 2026 (2026 Notes), the Company intends to carry
out:
a submission of consent solicitation to amend the indenture in
relation to the 2026 Notes (Consent Solicitation) and
a tender offer to purchase for cash any and all of the
outstanding amount of the 2026 Notes as specified in the Offer
to Purchase and Consent Solicitation Memorandum (Tender
Offer).
In relation to the submission of Consent Solicitation and
Tender Offer, the Company has executed, among others,
Dealer Manager Agreement dated 5 March 2024 by and
between the Company, BUMA Australia Pty Ltd, BNI Securities
Pte. Ltd. as well as Deutsche Bank AG, Singapore Branch as
dealer managers
Impact of event, material information or Consent Solicitation and Tender Offer is not a public offering
facts towards Issuers or Public as referred under Law No. 8 of 1995 concerning Capital
Company’s operational activities, legal, Market as amended from time to time or offering as referred
financial condition, or going concern under OJK Regulation No. 30/POJK.04/2019 regarding the
Issuance of Debt Securities and/or Sukuk Without Public
Offering.
If the Consent Solicitation is approved by the 2026 Notes
holders, the pertaining amendments will provide more flexibility
for the Company.
