Jenis Informasi atau Fakta Material Penandatangan Surat Perubahan Fasilitas antara Protelindo,
Iforte dan SUPR dengan MUFG Bank, Ltd., Cabang Jakarta
Uraian Informasi atau Fakta Material Pada tanggal 29 Desember 2023, MUFG sebagai pemberi
pinjaman, Protelindo, Iforte dan SUPR sebagai para peminjam
telah menandatangani Surat Perubahan Fasilitas atas
Perjanjian Fasilitas yang terakhir diubah pada tanggal 4
Oktober 2023
Berikut adalah syarat dan ketentuan penting dalam Perjanjian
Fasilitas:
(a) Perpanjangan tanggal jatuh tempo akhir sampai dengan 31
Desember 2024
(b) Berdasarkan Perjanjian Fasilitas, Protelindo, Iforte dan
SUPR bertanggung jawab secara tanggung renteng terhadap
pelaksanaan seluruh kewajiban berdasarkan Perjanjian
Fasilitas
1. Perjanjian Fasilitas tersebut di atas merupakan transaksi
afiliasi sebagaimana dimaksud dalam: (i) Pasal 6 ayat (1) huruf
b angka 2 Peraturan OJK No. 42 Tahun 2020 (POJK 42), yaitu
transaksi sesama Perusahaan Terkendali yang sahamnya
dimiliki paling sedikit 99% (sembilan puluh sembilan persen)
oleh Perusahaan Terbuka; dan (ii) Pasal 6 ayat (1) huruf (e)
POJK 42, yaitu transaksi pemberian jaminan kepada bank
atas pinjaman yang diterima secara langsung oleh
Perusahaan Terbuka atau Perusahaan Terkendali
2. Transaksi tersebut di atas bukan merupakan transaksi
benturan kepentingan bagi Perseroan sebagaimana diatur
dalam POJK 42 dan bukan transaksi material sebagaimana
dimaksud dalam Peraturan OJK No.17/POJK.04/2020 tentang
Transaksi Material dan Perubahan Kegiatan Usaha

Dampak kejadian, informasi atau fakta Pelaksanaan atas transaksi tersebut tidak memiliki dampak
material tersebut terhadap kegiatan material terhadap kegiatan operasional, hukum, kondisi
operasional, hukum, kondisi keuangan, keuangan, atau kelangsungan usaha Perseroan
atau kelangsungan usaha Emiten atau
Perusahaan Publik

Signing of the Amendment Facility Letter between Protelindo,
Type of Material Information or Facts Iforte and SUPR with MUFG Bank, Ltd., Jakarta Branch
Description of Material Information or on December 29, 2023, MUFG as the lender, Protelindo, Iforte
Facts and SUPR as the borrowers have signed the Amendment
Facility Letter to the Facility Agreement which was last
amended on October 4, 2023 (Facility Agreement).
The following are key terms and conditions under the Facility
Agreement:
(a) Extension of the final maturity date to December 31, 2024;
(b) According to the Facility Agreement, Protelindo, Iforte and
SUPR, are jointly liable for their obligations under the Facility
Agreement.
1. Facility Agreement is an affiliated transaction as referred to
(i) in Clause 6 section (1) letter b point (2) of OJK Regulation
No. 42 of 2022 (OJK Rule 42), i.e. a transaction between the
subsidiaries whose at least 99% of their shares are owned by
the Public Company; and (ii) Clause 6 section (1) letter (e)
OJK Rule 42, i.e. security provided to a bank in relation to the
loan agreement granted to the Public Company or
Subsidiaries.
2. The Transaction is not a conflict of interest transaction of the
Company as referred to in OJK Rule 42 and is not a material
transaction as referred to in the OJK Regulation No.
17/POJK.04/2020 on Material Transactions and Change of
Business Activities.
