anak perusahaan yang 99,99% sahamnya dimiliki
Protelindo/ PT Iforte Solusi Infotek (“Iforte”), a
company whose 99.99% shares are directly owned by
the Protelindo;
3. PT Solusi Tunas Pratama Tbk (“SUPR”) yang
merupakan anak perusahaan yang 99,96% sahamnya
dimiliki Protelindo/ PT Solusi Tunas Pratama Tbk
(“SUPR”), a company whose 99.96% shares are
directly owned by the Protelindo; dan/and
4. MUFG Bank, Ltd., Cabang Jakarta (“MUFG”), yang
merupakan lembaga perbankan/ MUFG Bank, Ltd.,
Cabang Jakarta (“MUFG”) a banking institution.
3. Jenis Transaksi atau Fakta Pada tanggal 29 Desember 2023, MUFG sebagai pemberi
Material / Type of Material pinjaman, Protelindo, Iforte dan SUPR sebagai para
Information or Facts peminjam telah menandatangani Surat Perubahan
Fasilitas atas Perjanjian Fasilitas yang terakhir diubah
pada tanggal 4 Oktober 2023 (“Perjanjian Fasilitas”) / on
Desember 29, 2023, MUFG as the lender, Protelindo,
Iforte and SUPR as the borrowers have signed the
Amendment Facility Letter to the Facility Agreement which
was last amended on October 4, 2023 (“Facility
Agreement”).
4. Uraian Informasi atau Fakta Berikut adalah syarat dan ketentuan penting dalam
Material / Description of Material Perjanjian Fasilitas/ The following are key terms and
Information or Facts conditions under the Facility Agreement:
(a) Perpanjangan tanggal jatuh tempo akhir sampai
dengan 31 Desember 2024/Extension of the final
maturity date to December 31, 2024;
(b) Berdasarkan Perjanjian Fasilitas, Protelindo, Iforte
dan SUPR bertanggung jawab secara tanggung
renteng terhadap pelaksanaan seluruh kewajiban
berdasarkan Perjanjian Fasilitas/According to the
Facility Agreement, Protelindo, Iforte and SUPR,
are jointly liable for their obligations under the
Facility Agreement.
5. Dampak kejadian, informasi atau Pelaksanaan atas transaksi tersebut tidak memiliki
fakta material tersebut terhadap dampak material terhadap kegiatan operasional, hukum,
kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Perseroan /

6. Keterangan lain-lain/ Other 1. Perjanjian Fasilitas tersebut di atas merupakan
information transaksi afiliasi sebagaimana dimaksud dalam: (i)
Pasal 6 ayat (1) huruf b angka 2 Peraturan OJK No.
42 Tahun 2020 (“POJK 42”), yaitu transaksi sesama
Perusahaan Terkendali yang sahamnya dimiliki paling
sedikit 99% (sembilan puluh sembilan persen) oleh
Perusahaan Terbuka; dan (ii) Pasal 6 ayat (1) huruf (e)
POJK 42, yaitu transaksi pemberian jaminan kepada
bank atas pinjaman yang diterima secara langsung
oleh Perusahaan Terbuka atau Perusahaan
Terkendali / Facility Agreement is an affiliated
transaction as referred to (i) in Clause 6 section (1)
letter b point (2) of OJK Regulation No. 42 of 2022
(“OJK Rule 42”), i.e. a transaction between the
subsidiaries whose at least 99% of their shares are
owned by the Public Company; and (ii) Clause 6
section (1) letter (e) OJK Rule 42, i.e. security provided
to a bank in relation to the loan agreement granted to
the Public Company or Subsidiaries.
2. Transaksi tersebut di atas bukan merupakan transaksi
benturan kepentingan bagi Perseroan sebagaimana
diatur dalam POJK 42 dan bukan transaksi material
sebagaimana dimaksud dalam Peraturan OJK
No.17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha / The Transaction is not a
conflict of interest transaction of the Company as
referred to in OJK Rule 42 and is not a material
transaction as referred to in the OJK Regulation No.
17/POJK.04/2020 on Material Transactions and
Change of Business Activities.
