3. Uraian Informasi atau Fakta Material / Pada tanggal 27 Desember 2023, telah

Persen) dari seluruh modal ditempatkan dan
disetor pada SMA.
On 27th December 2023, the First Addendum to
the Conditional New Share Purchase
Agreement was signed between the Company
and SMA (“Addendum”) in relation to the
Company’s plan to purchase SMA’s new shares
amounting to a maximum of 50% (fifty percent)
of all issued and paid-up capital in SMA.
Dalam Addendum, terdapat perubahan sebagai
berikut:
1) Perubahan periode kondisi prasyarat yang
sebelumnya 108 (seratus delapan) hari
kalender setelah tanggal perjanjian menjadi
290 (dua ratus sembilan puluh) hari
kalender setelah tanggal perjanjian.
2) Perubahan tanggal penyelesaian yang
sebelumnya paling lambat pada tanggal 29
Desember 2023 menjadi 28 Juni 2024.
3) Perubahan referensi laporan keuangan
SMA yang sebelumnya laporan keuangan
per 30 Juni 2023 menjadi laporan keuangan
SMA per 31 Desember 2023 yang menjadi
acuan definisi akun dan juga salah satu
kondisi prasyarat dimana SMA perlu

menyerahkan kepada Perseroan laporan
keuangan SMA per 31 Desember 2023
yang telah diaudit akuntan publik.
In the Addendum, there are changes as follows:
1) Change of the prerequisite condition
period from previously 108 (one hundred
and eight) calendar days after the date of
the agreement to 290 (two hundred and
ninety) calendar days after the date of the
agreement.
2) Change of completion date from previously
no later than 27 December 2023 to 28 June
2024.
3) Change of reference to the SMA’s financial
report from previously the financial report
as of 30 June 2023 to SMA’s financial
report as of 31 December 2023 which is the
reference for account definition and also
one of the prerequisite conditions where
SMA needs to submit to the Company its
financial report as of 31 December 2023
which has been audited by public
accountant.
