                                             Selanjutnya, Rencana Transaksi tersebut dikategorikan
                                             sebagai transaksi afiliasi sesuai dengan POJK
                                             42/POJK.04/2020 tentang Transaksi Afiliasi dan Benturan
                                             Kepentingan (POJK 42/2020). Atas hal tersebut, Perseroan
                                             akan memenuhi kewajiban-kewajiban sebagaimana
                                             dinyatakan dalam POJK 42/2020 sehubungan dengan
                                             transaksi afiliasi.

                                             Kemudian, Rencana Transaksi tidak memerlukan persetujuan
                                             rapat umum pemegang saham independen Perseroan,
                                             disebabkan nilai transaksi tidak melewati batas material yang
                                             wajib mendapatkan persetujuan rapat umum pemegang
                                             saham Perseroan dan tidak mengakibatkan terganggunya
                                             kelangsungan usaha Perseroan.

                                             Selanjutnya, Rencana Transaksi bukan merupakan benturan
                                             kepentingan sebagiamana didefinisikan dan diatur dalam
                                             POJK 42/2020 disebabkan tidak terdapat perbedaan antara
                                             kepentingan ekonomis Perseroan dengan kepentingan

 Type of Material Information or Facts        Eduka Tbk (Company)

 Description of Material Information or       On 18 December 2023, the Addendum was signed in relation
 Facts                                        to the Company's plan to purchase shares owned by the Seller
                                              in the amount of 3,499 (three thousand four hundred and
                                              ninety nine) shares in SKN, which represents 99.97% (ninety
                                              nine point nine seven percent) issued and paid-up capital in
                                              SKN (Transaction Plan).

                                              In the Addendum, there is a change in relation to the purchase
                                              price which previously amounted to Rp2,250,000,000 (two
                                              billion two hundred and fifty million Rupiah) to
                                              Rp2,175,000,000 (two billion one hundred and seventy five
                                              million Rupiah).
 Impact of event, material information or     This addendum resulted in the reduction of pruchase price,
 facts towards Issuers or Public              however there is no negative impact on the Company's

                                              Furthermore, the Transaction Plan is categorized as an affiliate
                                              transaction in accordance with POJK 42/POJK.04/2020

                                              (POJK 42/2020). Due to this, the Company will fulfill its
                                              obligations as stated in POJK 42/2020 in connection with
                                              affiliate transactions.

                                              Then, the Transaction Plan does not require approval from the
                                              Company's independent general meeting of shareholders,
                                              because the transaction value does not exceed the material
                                              threshold that requires approval from the Company's general
                                              meeting of shareholders and does not result in disruption of
                                              the Company's business continuity.

                                              Furthermore, the Transaction Plan does not constitute a
                                              conflict of interest as defined and regulated in POJK 42/2020
                                              because there is no difference between the Company's
                                              economic interests and the Seller's economic interests which
                                              could be detrimental to the Company.
