The Seller collectively are currently the controlling — shareholders of the Company, Imanuel Herman Prawiromaruto serves as President Director of the Company and SKN, Suzanna Rosa Prawiromaruto serves as President Commissioner — of the Companyand CommissionerofSKN, and Swandriyani Hudianto serves as President Commissioner of SKN, so that the transaction plan in the Addendum are categorized as affiliate transactions. 3. | Uraian Informasi atau Fakta | Pada tanggal 18 Desember 2023, telah Material / Description of dilakukan penandatangan Addendum material information or fact | sehubungan dengan rencana Perseroan untuk membeli saham milik Penjual sejumlah 3.499 (tiga ribu empat ratus sembilan puluh sembilan) saham pada SKN, yang merupakan 99,974 (sembilan puluh sembilan koma sembilan tujuh persen) modal ditempatkan dan disetor pada SKN (“Rencana Transaksi"). On 18 December 2023, the Addendum was signed in relation to the Companys plan to purchase shares owned by the Seller in the amount of 3499 (three thousand four hundred and ninety nine) shares in SKN, which represents 999795 (ninety nine point nine seven percent) 3 O (162) 31 870 9595 X corporate.secretaryamsie.co.id 8 www.msie.co.id

Dalam Addendum, terdapat perubahan sehubungan dengan harga pembelian yang sebelumnya sejumlah Rp2.250.000.000 (dua miliar dua ratus llma puluh juta Rupiah) menjadi Rp2.175.000.000 (dua miliar seratus tujuh puluh lima juta Rupiah). In the Addendum, there is a change in relation to the purchase price which previouslyamounted to Rp2,250,000,000 (two billion two hundred and fifty million Rupiah) to Rp2175,000,000 (two billion one hundred and seventy five million Rupiah). Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik / The impact of such events, information, or material facts on the operational activities, legal, and financial conditions, or business continuity of the Issuer or Public Company Addendum ini berdampak pada penurunan harga beli, namun tidak terdapat dampak negatif terhadap kegiatan operasional, hukum, kondisi keuangan maupun kelangsungan usaha Perseroan. This addendum resulted in the reduction of pruchase price, however there is no negative impact on the Companys operational activities, legal, financial condition or business continuity. Selanjutnya, Rencana Transaksi tersebut dikategorikan sebagai transaksi afiliasi sesuai dengan POJK 42/POJK.04/2020 tentang Transaksi Afiliasi dan Benturan Kepentingan (“POJK 42/2020"). dinyatakan dalam POJK 42/2020
sehubungan dengan transaksi afiliasi.
Furthermore, the Transaction Plan is
Categorized as an affiliate transaction in
accordance with POJK 42/POJK.04/2020
concerning Affiliate Transactions and
Conflicts of Interest ("POJK 42/2020”).
Due to this, the Company Will Fulfill its
obligations as stated in POJK 42/2020 in
connection with affiliate transactions.
Kemudian, Rencana Transaksi tidak
memerlukan persetujuan rapat UMUM
pemegang saham independen
Perseroan, disebabkan nilai transaksi
tidak melewati batas material yang wajib
mendapatkan persetujuan rapat umum
pemegang saham Perseroan dan tidak
mengakibatkan terganggunya
kelangsungan usaha Perseroan.
Then, the Transaction Plan does not
reguire approval from the Companys
independent general meeting of
shareholders, because the transaction
value does not exceed the material
threshold that reguires approval from
the Companys general meeting of
shareholders and does not result in
disruption of the Companys business
continuity.
Selanjutnya, Rencana Transaksi bukan
merupakan benturan kepentingan
sebagiamana didefinisikan dan diatur
dalam POJK 42/2020 disebabkan tidak
terdapat perbedaan antara kepentingan
ekonomis Perseroan dengan
