Material / Type of material information or fact Amendment to the Acguisition of a Material Contract. 3 Uraian Informasi atau Fakta | Perseroan dan Yayasan Intan Eduka (“YIE”) telah Material / Description of material menandatangani amendemen terhadap Akta information or fact No. 43 tanggal 18 Juli 2025 (“Amendemen") sehubungan dengan perjanjian sewa menyewa lahan untuk kepentingan bangun guna serah (build-operate-transfer) (“Perjanjian”). Bahwa Amendemen tersebut dilaksanakan dengan mempertimbangkan prinsip kehati- hatian dari para pihak berupa koreksi bisnis atas nilai sewa yang dilandasi oleh further due diligence atau uji tuntas kelanjutan. Berdasarkan Amendemen tersebut, para pihak menyepakati perubahan nilai kompensasi sewa lahan berdasarkan Perjanjian dari semula sebesar Rp86.965.140.000,- (delapan puluh enam miliar sembilan ratus enam puluh lima juta seratus empat puluh ribu Rupiah) menjadi sebesar Rp19.325.063.776,- (sembilan belas miliar tiga ratus dua puluh lima juta enam puluh tiga ribu tujuh ratus tujuh puluh enam Rupiah). Rungkut, Kota SBY, Jawa Timur 60298 Perubahan tersebut berdasarkan hasil evaluasi lebih lanjut terhadap aspek komersial dan operasional bersama dengan mempertimbangkan kebutuhan aktual proyek dan optimalisasi struktur implementasi, tanpa mengubah jangka waktu maupun hak dan kewajiban utama dalam Perjanjian. Nilai awal Perjanjian disusun berdasarkan estimasi rencana pengembangan pada saat penandatanganan, yang dalam tahap pendalaman teknis selanjutnya disesuaikan agar selaras dengan kondisi proyek aktual. Seluruh ketentuan material lainnya dalam Perjanjian tetap berlaku dan mengikat para pihak. The Company and Yayasan Intan Eduka (“YIE') have signed an amendment to Deed No. 43 dated 18 July 2025 (the “Amendment') in relation to the land lease agreement for the purpose ofa build-operate-transfer (the “Agreement"). That the Amendment was implemented by taking into account the prudential principle from the parties in the form of business corrections to the lease value based on further due diligence or ongoing due diligence. Pursuant to the Amendment, the parties agreed to amend the land lease compensation value under the Agreement from originally IDR 86,965,140,000 feighty-six billion nine hundred sixty-five million one hundred forty thousand Rupiah) to IDR 19325,063,776 (nineteen billion three hundred twenty-five million sixty-three thousand seven hundred seventy-six Rupiah). The initial value under the Agreement was determined based on development plan estimates at the time of execution and was subseguentiy adjusted following further technical assessments to align with prevailing project conditions. All other material provisions of the Agreement remain valid and binding upon the parties. Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, atau kelangsungan usaha Emiten atau Perusahaan Publik/ The impactof such events, information, or material facts on the operational activities, legal, and financial conditions, or business continuity of the Issuer or Public Company Penandatanganan Amendemen tidak disebabkan oleh wanprestasi salah satu pihak dan tidak menimbulkan sengketa hukum. Perubahan nilai kontrak tersebut tidak mengubah hak dan kewajiban utama para pihak serta tidak berdampak material terhadap kondisi keuangan maupun kelangsungan usaha Perseroan. Kerja sama ini tetap memberikan kontribusi positif — terhadap pendapatan Perseroan sesuai dengan model bisnis Perseroan di bidang penyewaan rea/ estate Bahwa Amandemen ini bukan sebagai transaksi yang tunduk pada POJK 17/POJK.04/2020 tentang Transaksi Material dikarenakan transaksi tersebut merupakan kegiatan usaha yang dijalankan dalam rangka menghasilkan pendapatan usaha dan dijalankan secara rutin berulang dan berkelanjutan. The execution of the Amendment was not due to any default by either party and does not give rise to any legal dispute. The cooperation continues to provide a positive contribution to the Companys revenue In line with the Company business model in in the field of real estate leasing. The Amendment does not constitute a transaction subject to POJK No. 17/POJK.04/2020 regarding Material Transactions as the transaction represents the Company ordinary course of business activities intended to generate operating revenue and is conducted on a routine, recurring, and continuous basis. 5. | Keterangan lain-lain / Other information Perseroan memastikan bahwa penandatanganan Amendemen telah dilakukan dengan memperhatikan prinsip kehati-hatian, tata kelola perusahaan yang baik, peraturan terkait dengan Transaksi Material, Transaksi Afiliasi dan Benturan Kepentingan serta kepentingan terbaik Perseroan dan para pemegang saham.
