    KUB bank bjb is getting stronger, Bank Jambi becomes the 4th BPD in the Process to Become
                                Additional Member of bank bjb KUB



SURABAYA – The Bank Business Group (KUB) of bank bjb has once again welcomed additional
prospective KUB members. Most recently, Bank Jambi became the 4th Regional Development Bank (BPD) in
the process of establishing a KUB synergy commitment with bank bjb, following Bank Bengkulu, Bank
Sultra and Bank Maluku Malut.

Initiating the commitment of KUB synergy including the capital injection plan, bank bjb and Bank Jambi
signed a Memorandum of Understanding (MoU) and Non-Disclosure Agreement (NDA) on January 30,
2023 at Surabaya. This signing was part of the Focus Discussion Group (FGD) BPD Minimum Core Capital
(MIM) Fulfillment and Regional Banking Consolidation event held by the Financial Services Authority (OJK)
by inviting several BPD prospective holding companies and BPDs that still have core capital below Rp 3
trillion, held at JW Marriot Hotel Surabaya. The signing was conducted by President Director of bank bjb
Yuddy Renaldi and Acting President Director of Bank Jambi Khairul Suhairi and present to witness was the
Executive Head of Banking Supervision concurrently serving as a Commissioner of the Financial Services
Authority (OJK), Dian Ediana Rae, President Commissioner of bank bjb Farid Rahman, Financial Director of
bank bjb Nia Kania and President Commissioner of Bank Jambi Emilia along with their respective teams.
This collaboration marks an important milestone in the history of both banks.

Following the signing of the MoU and NDA, the next steps involve the due diligence and share valuation
processes before the capital injection. Subsequently, bank bjb will become one of the Controlling
Shareholders of Bank Jambi together with the Provincial Government of Jambi. For the commitment of
capital injection value, it is currently still under discussion, but the value will not be too large because the
Provincial Government of Jambi will remain the largest shareholder. The projected value of bank bjb’s
capital injection will be adjusted to meet the control requirements set by OJK regulations, enabling Bank
Jambi to gain approval to effectively become a member of the KUB of bank bjb and a subsidiary of bank
bjb.

As is known, based on POJK 12/2020 concerning Commercial Bank Consolidation, BPDs are required to
increase their minimum core capital to at least Rp 3 trillion by December 31, 2024. Alternatively, they must
have at least Rp 1 trillion if they effectively join the KUB, which if it cannot be fulfilled, the BPD is required
to adjust its business form to become a Rural Bank (BPR). Therefore, BPDs with core capital below Rp 3
trillion are racing against time, with approximately 13 months left to fulfill this obligation.

Being the largest BPD and one of the systemic banks in Indonesia, bank bjb has been appointed by OJK to
be one of the anchor banks to become the KUB Parent for BPD. With the similarity of ecosystem, bank bjb
brings its extensive experience and profound understanding gained during its transformation from a
conventional BPD business model to a more advanced one in line with recent developments. This
knowledge can be shared with all KUB members through synergy and collaboration, enhancing
competitiveness for improved public services and fostering regional economic development, particularly
in empowering micro, small, and medium-sized enterprises (MSMEs) and financing sustainable
infrastructure development projects.

In addition, this KUB initiative is part of a sustainable effort to strengthen the position of BPDs as a banking
group in the national banking industry. With total assets of all BPDs in Indonesia as of September 2023
amounting to IDR 945.7 trillion, a solid BPD can be one of the main forces in driving national economic

growth, alongside other large banks. On this occasion, Bank Jatim also signed a memorandum of
understanding within the framework of KUB with Bank Lampung.

Bank Jambi itself is one of the BPDs that has commendable performance. As of September 30, 2023, its
Total Assets amount to Rp 12.4 trillion, with Total Loans reaching Rp 8.5 trillion and an NPL of 1.85%. The
Return on Equity (ROE) is recorded at 17.67%, reflecting a very good level of profitability. Additionally,
Bank Jambi is also one of the BPDs with a Sharia Business Unit (UUS) that performs well, boasting total
assets of Rp 1.1 trillion with an ROA of 2.97% and an NPF of 0.32%. Bank Jambi's UUS can synergize with
bank bjb Sharia, which has already become a member of the KUB of bank bjb, thereby strengthening
penetration capabilities in the Islamic banking market.

According to Yuddy, collaboration is the most crucial aspect for BPDs to innovate and transform, enabling
them to compete in the banking industry. Drawing on bank bjb's rich experience in strategic initiatives
and being a pioneer in various BPD corporate actions, this experience can be shared with fellow BPDs for
mutual growth and expansion.

Yuddy emphasized that bank bjb is always ready to synergize and collaborate to enhance services for
customers and local governments with the spirit of mutually adding value for both parties. He gave an
example, in the process of heading for KUB with Bank Jambi, various business collaborations have been
carried out that benefit both parties. Among others, bank bjb became a Sponsor Bank to manage the
liquidity of Bank Jambi and UUS Bank Jambi at Bank Indonesia in the context of organizing BI-Fast
transactions. Apart from BI-Fast, various synergies and other cooperation initiations can commence and
develop immediately without waiting for KUB to be effective, ensuring that the positive impact of synergy
is felt promptly in providing services to the public.

Banking synergy that can be implemented with Bank Jambi in various fields including financing in the
form of syndicated loans, developing various digital services for customers through the "Digi Mobile"
platform or facilitating local government services, including bjb e-samsat online vehicle tax payments,
online land and building tax (PBB) payments, bjb e-tax including using IT infrastructure owned by bank
bjb. Furthermore, bank bjb also has bjb University which is bank bjb Corporate University, which can be
used for joint HR development. There are still many other areas that can be synergized, and we believe
that this step will generate significant benefits for both banks, increase value for shareholders, and provide
better services for customers.

Currently bank bjb also still opens opportunities for cooperation with other BPDs in Indonesia, with the
principle of mutual progress and mutual benefit. With total assets of bank bjb (bank only) as of September
2023 reaching to Rp 168.7 trillion and all KUB development processes can run smoothly and obtain OJK
approval, the bank bjb KUB structure will consist of 5 banks, namely bank bjb syariah, Bank Bengkulu,
Bank Sultra and Bank Maluku Malut, and Bank Jambi, with additional contribution of total assets of KUB
members reaching Rp 55.4 trillion and a network spread across 18 provinces from Western to Eastern part
of Indonesia.
