  Bank Maluku Malut, A New Addition as a Prospective Member of bank
                             bjb's KUB

JAKARTA – The Bank Business Group (KUB) of bank bjb has once again attracted a new prospect to
join as an additional member of the KUB, namely PT Bank Pembangunan Daerah Maluku dan Maluku
Utara (Bank Maluku Malut). Following Bank Bengkulu and Bank Sultra, the most recent addition,
bank bjb has signed a Memorandum of Understanding (MoU) regarding business synergy with Bank
Maluku Malut. This signing ceremony took place at the bank bjb's office building in Jakarta on
Tuesday (4/10).




The signing of the Memorandum of Understanding was carried out by the President Director of bank
bjb, Yuddy Renaldi, and the President Director of Bank Maluku Malut, Syahrisal Imbar. This event
was witnessed by Nia Kania, the Finance Director of bank bjb, and H. Nadjib Bachmid, the Chairman
of the Board of Commissioners of Bank Maluku Malut. The Business Synergy collaboration aims to
enhance the structure of the Bank Business Group (KUB) between bank bjb and Bank Maluku Malut.

The KUB scheme will commence with bank bjb making a capital injection to Bank Maluku Malut,
thereby becoming one of the shareholders with voting rights. Simultaneously, with the request for
the effectiveness of this capital contribution, an application will be submitted to the Financial
Services Authority (OJK) to designate bank bjb as one of the Controlling Shareholders of Bank
Maluku Malut, alongside the Maluku Provincial Government, who will also retain their status as
Controlling Shareholders. The amount of the capital injection will undergo a thorough evaluation,
including the execution of due diligence, to determine a fair execution price.

If the entire process is approved by the Financial Services Authority (OJK), bank bjb will become the
parent company of Bank Maluku Malut with under a Joint Control concept with the Maluku
Provincial Government. This arrangement can stimulate the acceleration of business performance
improvement through various synergy programs. With similar business model characteristics,
ecosystems, and stakeholders, synergy among fellow Regional Development Banks (BPDs) can be
more easily implemented without sacrificing the distinctive regional characteristics of each BPD.
This synergy process can run in parallel with the implementation of the Bank Business Group (KUB).
As a member of the bank bjb's KUB, Bank Maluku Malut or other KUB members will gain access to
the infrastructure development already undertaken by bank bjb. This includes IT infrastructure and
corporate knowledge, eliminating the need for significant and time-consuming capital expenses
(capex).

Yuddy provided an example of the ongoing Bank Business Group (KUB) process with Bank Bengkulu.
Although the approval process to the Financial Services Authority (OJK) is still in progress, which is
the final stage before KUB approval becomes effective, business synergy has been in place since the
beginning. Completed collaborations include BI Fast, Laku Pandai services, e-tax, digitalization, and
syndicated financing, all of which have had a positive impact on the performance and services of
Bank Bengkulu. Currently, other synergy programs are still underway and will be further accelerated
once bank bjb becomes the parent company of Bank Bengkulu.

According to Yuddy, collaboration is the most crucial element for Regional Development Banks
(BPDs) to innovate and transform, ensuring their relevance in the banking industry. Collaboration
through KUB can expand even further, as bank bjb remains open to cooperation with other BPDs in
Indonesia, with the principle of mutual progress and benefit. If the entire KUB process proceeds
smoothly, the bank bjb KUB structure will consist of four banks: bank bjb syariah, Bank Bengkulu,
Bank Sultra, and Bank Maluku Malut, with a network spanning from Western to Eastern Indonesia.
Furthermore, as a banking group, BPDs have significant potential. With 26 BPDs collectively holding
assets worth Rp936.1 trillion, a solid BPD group can be a major force in driving national economic
growth, alongside larger banks in the industry.

Brief Overview of bank bjb
Founded on May 20, 1961, bank bjb has grown to become the largest Regional Development Bank
(BPD) in Indonesia and is ranked 14th nationally, it boasts total assets amounting to Rp167.5 trillion
as of June 30, 2023 (bank only). The bank operates a service network spread across 15 provinces in
Indonesia, with direct service branches in 14 provinces and a business synergy partnership in 1
province with Bank Bengkulu. Currently, the ownership structure of bank bjb is as follows: the West
Java Provincial Government, which also acts as the Controlling Shareholder, owns 38.52%, the
Banten Provincial Government owns 4.95%, and a cumulative ownership of 32.08% is held by 35
City and District Governments in West Java and Banten. The remaining 24.45% ownership belongs
to the public.
