CIRCULAR RESOLUTIONS OF THE BOARD OF DIRECTORS
OF PT. CENTURY TEXTILE INDUSTRY TBK ABBREVIATED PT. CENTEX TBK
IN LIEU OF RESOLUTIONS ADOPTED AT
A MEETING OF THE BOARD OF DIRECTORS

The members of the Board of Directors of PT. Century Textile Industry Tbk abbreviated
PT. Centex Tbk, a limited liability company organized and existing under and by virtue of the
laws of the Republic of Indonesia and having its domicile in East Jakarta and its address at
Jalan Raya Bogor Km. 27, East Jakarta (the “Company”), namely:

Toshiyuki Takahashi, the President Director of the Company:
Muljadi Budiman, the Vice President Director of the Company:
Tomoaki Nakajima, a Director of the Company,

Tomonobu Nishimura, a Director of the Company, and

Teh Hock Soon, a Director of the Company, ji

being all the incumbent members of the Board of Directors of the Company as at the date
hereof (the “Members of the Board of Directors”), hereby firstly declare that:

Il. In facing the very difficult situation, for the yarn production segment, the Company has,
for about (3 years), been applying the strategy to only produce value-added textile
products. The Company's existing spinning plant facilities (machineries) are relatively
old and the maintenance cost is therefore high and repair cost will increase in the future.

2. The situation referred to in point 1 above have caused the Company's production cost of
yarn higher compared to production cost of other manufacturers and therefore, does not
support CTX to produce value-added yarn, and therefore, has no longer been in line with
CTX 's strategy, namely expanding value-added textile products.

The Members of the Board of Directors further declare that by executing these Circular
Resolutions of the Board of Directors of PT Century Textile Industry Tbk abbreviated
PT Centex Tbk In Lieu of Resolutions Adopted at a Meeting of the Board of Directors (these
“Circular Resolutions”), the Members of the Board of Director unanimously agree and resolve
the followings:

a. To approve the Company to permanently close the yarn spinning industrial activities, and

b. to authorize the President Director or the Finance Director of the Company or any other
member of the Board of Directors, in case the President Director and the Finance Director
are absent, to take any and all actions necessary to be taken for the implementation of such
closure of the spinning business.

The Members of the Board of Directors hereby agree and confirm:

a. that these Circular Resolutions shall have the same validity and effectiveness as any
resolution adopted at a formal Meeting of the Board of Directors of the Company, by virtue
of paragraph 13.13 of Article 13 of the Articles of Association of the Company,
