Uraian Informasi atau Fakta Material Pemberian pinjaman Perseroan ke anak usaha PT Pelita
Samudera Sreeya (PSS) dengan nilai pinjaman sebanyak-
banyaknya sebesar IDR 100.000.000.000,- (seratus milyar
Rupiah), bunga 8,48%, dengan tenor pinjaman 4 tahun.
Transaksi pinjaman ini bukan merupakan transaksi material
sebagaimana dimaksud pada Peraturan Otoritas Jasa
Keuangan Nomor 17/POJK.04/2020 tentang Transaksi
Material dan Perubahan Kegiatan Usaha, namun merupakan
transaksi afiliasi yang dikecualikan sebagaimana dimaksud
pada POJK 42, Pasal 8 ayat 1, dimana Perusahaan Terbuka
tidak wajib memenuhi ketentuan sebagaimana dimaksud pada
pasal 4 ayat 1, jika melakukan transaksi afiliasi yang
merupakan kegiatan usaha yang dijalankan dalam rangka
menghasilkan pendapatan usaha dan dijalankan secara rutin,
berulang, dan/atau berkelanjutan. Selain itu transaksi tersebut
tidak mengandung unsur benturan kepentingan.
Munculnya transaksi afiliasi dikarenakan dalam susunan
pengurus Perseroan terdapat Bapak Harry Tjhen selaku
Direktur Perseroan yang juga menjabat sebagai Komisaris di
PSS.
Dampak kejadian, informasi atau fakta Tidak ada dampak material terhadap kegiatan operasional,
material tersebut terhadap kegiatan kondisi keuangan dan kelangsungan usaha Perseroan.

Type of Material Information or Facts Provision to Its Subsidiaries
Description of Material Information or The Company's loan provision to its subsidiary of PT Pelita
Facts Samudera Sreeya (PSS) with a maximum loan amount of IDR
100,000,000,000 (one hundred billion Rupiah), with 8.48%
interest, and a loan tenor of 4 years.
This loan transaction is not a material transaction as referred
to in the Financial Services Authority Regulation Number
17/POJK.04/2020 concerning Material Transactions and
Changes in Business Activities but is an affiliated transaction
that is excluded as referred to in POJK 42, Article 8 paragraph
1, where a Public Company not obligated to comply with the
provisions referred to in article 4 paragraph 1, if carrying out
affiliated transactions which are business activities carried out
in the framework of generating business income and carried
out routinely, repeatedly and continuously. In addition, the
transaction does not contain an element of conflict of interest.
The emergence of affiliated transactions is because in the
composition of the Company's management, there is Mr. Harry
Tjhen as the Director of the Company who also serves as a
Commissioner at PSS.
Impact of event, material information or There is no material impact on the operational activities,
facts towards Issuers or Public financial condition, and business continuity of the Company.
