Uraian Informasi atau Fakta Material Pada tanggal 22 September 2026, Bank sebagai pemberi
pinjaman dan Protelindo, Iforte, BIT, QTR, VTS, IGPU, IEN
dan IEB selaku para peminjam (Para Peminjam), telah
menandatangani Perubahan Kedua Puluh atas Perjanjian
Fasilitas tertanggal 21 Desember 2016 sebagaimana telah
diubah dan/atau ditambah dari waktu ke waktu (Perjanjian
Fasilitas). Perubahan atas Perjanjian Fasilitas tersebut
meliputi (i) perpanjangan jangka waktu Fasilitas B; dan (ii)
penambahan fasilitas kredit baru.
Berikut adalah syarat dan ketentuan penting berdasarkan
Perjanjian Fasilitas:
(a) Memperpanjang jangka waktu Fasilitas B sampai
dengan 16 November 2027.
(b) Penambahan fasilitas untuk Protelindo yaitu Fasilitas
M dan Fasilitas N, masing-masing sebesar Rp1.
000.000.000.000 (satu triliun Rupiah), dengan ketentuan
sebagai berikut: :
- Tujuan pinjaman:
Tujuan umum perusahaan, termasuk pembiayaan kembali
pinjaman yang telah ada;
- Jangka Waktu Fasilitas: 24 bulan sejak penarikan
pertama Fasilitas; dan
- Hukum yang berlaku: Hukum Indonesia;
(c) Para Peminjam bertanggung jawab secara tanggung
renteng atas pelaksanaan seluruh kewajiban berdasarkan
Perjanjian Fasilitas.
1. Penandatanganan Perjanjian Fasilitas merupakan
transaksi afiliasi sebagaimana dimaksud dalam:
(i) Pasal 6 ayat (1) huruf (d) POJK 42, yaitu transaksi
pinjaman yang diterima secara langsung dari bank; dan/ atau
(ii) Pasal 6 ayat (1) huruf (e) POJK 42, yaitu transaksi
pemberian jaminan kepada bank atas pinjaman yang diterima
secara langsung oleh Perusahaan Terbuka atau Perusahaan
Terkendali.
2. Penandatanganan Perjanjian Fasilitas di atas bukan
merupakan transaksi benturan kepentingan sebagaimana
dimaksud dalam POJK 42 dan bukan merupakan transaksi
material sebagaimana dimaksud dalam Peraturan OJK No.
17/POJK.04/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha
Dampak kejadian, informasi atau fakta Pelaksanaan atas Perjanjian Fasilitas tersebut tidak
material tersebut terhadap kegiatan menimbulkan dampak merugikan yang material dan merugikan
operasional, hukum, kondisi keuangan, terhadap kegiatan operasional, aspek hukum, kondisi
atau kelangsungan usaha Emiten atau keuangan, maupun kelangsungan usaha Perseroan.

The Signing of the 20th Addendum to the Facility Agreement
Type of Material Information or Facts between Protelindo, Iforte, BIT, QTR, VTS, IGPU, IEN, and
IEB and PT Bank Central Asia Tbk.

Description of Material Information or On September 22, 2026, Bank, as the lender, and Protelindo,
Facts Iforte, BIT, QTR, VTS, IGPU, IEN, and IEB, as the borrowers
(the Borrowers), entered into the Twentieth Amendment to the
Facility Agreement dated December 21, 2016, as amended
and/or supplemented from time to time (the Facility
Agreement). The amendments to the Facility Agreement
relates to (i) the extension of the term of Facility B, and (ii) the
addition of new credit facilities.
The following are the key terms and conditions under the
Facility Agreement:
(a) Extension of the term of Facility B until 16 November
2027.
(b) Addition of facilities M and N for Protelindo, each in
the amount of IDR1,000,000,000,000 (one trillion Rupiah), with
the following terms:
- Purpose of Loan:
General corporate purposes, including refinancing of existing
loans;
- Facility Term: 24 months from the first utilisation of
the Facility; and
- Governing Law: Indonesian Law;
(c) The Borrowers are jointly and severally liable for the
performance of all obligations under the Facility Agreement.
1. The execution of the Facility Agreement is an
affiliated transaction as referred to:
(i) Clause 6 section (1) letter (d) i.e., a loan received
directly from banks; and/or
(ii) Clause 6 section (1) letter (e) of POJK 42, i.e. a
corporate guarantee provided to bank in relation to the loan
agreement granted to the Issuer or its subsidiaries.
2. The execution of the Facility Agreement is not a
conflict-of-interest transaction as referred to POJK 42 and not
a material transaction as referred to the OJK Regulation No.
17/POJK.04/2020 on Material Transactions and Change of
Business Activities.
