PT Arpan Bali Utama is a subsidiary of the Company, with 9946 ownership held by the Company. Sifat Hubungan Afiliasi dari Pihak yang melakukan Transaksi dengan Perusahaan Terbuka/ Nature of the Affiliation Relationship between the Transacting Party and the Pub PT Arpan Bali Utama merupakan entitas anak Perseroan yang dikendalikan oleh Perseroan. Perseroan merupakan pemegang saham utama PT Arpan Bali Utama - PT Arpan Bali Utama is a subsidiary of the Company and is controlled by the Company. - The Company is the majority shareholder Of PT Arpan Bali Utama. Keterangan Lain/ Other Information Transaksi ini merupakan salah satu persyaratan dalam pemberian fasilitas kredit oleh PT Bank Central Asia Tbk kepada Perseroan dan PT Arpan Bali Utama. Sehubungan dengan fasilitas kredit tersebut, Perseroan memberikan jaminan atas aset Perseroan kepada PT Bank Central Asia Tbk sesuai dengan ketentuan dalam perjanjian kredit yang berlaku. PT. HATTEN WINES Adapun fasilitas kredit yang diperoleh oleh PT Arpan Bali Utama memiliki nilai maksimum sebesar Rp1.000.000.000,- (satu miliar rupiah), yang akan digunakan untuk mendukung kebutuhan modal kerja entitas anak. Berdasarkan Pasal 6 Ayat (1) huruf e POJK 42/2020, atas transaksi pemberian jaminan kepada bank, tidak diperlukan prosedur serta tidak wajib menggunakan penilaian Kantor Jasa Penilai Publik. Transaksi ini tidak mengandung benturan kepentingan dan semua infomasi material telah diuangkapkan dalam ini, serta informasi tersebut tidak menyesatkan. This transaction constitutes one of the reguirements for the granting of a credit JSacility by PT Bank Central Asia Tbk to the Company and PT Arpan Bali Utama. In connection with such credit facility, the Company provides security over the Company's assets to PT Bank Central Asia Tbk in accordance with the terms and conditions set out in the applicable credit agreement. The credit facility obtained by PT Arpan Bali Utama has a maximum amount of Rp1,000,000,000 (one billion Rupiah), which will be used to support the subsidiary's working capital reguirements. Pursuant to Article 6 paragraph (1) letter e of POJK 42/2020, transactions involving the provision of security to a bank are exempt Jtom the reguirement to follow certain procedures and from the obligation to obtain an appraisal from a Public Appraisal Office. This transaction does not contain any conflict of interest, and all material information has been fully disclosed herein and is not misleading. PT.
