menyatakan bertanggung jawab sepenuhnya atas kebenaran dan kelengkapan informasi
sebagaimana diungkapkan di dalam tambahan keterbukaan informasi ini (“Tambahan Keterbukaan
Informasi”) dan setelah melakukan penelitian secara seksama, menegaskan bahwa informasi yang
diungkapkan dalam Tambahan Keterbukaan Informasi ini adalah benar dan tidak ada fakta penting
material dan relevan yang tidak diungkapkan atau dihilangkan, sehingga menyebabkan informasi
sebagaimana diungkapkan dalam Tambahan Keterbukaan Informasi ini menjadi tidak benar
dan/atau menyesatkan.
Penambahan atas Keterbukaan Informasi ini dibuat untuk kepentingan Pemegang Saham
Perseroan, agar Pemegang Saham Perseroan mendapatkan informasi secara lebih lengkap
mengenai transaksi terkait rencana perubahan dan atau penambahan kegiatan usaha yang akan
dilakukan oleh PT Soho Industri Pharmasi yang merupakan Perusahaan Terkendali dari Perseroan,
berupa penambahan kegiatan usaha. Penambahan Keterbukaan Informasi ini disampaikan
sehubungan dengan Surat Otoritas Jasa Keuangan No. S-2/PM.212/2026 tanggal 26 Januari 2026
dan dalam rangka memenuhi Peraturan Otoritas Jasa Keuangan Republik Indonesia Nomor
17/POJK.04/2020 tentang Transaksi Material dan Perubahan Kegiatan Usaha (“POJK No. 17/2020”).

I. PENDAHULUAN
Penambahan Keterbukaan Informasi ini disusun dalam rangka pemenuhan kewajiban Perseroan
untuk mengumumkan Keterbukaan Informasi mengenai perubahan dan atau penambahan
kegiatan usaha yang akan dilakukan oleh perusahaan terkendali Perseroan yakni, PT Soho
Industri Pharmasi (“SIP”). Perseroan wajib memperoleh persetujuan dari para Pemegang Saham
Perseroan dalam Rapat Umum Pemegang Saham (“RUPS”) sehubungan dengan penambahan
kegiatan usaha Perseroan.
II. INFORMASI MENGENAI PERSEROAN DAN SIP
1. PT Soho Global Health Tbk (“Perseroan”)
Keterangan Umum Perseroan
Perseroan merupakan suatu perseroan terbatas yang berstatus perusahaan publik ,
berkedudukan di Jakarta Timur, didirikan pada tahun 1956 berdasarkan peraturan
perundang-undangan yang berlaku di Negara Republik Indonesia, dengan nama PT
Perseroan Dagang dan Industri Pharmasi Parit Padang atau disingkat PT Parit Padang
berdasarkan Akta Pendirian No. 116 tanggal 27 Agustus 1956, yang dibuat di hadapan Eliza
Pondaag, Notaris di Jakarta, yang telah memperoleh pengesahan dari Menteri Hukum dan
Hak Asasi Manusia Republik Indonesia (“Menkumham”) berdasarkan Surat Keputusan No.
J.A.5/16/14 tanggal 8 Februari 1957, telah didaftarkan dalam buku register pada Kantor
Pengadilan Negeri Jakarta di bawah No. 377 tanggal 16 Februari 1957, serta telah
diumumkan dalam Berita Negara Republik Indonesia (“BNRI”) No. 39 tanggal 14 Mei 1957,
Tambahan No. 517.
Pada tahun 2010, Perseroan melakukan perubahan nama menjadi PT Soho Global Health
berdasarkan Akta Pernyataan Keputusan Sirkuler Para Pemegang Saham No. 23 tanggal 29
Oktober 2010, yang dibuat di hadapan Yani Indrawaty Wibawa, S.H., Notaris di Jakarta,
yang telah mendapatkan persetujuan dari Menkumham berdasarkan Surat Keputusan No.
AHU-54235.AH.01.02.Tahun 2010 tanggal 18 November 2010 dan telah didaftarkan dalam
Daftar Perseroan pada Kementerian Hukum dan Hak Asasi Manusia Republik Indonesia
(“Kemenkumham”) No. AHU-0083819.AH.01.09.Tahun 2010 tanggal 18 November 2010
dan telah diberitahukan kepada Menkumham sebagaimana ternyata dalam Surat
Penerimaan Pemberitahuan Perubahan Anggaran Dasar No. AHU-AH.01.10-31225 tanggal
6 Desember 2010 dan telah didaftarkan dalam Daftar Perseroan pada Kemenkumham No.
AHU-0088241.AH.01.09.Tahun 2010 tanggal 6 Desember 2010, serta telah diumumkan
dalam BNRI No. 26 tanggal 30 Maret 2012, Tambahan No. 13396 dan BNRI No. 59 tanggal
24 Juli 2012, Tambahan No. 1903/L.

Pada tahun 2020, Perseroan melakukan perubahan nama menjadi PT Soho Global Health
Tbk serta menyesuaikan seluruh ketentuan anggaran dasarnya yang mana hal ini dilakukan
untuk tunduk pada ketentuan yang berlaku terkait dengan perubahan status Perseroan
dari perusahaan tertutup menjadi perusahaan publik. Perubahan tersebut tercantum
dalam Akta Pernyataan Keputusan Rapat No. 126 tanggal 19 Juni 2020, yang dibuat di
hadapan Jimmy Tanal, S.H., M.Kn, Notaris di Jakarta Selatan, yang telah mendapatkan
persetujuan dari Menkumham berdasarkan Surat Keputusan No. AHU-
0042289.AH.01.02.TAHUN 2020 tanggal 23 Juni 2020 dan telah didaftarkan dalam Daftar
Perseroan Kemenkumham No. AHU-0098281.AH.01.11.TAHUN 2020 tanggal 23 Juni 2020
dan telah diberitahukan kepada Menkumham sebagaimana ternyata dalam Surat
Penerimaan Pemberitahuan Perubahan Anggaran Dasar dengan 2 (dua) Suratnya No. AHU-
AH.01.03-0255808 dan No. AHU-AH.01.03-0255815 keduanya tertanggal 23 Juni 2020 dan
telah didaftarkan dalam Daftar Perseroan pada Kemenkumham No. AHU-
0098281.AH.01.11.TAHUN 2020 tanggal 23 Juni 2020 serta telah diumumkan dalam Berita
Negara Republik Indonesia Nomor 176 tanggal 26 Oktober 2020, tambahan 13478.
Perseroan mencatatkan sahamnya pada Bursa Efek Indonesia melalui Penawaran Umum
Perdana pada tanggal 8 September 2020.
Perubahan terakhir pada Anggaran Dasar Perseroan dicatat dalam Akta Berita Acara Rapat
Umum Pemegang Saham Luar Biasa Nomor 175 tanggal 19 Oktober 2023, dibuat
dihadapan Jimmy Tanal S.H., M.Kn, Notaris di Jakarta Selatan yang perubahan datanya
telah diterima dan dicatat di dalam database SABH Kemenkumham dengan Suratnya No.
AHU-AH.01.03-0134270 tanggal 27 Oktober 2023 serta telah diumumkan dalam Berita
Negara Republik Indonesia Nomor 90 tanggal 10 November 2023, tambahan 35319, yang
mengatur perubahan struktur permodalan Perseroan. Sementara itu, jajaran direksi
Perseroan terakhir diubah dalam Akta Berita Acara Rapat Umum Pemegang Saham Luar
Biasa No. 102 tanggal 16 September 2025, dibuat di hadapan Jimmy Tanal S.H., M.Kn,
Notaris di Jakarta Selatan, yang pemberitahuan perubahan datanya telah diterima dan
dicatat di dalam database SABH Kemenkumham dengan Suratnya No. AHU-AH.01.09-
0344487 tanggal 30 September 2025.
Mengacu pada Akta Pernyataan Keputusan Rapat No. 126 tanggal 19 Juni 2020 yang dibuat
dihadapan oleh Jimmy Tanal, S.H., M.Kn., Notaris di Jakarta Selatan, bidang usaha yang
dijalankan oleh Perseroan saat ini adalah sebagai berikut (mengacu pada KBLI 2020):
a) Aktivitas perusahaan holding (KBLI 2020 - 64200)
Mencakup kegiatan dari perusahaan holding (holding companies), yaitu perusahaan
yang menguasai aset dari sekelompok perusahaan subsidiari dan kegiatan utamanya
adalah kepemilikan kelompok tersebut. "Holding Companies" tidak terlibat dalam
kegiatan usaha perusahaan subsidiarinya.
b) Aktivitas konsultasi manajemen lainnya (KBLI 2020 - 70209)
Mencakup kegiatan penyediaan nasihat, petunjuk dan bantuan operasional untuk
usaha dan organisasi lain pada berbagai persoalan manajemen, penyediaan jasa bisnis
ini dapat mencakup nasihat, petunjuk dan bantuan operasional untuk usaha dan

layanan masyarakat atau umum pada berbagai aspek manajemen dan operasional.
Subgolongan ini juga mencakup penyediaan bantuan nasihat, bimbingan dan
operasional usaha dan permasalahan organisasi dan manajemen lainnya, seperti
perencanaan strategi dan organisasi; keputusan yang berkaitan dengan keuangan;
tujuan dan kebijakan pemasaran; perencanaan, praktik dan kebijakan sumber daya
manusia; perencanaan penjadwalan dan pengontrolan produksi. Penyediaan jasa
usaha ini dapat mencakup bantuan nasihat, bimbingan dan asistensi operasional suatu
usaha dan pelayanan masyarakat mengenai hubungan masyarakat (public relations)
dan komunikasi masyarakat atau umum, kegiatan lobi, rancangan dari metode dan
prosedur akuntansi, program akuntansi biaya, prosedur pengawasan anggaran
belanja, pemberian nasihat dan bantuan untuk usaha dan pelayanan masyarakat
dalam perencanaan, pengorganisasian, efisiensi dan pengawasan, informasi
manajemen dan lain-lain.
Struktur Permodalan dan Susunan Pemegang Saham Perseroan
Struktur permodalan dan susunan pemegang saham Perseroan yakni jumlah saham dalam
portepel, serta menambahkan informasi mengenai modal dasar, modal ditempatkan dan
disetor penuh, serta saham dalam portepel dalam tabel berikut disusun mengacu pada: (i)
Akta Berita Acara Rapat Umum Pemegang Saham Luar Biasa Nomor 175, tanggal 19
Oktober 2023, dibuat dihadapan Jimmy Tanal S.H., M.Kn, Notaris di Jakarta Selatan yang
perubahan datanya telah diterima dan dicatat di dalam database SABH Kemenkumham
dengan Suratnya No. AHU-AH.01.03-0134270 tanggal 27 Oktober 2023 serta telah
diumumkan dalam Berita Negara Republik Indonesia Nomor 90 tanggal 10 November 2023,
tambahan 35319; dan (ii) Daftar Pemegang Saham (DPS) bulanan Perseroan yang
diterbitkan oleh Biro Administrasi Efek Perseroan, PT Datindo Entrycom, per 31 Januari
2026 adalah sebagai berikut:

Berdasarkan Pasal 85 Peraturan Otoritas Jasa Keuangan Republik Indonesia Nomor
3/POJK.04/2021 mengenai Penyelenggaraan Kegiatan di Bidang Pasar Modal juncto
Pasal 1 angka 4 Peraturan Otoritas Jasa Keuangan Republik Indonesia Nomor
9/POJK.04/2018 tentang Pengambilalihan Perusahaan Terbuka, maka pihak yang

Nama individu Pemilik Manfaat Akhir Perseroan adalah Bapak Eng Liang Tan.
Informasi ini juga senantiasa Perseroan umumkan setiap bulannya kepada Publik
dalam Laporan Bulanan Registrasi Pemegang Efek melalui Sistem Pelaporan
Elektronik.

Berdasarkan Akta Pernyataan Keputusan Rapat Perseroan Nomor 102 tanggal 16
September 2025 yang datanya telah diterima dan dicatat di dalam SABH Kemenkumham

2. PT Soho Industri Pharmasi (“SIP”)
Keterangan Umum SIP
SIP merupakan perusahaan tertutup, berkedudukan di Jakarta Timur, didirikan dengan
nama N.V. Soho Pharmaceutische Industrie En Handel Maatschappij berdasarkan Akta
Pendirian No. 39 tanggal 18 Juli 1951, yang dibuat di hadapan Raden Kadiman, Notaris di
Jakarta, yang telah memperoleh pengesahan dari Menkumham berdasarkan Surat
Keputusan No. J.A.5/61/20 tanggal 23 April 1952, dan telah didaftarkan dalam buku
register pada Kantor Pengadilan Negeri Jakarta di bawah No. 586 tertanggal 11 Mei 1952,
serta telah diumumkan dalam BNRI No. 61 tanggal 29 Juli 1952, Tambahan No. 852.
SIP merupakan perusahaan terkendali dari Perseroan yang dikendalikan secara langsung
oleh Perseroan dimana Perseroan memiliki 99,64% saham langsung di SIP. Laporan
Keuangan SIP juga dikonsolidasikan dengan Perseroan.
Pada tahun 1958, SIP melakukan perubahan nama menjadi PT Soho Industri Pharmasi
berdasarkan Akta Perubahan No. 104 tanggal 25 Maret 1958, yang dibuat di hadapan Eliza
Pondaag, Notaris di Jakarta, yang telah memperoleh pengesahan dari Menkumham
berdasarkan Surat keputusan No J.A.5/36/18 tanggal 9 April 1958, telah didaftarkan dalam
buku register pada Kantor Pengadilan Negeri Jakarta di bawah No.822 tanggal 5 Mei 1958,
serta telah diumumkan dalam BNRI No. 92 tanggal 18 November 1958, Tambahan No. 820.
Anggaran Dasar SIP yang dimuat dalam Akta Pendirian SIP telah mengalami beberapa kali
perubahan sejak pendirian, dengan perubahan Anggaran Dasar terakhir sebagaimana
tercantum dalam Akta Pernyataan Keputusan Pemegang Saham SIP No. 1 tanggal 1 Agustus
2024, dibuat dihadapan Jimmy Tanal S.H., M.Kn, Notaris di Jakarta Selatan, yang
pemberitahuan perubahan datanya telah diterima dan dicatat di dalam database SABH
Kemenkumham dengan Suratnya No. AHU-AH.01.09-0334848 tanggal 8 September 2025
yang telah diumumkan dalam Berita Negara Republik Indonesia Nomor 72 Tahun 2024
Tambahan Berita Negara Republik Indonesia Nomor 28218 sedangkan Akta Nomor 32
tanggal 4 September 2025 hanya mengatur mengenai perubahan susunan Direksi PT Soho
Industri Pharmasi.
Mengacu pada Akta Pernyataan Keputusan Pemegang Saham No. 1 tanggal 1 Agustus 2024
yang dibuat di hadapan Jimmy Tanal, SH., M.Kn., Notaris di Jakarta Selatan, bidang usaha
yang dijalankan oleh SIP tercakup dalam 17 KBLI dengan rincian sebagai berikut (mengacu
pada KBLI 2020):
a. Industri Pengolahan Susu Bubuk dan Susu Kental (KBLI 2020 – 10520);
Mencakup : Industri pengolahan susu bubuk, susu kental, atau krimer kental dengan
pemanis atau tidak - Industri pengolahan susu atau krim dalam bentuk yang padat
b. Industri Penggilingan Aneka Umbi dan Sayuran (Termasuk Rhizoma) (KBLI 2020 –
10613);

Mencakup usaha pembuatan tepung dari aneka umbi dan sayuran termasuk rhizoma
melalui proses penggilingan, seperti tepung dari ubi kayu (gaplek), ubi jalar, talas, irut,
jahe, temulawak, kunyit dan kapulaga dan sayuran.
c. Industri Glukosa dan Sejenisnya (KBLI 2020 – 10623);
Mencakup usaha pembuatan gula glukosa, selain yang termasuk dalam kelompok
10721 dan 10722, seperti glucosa, fructosa, lactosa, maltosa, sacharosa, dan sediaan
pemanis lainnya. Termasuk pemanis buatan.
d. Industri Pati dan Produk Pati lainnya (KBLI 2020 – 10629);
Mencakup usaha pembuatan berbagai macam pati melalui proses ekstraksi yang
belum termasuk kelompok 10621 s.d. 10623, seperti pati kentang, pati bengkoang,
pati temulawak, pati irut dan pati biji mangga.
e. Industri Makanan Dari Cokelat dan Kembang Gula dari Coklat (KBLI 2020 – 10732);
Mencakup usaha pembuatan segala macam makanan yang bahan utamanya dari
cokelat seperti cokelat, cokelat compound, coklat couverture, cokelat imitasi, coklat
putih, gula-gula dari cokelat, olesan dan isian berbasis kakao. Termasuk industri
minuman dari cokelat dalam bentuk bubuk maupun cair.
f. Industri Kembang Gula (KBLI 2020 – 10734);
Mencakup usaha pembuatan kembang gula termasuk seluruh kembang gula keras,
kembang gula lunak, kembang gula karet, caramel, cachous, nougat, foundant, dan
marzipan, yang bahan utamanya bukan dari coklat.
g. Industri Kembang Gula Lainnya (KBLI 2020 – 10739);
Mencakup usaha industri kembang gula lainnya yang tidak termasuk kategori 10731
s.d. 10734 seperti permen karet dan permen obat batuk dan pastilles.
h. Industri Minuman Ringan (KBLI 2020 – 11040);
Kelompok ini mencakup usaha industri minuman yang tidak mengandung alkohol,
kecuali bir dan anggur tanpa alkohol. Termasuk industri minuman ringan beraroma
tanpa alkohol dan atau rasa manis, seperti lemonade, orangeade, cola, minuman
buah, air tonik, limun, air soda, krim soda dan air anggur, minuman yang dikarbonasi
maupun tidak, dan minuman yang mengandung konsentrat, dan minuman serbuk.
i. Industri Minuman Lainnya (KBLI 2020 – 11090);
Mencakup usaha industri minuman lainnya yang tidak termasuk dalam subgolongan
1101 s.d 1105, seperti minuman penyegar, nira, air tebu, air kelapa, minuman sereal
panas, serbuk sekoteng, dan serealia celup.
j. Industri Kosmetik Untuk Manusia, Termasuk Pasta Gigi (KBLI 2020 – 20232);
Mencakup usaha pembuatan kosmetik untuk manusia, seperti tata rias muka, wangi-
wangian atau parfum, produk perawatan rambut (shampo, obat pengeriting dan
pelurus rambut, dan lain-lain), produk perawatan kuku atau menikur dan pedikur,
produk perawatan kulit (krim atau lotion pencegah terbakar sinar matahari dan krim
atau lotion agar kulit terlihat cokelat setelah berjemur), produk untuk kebersihan
badan (sabun kosmetik, sabun mandi, sabun antiseptik, external intimate hygiene,
deodorant, garam mandi dan lain-lain), produk untuk bercukur. Kosmetik dekoratif
seperti tata rias muka, tata rias mata, wangi-wangian atau parfum, tata rias kuku dan
tata rias rambut termasuk pewarna rambut. Termasuk pasta gigi dan produk untuk
menjaga higienitas mulut, termasuk produk kosmetik pemutih gigi.
k. Industri Produk Farmasi Untuk Manusia (KBLI 2020 – 21012);

Mencakup usaha pembuatan dan pengolahan obat-obatan, suplemen
kesehatan/makanan, yang berbentuk jadi (sediaan) untuk manusia, misalnya dalam
bentuk tablet, kapsul, salep, bubuk, larutan, larutan parenteral dan suspensi, obat
kontrasepsi hormonal, industri produksi radiofarmaka, dan industri farmasi
bioteknologi.
l. Industri Bahan Baku Obat Tradisional Untuk Manusia (KBLI 2020 – 21021);
Mencakup usaha pengolahan macam-macam ekstrak dan simplisia, sediaan galenik,
bahan tambahan atau bahan lainnya, baik yang berkhasiat maupun yang tidak
berkhasiat, yang berubah maupun yang tidak berubah, yang digunakan dalam
pengolahan obat tradisional, walaupun tidak semua bahan tersebut masih terdapat
di dalam produk ruahan.
m. Industri Produk Obat Tradisional untuk Manusia (KBLI 2020 – 21022);
Mencakup usaha pengolahan macam-macam produk obat tradisional yang bahannya
berasal dari tumbuh-tumbuhan, bahan hewan, bahan mineral, sediaan sarian
(galenik), atau campuran dari bahan tersebut yang berbentuk serbuk, rajangan, pil,
dodol/jenang, pastiles, tablet, kapsul, cairan, larutan, emulsi dan suspensi, salep, krim
dan gel, supositoria. Termasuk industri minuman jamu dan suplemen
kesehatan/makanan bukan produk farmasi.
n. Perdagangan Besar Susu dan Produk Susu (KBLI 2020 – 46326);
Mencakup usaha perdagangan besar susu dan produk susu.
o. Perdagangan Besar Gula, Coklat Dan Kembang Gula (KBLI 2020 – 46331);
Mencakup usaha perdagangan besar gula, coklat, kembang gula dan sediaan pemanis.
p. Perdagangan Besar Minuman Non Alkohol Bukan Susu (KBLI 2020 – 46334);
Mencakup usaha perdagangan besar minuman non alkohol, seperti sari buah, jus,
minuman ringan, air mineral, air kemasan, dan produk sejenis lainnya.
q. Perdagangan Besar Alat Laboratorium, Alat Farmasi dan Alat Kedokteran Untuk
Manusia (KBLI 2020 – 46691).

III. RINGKASAN STUDI KELAYAKAN PERUBAHAN DAN ATAU PENAMBAHAN KEGIATAN USAHA
SIP telah menunjuk Bapak Budi Prasetyo, MAPPI (Cert), seorang penilai independen yang
merupakan salah satu Penilai Publik pada Kantor Jasa Penilai Publik Wawat Jatmika & Rekan
(“KJPP-WJR”), yang mana Penilai Publik dan KJPP-WJR dimaksud telah memiliki perizinan dan
terdaftar sebagai Penilai di Kementerian Keuangan Republik Indonesia dengan izin usaha No.
2.15.0133 dan Otoritas Jasa Keuangan dengan STTD No. STTD.PB-55/PM.223/2022. Penunjukan
tersebut berdasarkan Surat Perikatan No. S1371/BV25/013-KJPP/11-2 tanggal 28 November
2025 mengenai Jasa Studi Kelayakan Bisnis PT Soho Industri Pharmasi.
Berikut adalah ringkasan laporan studi kelayakan atas Perubahan dan atau penambahan
Kegiatan Usaha SIP sebagaimana dituangkan dalam Laporan Studi Kelayakan Bisnis SIP dengan
No. 00002/2.0133-00/BS/05/0603/1/I/2026 tanggal 14 Januari 2026 sebagaimana telah direvisi
lebih lanjut dalam Laporan Studi Kelayakan Bisnis PT Soho Global Health Tbk dengan No. [*]
tanggal 19 Februari 2026 (“Laporan Studi Kelayakan Bisnis”):
A. MAKSUD DAN TUJUAN
Maksud dan tujuan pelaksanaan Studi Kelayakan Bisnis ini adalah terkait rencana SIP
sebagai bagian dari pemenuhan persyaratan atas rencana SIP untuk melakukan
penambahan kegiatan usaha berupa 1 Klasifikasi Baku Lapangan Usaha Indonesia (KBLI) ke
dalam Anggaran Dasar SIP, serta pelaksanaan 1 Klasifikasi Baku Lapangan Usaha Indonesia
(KBLI) yang telah tercantum sebelumnya dalam Anggaran Dasar SIP dan akan dijalankan
serta dituangkan dalam perizinan operasional SIP. Studi Kelayakan Usaha ini ditujukan
dalam rangka memenuhi ketentuan Peraturan Otoritas Jasa Keuangan No.
17/POJK.04/2020 (“POJK 17”) tentang Transaksi Material dan Perubahan Kegiatan
Usaha.

C. OBJEK STUDI KELAYAKAN BISNIS
Objek studi kelayakan bisnis adalah rencana SIP untuk melakukan penambahan kegiatan
usaha dan 1 Klasifikasi Baku Lapangan Usaha Indonesia (KBLI) dengan mengacu pada KBLI
2020 ke dalam Anggaran Dasarnya sebagai berikut, serta pelaksanaan 1 Klasifikasi Baku
Lapangan Usaha Indonesia (KBLI) 2020 yang telah tercantum sebelumnya dalam
Anggaran Dasar SIP dan akan dijalankan serta dituangkan dalam perizinan operasional
SIP sebagai berikut (“Rencana Transaksi”):
• Pergudangan dan Penyimpanan (KBLI 2020 - 52101), yang mencakup kegiatan usaha
sebagai berikut:
Mencakup usaha yang melakukan kegiatan penyimpanan barang sementara sebelum
barang tersebut di kirim ke tujuan akhir, dengan tujuan komersil; dan
• Industri Bahan Baku Obat Tradisional Untuk Manusia (KBLI 2020 - 21021), yang
mencakup kegiatan usaha sebagai berikut:

Bila dibandingkan dengan proyeksi keuangan tanpa penambahan kegiatan usaha, marjin
laba kotor, marjin laba usaha dan marjin laba bersih hanya mengalami selisih kenaikan yang
sangat tipis (di bawah 1%), sehingga menunjukkan bahwa dengan adanya penambahan
kegiatan usaha maka hal tersebut tidak memberikan dampak yang signifikan atau
perbedaan yang mencolok terhadap kinerja profitabilitas keuangan SIP dibandingkan jika
tidak melakukan penambahan usaha.

pada rasio aktivitas dibandingkan dengan proyeksi tanpa penambahan kegiatan usaha.
E. ASUMSI DAN KONDISI PEMBATAS
Asumsi Studi Kelayakan Bisnis
a) Laporan Studi Kelayakan Bisnis yang dihasilkan bersifat non-disclaimer opinion.
b) Studi Kelayakan Bisnis disusun berdasarkan pada prinsip integritas informasi dan data.
Dalam penugasan ini, KJPP-WJR melandaskan dan berdasarkan pada keakuratan,
kehandalan dan kelengkapan dari semua informasi keuangan dan informasi-informasi
lain yang diberikan SIP atau yang tersedia secara umum yang pada hakekatnya adalah
benar, lengkap dan tidak menyesatkan.
c) KJPP-WJR mengasumsikan bahwa semua informasi dan data dari SIP terkait
penugasan adalah benar, lengkap dan dapat diandalkan, dan tidak ada yang tidak
terungkap yang akan mempengaruhi penilaian ini.
Kondisi Pembatas
a) Studi Kelayakan Bisnis harus dipandang sebagai satu kesatuan dan bahwa penggunaan
sebagian dari analisis dan informasi tanpa mempertimbangkan keseluruhan informasi
dan analisis dapat menyebabkan pandangan yang menyesatkan atas proses yang

mendasari pendapat tersebut. Penyusunan Studi Kelayakan Bisnis ini merupakan
suatu proses yang kompleks dan mungkin tidak dapat dilakukan melalui analisis yang
tidak lengkap.
b) Studi Kelayakan Bisnis disusun berdasarkan kondisi umum keuangan, moneter,
peraturan dan kondisi pasar yang ada saat laporan diterbitkan.
c) Studi Kelayakan Bisnis menggunakan proyeksi keuangan yang dibuat manajemen yang
telah KJPP-WJR reviu kewajarannya, manajemen bertanggung jawab atas pencapaian
proyeksi keuangan dan kinerja keuangan SIP di masa mendatang.
d) KJPP-WJR bertanggung jawab atas opini kelayakan bisnis.
e) KJPP-WJR bertanggung jawab atas pelaksanaan penilaian dan kewajaran proyeksi
keuangan yang telah disesuaikan.
f) KJPP-WJR tidak melakukan penyelidikan atau evaluasi atas keabsahan Objek Studi
Kelayakan Bisnis dari segi hukum dan implikasi aspek perpajakan, maka dari itu KJPP-
WJR tidak memberikan pendapat atas dampak hukum dan perpajakan dari Studi
Kelayakan Bisnis tersebut. Jasa-jasa yang KJPP-WJR berikan kepada SIP dalam kaitan
dengan penugasan tersebut hanya merupakan pemberian opini atas kelayakan suatu
bisnis yang akan dilakukan dan bukan jasa-jasa akuntansi, audit, atau perpajakan.
g) KJPP-WJR menyatakan bahwa penugasan KJPP-WJR tidak termasuk menganalisis
kegiatan-kegiatan usaha di luar objek studi kelayakan bisnis yang mungkin tersedia
bagi SIP serta pengaruh dari kegiatan-kegiatan usaha tersebut terhadap SIP, dan juga
bukan merupakan analisis penggunaan yang paling mungkin dan optimal dari objek
studi kelayakan bisnis.
h) Pekerjaan KJPP-WJR yang berkaitan dengan Rencana Transaksi tidak merupakan dan
tidak dapat ditafsirkan dalam bentuk apapun, suatu penelaahan atau audit atau
pelaksanaan prosedur-prosedur tertentu atas informasi keuangan. Pekerjaan tersebut
juga tidak dapat dimaksudkan untuk mengungkapkan kelemahan dalam pengendalian
internal, kesalahan, atau penyimpangan dalam laporan keuangan atau pelanggaran
hukum.
i) Penugasan KJPP-WJR juga tidak termasuk untuk memberikan keterangan di muka
pengadilan, kantor pajak, atau lembaga lainnya.
j) Laporan Studi Kelayakan Bisnis tersebut terbuka untuk publik, kecuali terdapat
informasi bersifat rahasia yang dapat mempengaruhi operasional SIP.
k) Dalam mempersiapkan Laporan Studi Kelayakan Bisnis, KJPP-WJR bertindak secara
independen tanpa adanya benturan kepentingan dan tidak terafiliasi dengan SIP
ataupun pihak-pihak yang terafiliasi dengan SIP. KJPP-WJR juga tidak memiliki
kepentingan ataupun keuntungan pribadi terkait dengan penugasan ini.

F. PENDEKATAN DAN METODE PENYUSUNAN LAPORAN STUDI KELAYAKAN BISNIS
a) Pendekatan yang digunakan dalam menganalisa kelayakan penambahan dan
pelaksanaan kegiatan usaha SIP adalah dengan melakukan analisis atas kelayakan pasar,
kelayakan pola bisnis, kelayakan model manajemen dan kelayakan keuangan.
b) Dari kajian kelayakan pasar, dengan adanya penambahan satu (1) KBLI baru ke dalam Anggaran
Dasar Perseroan serta pelaksanaan satu (1) KBLI yang telah tercantum sebelumnya dalam
Anggaran Dasar Perseroan namun belum dijalankan, maka diharapkan dapat memberikan
perkembangan pada segi pangsa pasar, potensi pasar dan potensi nilai pasar Perseroan.
Perkembangan ini juga sejalan dengan semakin berkembangnya industri perawatan kulit dari
tahun-ketahun untuk pasar Indonesia sehingga dengan memperhatikan perkembangan usaha,
potensi pasar dan kondisi perekonomian Indonesia, maka penambahan KBLI secara pasar layak
untuk dilaksanakan.
c) Dari kajian kelayakan teknis, menunjukkan bahwa secara legalitas, dengan adanya
penambahan usaha, maka kedepannya, perijinan Perseroan terkait klasifikasi KBLI yang
dimiliki menjadi sesuai dengan kegiatan usahanya yang telah berjalan selama ini. Selain
itu, dengan penambahan satu (1) KBLI baru ke dalam Anggaran Dasar Perseroan serta
pelaksanaan satu (1) KBLI yang telah tercantum sebelumnya dalam Anggaran Dasar
Perseroan namun belum dijalankan, maka mesin yang digunakan untuk produksi dan alur
proses produksi Perseroan tidak mengalami perubahan.
d) Dari kajian kelayakan pola bisnis, menunjukkan bahwa dengan adanya penambahan usaha
maka pola bisnis Perseroan akan semakin beragam dan diharapkan dapat memberikan keunggulan
untuk menjangkau beragam calon konsumen berdasarkan kemampuan daya beli serta menjadi
keunggulan tersendiri bagi Perseroan untuk dapat bersaing dengan kompetitor pada jenis industri
yang sama. Dengan memperhatikan pola bisnis yang diterapkan oleh Perseroan maka
penambahan satu (1) KBLI baru ke dalam Anggaran Dasar Perseroan serta pelaksanaan satu (1)
KBLI yang telah tercantum sebelumnya dalam Anggaran Dasar Perseroan namun belum dijalankan
tersebut, secara pola bisnis layak untuk dilaksanakan.
e) Dari kajian kelayakan model manajemen, dengan adanya penambahan satu (1) KBLI baru
ke dalam Anggaran Dasar Perseroan serta pelaksanaan satu (1) KBLI yang telah tercantum
sebelumnya dalam Anggaran Dasar Perseroan namun belum dijalankan, tidak ada
penambahan jumlah tenaga kerja baru namun tenaga kerja yang telah tersedia pada
usaha eksisting akan lebih dioptimalkan dan akan ditingkatkan kompetensinya melalui
pendidikan dan pelatihan. Dengan memperhatikan rencana manajemen Perseroan untuk
mendukung operasionalnya maka penambahan KBLI secara model manajemen layak

f) Pada kajian kelayakan keuangan, berdasarkan hasil analisis atas seluruh data dan
informasi yang telah diterima dan dengan mempertimbangkan semua faktor yang relevan
yang mempengaruhi dalam analisis kelayakan ini maka penambahan satu (1) KBLI baru ke
dalam Anggaran Dasar Perseroan serta pelaksanaan satu (1) KBLI yang telah tercantum
sebelumnya dalam Anggaran Dasar Perseroan namun belum dijalankan tersebut layak
untuk dilaksanakan.
G. KESIMPULAN
Berdasarkan hal-hal sebagaimana diungkapkan di atas maka kami berpendapat bahwa

IV. KETERSEDIAAN TENAGA AHLI BERKAITAN DENGAN PENAMBAHAN KEGIATAN USAHA
Sehubungan dengan penambahan kegiatan usaha baru, PT Soho Industri Pharmasi tidak
membentuk unit atau divisi khusus. Kegiatan usaha industri bahan baku obat tradisional akan
dilaksanakan oleh tim internal yang saat ini juga menangani kegiatan industri yang telah berjalan,
dengan sekitar 10 (sepuluh) orang yang dialokasikan untuk mendukung fungsi produksi,
pembukuan, serta penjualan dan pemasaran (sales dan marketing).
Adapun kegiatan usaha pergudangan dan penyimpanan akan dijalankan dengan dukungan
karyawan pada fungsi operasional, dengan sekitar 2 (dua) orang yang secara khusus akan
mengoordinasikan dan menangani operasional pergudangan.
Pada tahap awal pelaksanaan, seluruh tenaga kerja yang mendukung kegiatan usaha baru tersebut
berasal dari sumber daya internal yang telah tersedia dan dialokasikan sesuai kebutuhan masing-
masing kegiatan usaha. Jumlah dan komposisi tenaga kerja tersebut dinilai memadai untuk
menunjang operasional industri bahan baku obat tradisional maupun kegiatan pergudangan dan
penyimpanan, tanpa adanya penambahan headcount pada taha awal. PT Soho Industri Pharmasi
tetap membuka kemungkinan untuk melakukan penambahan tenaga kerja apabila diperlukan
seiring dengan perkembangan skala usaha di kemudian hari.
V. PENJELASAN, PERTIMBANGAN, DAN ALASAN DILAKUKANNYA PENAMBAHAN KEGIATAN
USAHA
Penambahan dan pelaksanaan kegiatan usaha dilakukan dalam rangka mendukung
pengembangan kegiatan usaha SIP secara terukur dan berkelanjutan, dengan tujuan untuk
menciptakan sumber pendapatan baru bagi SIP. Penambahan dan pelaksanaan kegiatan usaha ini
tetap berada dalam koridor kegiatan usaha yang relevan dengan kompetensi inti SIP dan tidak
mengubah karakteristik usaha utama, pola bisnis, maupun model manajemen SIP secara
keseluruhan.
Adapun pertimbangan dan alasan SIP untuk melakukan perubahan dan/atau penambahan serta
pelaksanaan kegiatan usaha adalah sebagai berikut:
a) Pengembangan ruang lingkup kegiatan usaha untuk mendukung pertumbuhan usaha
Penambahan dan pelaksanaan kegiatan usaha dimaksudkan untuk memberikan landasan hukum
bagi SIP dalam mengembangkan kegiatan usaha yang berpotensi memberikan kontribusi
tambahan terhadap pendapatan. Kegiatan usaha yang ditambahkan dan dilaksanakan dirancang
untuk melengkapi dan memperluas ruang lingkup usaha SIP tanpa menggeser fokus usaha utama
yang telah dijalankan.
b) Pemanfaatan peluang pasar yang relevan dengan kompetensi SIP
Berdasarkan Studi Kelayakan Bisnis, kegiatan usaha yang ditambahkan dan pelaksanaan memiliki
keterkaitan dengan kegiatan usaha SIP serta didukung oleh potensi permintaan pasar yang
memadai. Dengan demikian, penambahan dan pelaksanaan kegiatan usaha ini diharapkan dapat
membuka peluang pertumbuhan usaha tanpa mengubah segmen pasar utama SIP.

c) Tidak mengubah pola bisnis dan model manajemen SIP
Penambahan dan pelaksanaan kegiatan usaha tidak mengakibatkan perubahan terhadap pola
bisnis maupun model manajemen SIP, karena pelaksanaannya tetap mengacu pada struktur
organisasi, sistem pengelolaan, serta kebijakan operasional yang telah berlaku. Dengan demikian,
kegiatan usaha yang ditambahkan dan dilaksanakan dapat dijalankan secara terintegrasi dengan
kegiatan usaha SIP yang telah ada.
d) Keselarasan dengan rencana pengembangan usaha jangka menengah dan panjang
Perubahan dan/atau penambahan kegiatan serta pelaksanaan usaha ini sejalan dengan rencana
pengembangan usaha SIP dalam jangka menengah dan panjang sebagaimana dianalisis dalam
Studi Kelayakan Bisnis, serta diharapkan dapat memperkuat posisi SIP dalam mendukung
pertumbuhan usaha secara berkesinambungan.
Berdasarkan pertimbangan tersebut di atas, Direksi SIP berpendapat bahwa rencana perubahan
dan/atau penambahan serta pelaksanaan kegiatan usaha merupakan langkah yang wajar dan
rasional serta sejalan dengan kepentingan usaha SIP.
e) Hal Material Lainnya
Untuk kegiatan usaha pergudangan dan penyimpanan, Perseroan telah memiliki fasilitas yang
memadai sehingga tidak memerlukan tambahan belanja modal selain penyesuaian kecil bersifat
operasional yang dapat dipenuhi melalui modal kerja. Dengan demikian, penambahan kegiatan
usaha ini tidak menimbulkan kebutuhan investasi yang signifikan dan tidak diperkirakan
memberikan dampak negatif yang material terhadap kondisi Keuangan Perseroan.
VI. PENJELASAN TENTANG PENGARUH PENAMBAHAN KEGIATAN USAHA PADA KONDISI
KEUANGAN PERSEROAN
Perseroan menyampaikan bahwa analisis mengenai dampak perubahan kegiatan usaha terhadap
kondisi keuangan Perseroan dan PT Soho Industri Pharmasi, termasuk pengaruh terhadap
pendapatan, beban, laba, perubahan aset dan liabilitas (jika ada), serta dampaknya terhadap rasio
keuangan Perseroan dan PT Soho Industri Pharmasi, pada prinsipnya telah diungkapkan
sebelumnya dalam Bagian D (Analisa Proyeksi Keuangan) pada Bab III mengenai Ringkasan Studi
Kelayakan dalam Keterbukaan Informasi PT Soho Industri Pharmasi tertanggal 15 Januari 2026.
VII. INFORMASI PENYELENGGARAAN RAPAT UMUM PEMEGANG SAHAM
Perseroan akan menyelenggarakan Rapat Umum Pemegang Saham Luar Biasa (“RUPSLB”) dengan

tentang Transaksi Material dan Perubahan Kegiatan Usaha.
6. Persetujuan Rencana Perubahan dan/atau penambahan Kegiatan Usaha Perusahaan
Terkendali, yakni PT Soho Industri Pharmasi
7. Persetujuan Pengangkatan Kembali/Perubahan Susunan Dewan Komisaris
Pengumuman, Pemanggilan, dan Pengumuman Ringkasan Risalah terkait RUPSLB Perseroan
tersebut akan Perseroan sampaikan melalui (i) Sarana Pelaporan Elektronik Terintegrasi Emiten dan
Perusahaan Publik IDX dan OJK, (ii) situs web (website) resmi Perseroan, dan (iii) Aplikasi Electronic
General Meeting System KSEI (eASY.KSEI), sesuai jadwal di atas dan dengan berpedoman pada
peraturan yang berlaku.
Kuorum Kehadiran dan Kuorum Keputusan
RUPS akan diselenggarakan dengan mengacu pada ketentuan Pasal 42 POJK No. 15/2020,
maka RUPS dapat dilangsungkan untuk membahas mata acara tersebut jika:
1. RUPS Pertama
RUPS dapat dilangsungkan apabila dihadiri oleh pemegang saham atau penerima
kuasanya yang mewakili lebih dari 2/3 (dua per tiga) bagian dari jumlah seluruh
saham dengan hak suara yang sah.
Keputusan RUPS adalah sah apabila disetujui oleh lebih dari 2/3 (dua per tiga)
bagian dari seluruh saham dengan hak suara yang hadir dalam RUPS.

2. RUPS Kedua
Dalam hal kuorum kehadiran RUPS pertama sebagaimana dimaksud ditatas tidak
tercapai, RUPS kedua dapat dilangsungkan dengan ketentuan RUPS kedua sah dan
berhak mengambil keputusan jika dalam RUPS dihadiri oleh pemegang saham atau
penerima kuasanya yang mewakili paling sedikit 3/5 (tiga per lima) bagian dari
jumlah seluruh saham dengan hak suara yang sah.
Keputusan RUPS kedua adalah sah apabila disetujui oleh lebih dari 1/2 (satu per
dua) bagian dari seluruh saham dengan hak suara yang hadir.
3. RUPS Ketiga
Dalam hal kuorum kehadiran pada RUPS kedua sebagaimana dimaksud diatas tidak
tercapai, maka RUPS ketiga dapat diadakan dengan ketentuan RUPS ketiga sah dan
berhak mengambil keputusan jika dihadiri oleh pemegang saham dari saham dengan
hak suara yang sah dalam kuorum kehadiran dan kuorum keputusan yang
ditetapkan oleh OJK atas permohonan Perseroan.
Berdasarkan POJK No. 17/2020, dalam hal Rencana Perubahan Kegiatan Usaha tidak
memperoleh persetujuan RUPS, maka Rencana Perubahan Kegiatan Usaha tersebut dapat
dimintakan persetujuan RUPS kembali paling singkat 12 (dua belas) bulan setelah
pelaksanaan RUPS yang tidak menyetujui tersebut.
Sehubungan dengan penambahan KBLI yang mengakibatkan perubahan Pasal 3 Anggaran Dasar
mengenai maksud dan tujuan serta kegiatan usaha Perseroan, perubahan tersebut merupakan
perubahan Anggaran Dasar yang memerlukan persetujuan dari Menteri Hukum dan Hak Asasi
Manusia Republik Indonesia sesuai dengan ketentuan peraturan perundang-undangan yang
berlaku.
VIII. LAIN-LAIN
(i) Perseroan menyampaikan bahwa setelah memperoleh persetujuan Rapat Umum Pemegang
Saham atas Perubahan Kegiatan Usaha, Perseroan dan Perusahaan Anak akan melakukan
penambahan Klasifikasi Baku Lapangan Usaha Indonesia (KBLI) dalam Nomor Induk Berusaha
(NIB) melalui sistem Online Single Submission (OSS).
Selanjutnya, Perusahaan Anak akan memenuhi perizinan teknis yang relevan sesuai dengan
ketentuan peraturan perundang-undangan yang berlaku. Adapun perizinan tambahan yang akan
dipenuhi oleh Perusahaan Anak adalah sebagai berikut:
(ii) PT Soho Industri Pharmasi akan mengajukan Tanda Daftar Gudang (TDG) sebagai bukti
pendaftaran atas gudang yang dimilikinya melalui sistem OSS, dengan mengacu pada Peraturan
Menteri Perdagangan Republik Indonesia No. 90/M-DAG/PER/12/2014 tentang Penataan dan
Pembinaan Gudang, sehingga gudang tersebut dapat disewakan sesuai dengan ketentuan yang
berlaku.
(iii) Keberatan dari pihak-pihak terkait rencana perubahan dan/atau penambahan kegiatan usaha
oleh Perseroan
Sampai dengan tanggal penerbitan Penambahan Keterbukaan Informasi ini, Perseroan tidak
menerima adanya keberatan dari pihak-pihak tertentu terkait dengan rencana perubahan
dan/atau penambahan kegiatan usaha oleh Perseroan.

(iv) Persetujuan dan/atau perizinan dan/atau pemberitahuan dari pemerintah atau badan atau
institusi lain atau pihak ketiga lainnya yang harus dipenuhi oleh Perseroan dan/atau
Perusahaan Anak selain kewajiban yang diatur POJK No. 17/POJK.04/2020 dalam rangka
Perubahan dan/atau Penambahan Kegiatan Usaha Perseroan
Setelah memperoleh persetujuan Rapat Umum Pemegang Saham atas Perubahan Kegiatan
Usaha, Perseroan akan melakukan penambahan Klasifikasi Baku Lapangan Usaha Indonesia (KBLI)
dalam Nomor Induk Berusaha (NIB) melalui sistem Online Single Submission (OSS).
Selain itu, Perseroan tidak memiliki kewajiban pengajuan perizinan tambahan sehubungan
dengan penyelenggaraan perdagangan melalui sistem elektronik, mengingat Perseroan tidak
menyediakan dan/atau mengoperasikan platform elektronik sendiri, melainkan hanya melakukan
kegiatan penjualan ritel melalui platform e-commerce pihak ketiga.
(v) Perseroan menyampaikan bahwa pada tahap awal tidak terdapat rencana pembangunan fasilitas
produksi baru dalam rangka penambahan kegiatan usaha PT Soho Industri Pharmasi sebagaimana
dimaksud, mengingat PT Soho Industri Pharmasi akan memanfaatkan fasilitas dan peralatan
produksi yang telah tersedia saat ini.
Namun demikian, apabila di kemudian hari terdapat rencana produksi atas bahan baku yang saat
ini belum diproduksi oleh PT Soho Industri Pharmasi, maka belanja modal yang signifikan
berpotensi timbul, yang pada umumnya akan berupa investasi pada mesin produksi yang
diperlukan untuk mendukung kegiatan tersebut.
Penambahan informasi tersebut dapat dilihat pada halaman 3 dari Tambahan Keterbukaan
Informasi PT Soho Industri Pharmasi.

I. PRELIMINARY
This Additional Information Disclosure is prepared in order to fulfill the Company's obligation to
announce Information Disclosure regarding changes and/or additions to business activities to be
carried out by the Company. The Company is required to obtain approval from the Company's
Shareholders in the General Meeting of Shareholders ("GMS") in connection with the addition
and/or changes to the Company's business activities.
II. INFORMATION OF THE COMPANY AND PT SIP
1. PT Soho Global Health Tbk (“Company”)
General Information of the Company
The Company is a limited liability company with the status of a public company, domiciled in
East Jakarta, established in 1956 by the prevailing laws and regulations in the Republic of
Indonesia, under the name PT Perseroan Dagang dan Industri Pharmasi Parit Padang or
abbreviated as PT Parit Padang, based on the Deed of Establishment No. 116 dated August
27, 1956, made before Eliza Pondaag, Notary in Jakarta. It has obtained approval from the
Minister of Law and Human Rights of the Republic of Indonesia (“MLHR”) based on Decree
No. J.A.5/16/14 dated February 8, 1957, registered in the register book at the Jakarta District
Court under No. 377 dated February 16, 1957, and announced in the State Gazette of the
Republic of Indonesia (“BNRI”) No. 39 dated May 14, 1957, Supplement No. 517.
In 2010, the Company changed its name to PT Soho Global Health based on the Deed of
Statement of Circular Resolutions of Shareholders No. 23 dated October 29, 2010, made
before Yani Indrawaty Wibawa, S.H., Notary in Jakarta. This change was approved by the
MLHR through Decree No. AHU-54235.AH.01.02.Tahun 2010 dated November 18, 2010, and
registered in the Company Register at the Ministry of Law and Human Rights of the Republic
of Indonesia (“MOLHR”) No. AHU-0083819.AH.01.09.Tahun 2010 dated November 18, 2010.
It was also notified to MLHR as evidenced by the Receipt of Notification of Amendment to
the Articles of Association No. AHU-AH.01.10-31225 dated December 6, 2010, and registered
in the Company Register at MOLHR No. AHU-0088241.AH.01.09.Tahun 2010 dated
December 6, 2010, and announced in the BNRI No. 26 dated March 30, 2012, Supplement
No. 13396, and BNRI No. 59 dated July 24, 2012, Supplement No. 1903/L.
In 2020, the Company changed its name to PT Soho Global Health Tbk and adjusted all
provisions of its articles of association to comply with the applicable regulations regarding
the change of the Company’s status from a closed company to a publicly held company. This
change was stated in the Deed of Statement of Meeting Resolutions No. 126 dated June 19,
2020, made before Jimmy Tanal, S.H., M.Kn, Notary in South Jakarta. It received approval

from the MLHR through Decree No. AHU-0042289.AH.01.02.TAHUN 2020 dated June 23,
2020, was registered in the Company Register at the MOLHR No. AHU-
0098281.AH.01.11.TAHUN 2020 dated June 23, 2020. It was also notified to MLHR as
evidenced by the Receipt of Notification of Amendment to the Articles of Association with 2
(two) letters No. AHU-AH.01.03-0255808 and No. AHU-AH.01.03-0255815 both dated June
23, 2020, and registered in the Company Register at MOLHR No. AHU-
0098281.AH.01.11.TAHUN 2020 dated June 23, 2020 and has been announced in the State
Gazette of the Republic of Indonesia No. 176 dated 26 October 2020, Supplement No.
13,478. The Company listed its shares on the Indonesia Stock Exchange through an Initial
Public Offering on September 8, 2020.
The latest changes to the Company's Articles of Association are recorded in the Deed of
Minutes of the Extraordinary General Meeting of Shareholders Number 175 dated October
19, 2023, made before Jimmy Tanal S.H., M.Kn, Notary in South Jakarta, whose data changes
have been received and recorded in the SABH database of the Ministry of Law and Human
Rights with his Letter No. AHU-AH.01.03-0134270 dated October 27, 2023 and have been
announced in the State Gazette of the Republic of Indonesia Number 90 dated November
10, 2023, supplement 35319, which regulates changes to the Company's capital structure.
Meanwhile, the Company's board of directors was last changed in the Deed of Minutes of
the Extraordinary General Meeting of Shareholders No. 102 dated September 16, 2025,
made before Jimmy Tanal S.H., M.Kn, Notary in South Jakarta, whose notification of data
changes has been received and recorded in the SABH database of the Ministry of Law and
Human Rights with his Letter No. AHU-AH.01.09-0344487 dated September 30, 2025.
Based on the Company’s Articles of Association as set forth in Deed No. 126 dated 19 June
2020 drawn up before Jimmy Tanal, S.H., M.Kn., Notary in South Jakarta the business
activities carried out by the Company (in reference to the 2020 KBLI), as detailed below:
a) Holding Company Activities (KBLI 2020 - 64200)
This classification covers the activities of holding companies, namely companies that
control the assets of a group of subsidiary companies and whose principal activity is the
ownership of such a group. “Holding Companies” are not involved in the operational
business activities of their subsidiaries.
b) Other Management Consulting Activities (KBLI 2020 - 70209)
This classification covers the provision of advice, guidance, and operational assistance to
other businesses and organizations on various management issues. Such business
services may include advice, guidance, and operational assistance to business entities and
public or community services in various management and operational aspects.
This sub-classification also includes the provision of advisory, guidance, and operational
assistance regarding organizational and management issues, such as strategic and
organizational planning; financial decision-making; marketing objectives and policies;
human resource planning, practices, and policies; production scheduling, planning, and
control.

These services may include advisory assistance, guidance, and operational support to
businesses and public services relating to public relations and public communications,
lobbying activities, the design of accounting methods and procedures, cost accounting
programs, budgetary control procedures, as well as advice and assistance in planning,
organizing, efficiency, and supervision, management information, and other related
matters.
As a note, the latest changes to the business fields carried out by the Company are set out in

General Information of the SIP
SIP is a privately held company, domiciled in East Jakarta, originally established under the
name N.V. Soho Pharmaceutische Industrie En Handel Maatschappij pursuant to Deed of
Establishment No. 39 dated 18 July 1951, drawn up before Raden Kadiman, Notary in Jakarta,
which obtained approval from the Minister of Law and Human Rights of the Republic of
Indonesia under Decree No. J.A.5/61/20 dated 23 April 1952, and was registered in the
registry book of the Jakarta District Court under No. 586 dated 11 May 1952, and was
announced in the State Gazette of the Republic of Indonesia No. 61 dated 29 July 1952,
Supplement No. 852.
SIP is a Controlled Company of the Company, directly controlled by the Company, whereby
the Company holds 99.64% of the issued and paid-up shares in SIP. The financial statements
of SIP are also consolidated into the Company’s financial statements.
In 1958, SIP changed its name to PT Soho Industri Pharmasi pursuant to Deed of Amendment
No. 104 dated 25 March 1958, drawn up before Eliza Pondaag, Notary in Jakarta, which
obtained approval from the Minister of Law and Human Rights of the Republic of Indonesia
under Decree No. J.A.5/36/18 dated 9 April 1958, was registered in the registry book of the
Jakarta District Court under No. 822 dated 5 May 1958, and was announced in the State
Gazette of the Republic of Indonesia No. 92 dated 18 November 1958, Supplement No. 820.
The Articles of Association of SIP as contained in the Deed of Establishment have been
amended several times since its establishment, with the latest amendment being as stated
in the Deed of Statement of Shareholders’ Resolutions of SIP No. 32 dated 4 September 2025,
drawn up before Jimmy Tanal, S.H., M.Kn., Notary in South Jakarta, the notification of which
has been received and recorded in the Legal Entity Administration System (SABH) database
of the Ministry of Law and Human Rights under Letter No. AHU-AH.01.09-0334848 dated 8
September 2025 which has been announced in the State Gazette of the Republic of Indonesia
Number 72 of 2024 Supplement to the State Gazette of the Republic of Indonesia Number
28218 while Deed Number 32 dated September 4, 2025 only regulates changes to the
composition of the Board of Directors of PT Soho Industri Pharmasi.

III. SUMMARY OF FEASIBILITY STUDY OF CHANGE BUSINESS ACTIVITY
SIP has appointed Mr. Budi Prasetyo, MAPPI (Cert), an independent appraiser, who is one of the
Public Appraisers at Wawat Jatmika & Rekan Public Appraisal Firm (“KJPP-WJR”), where both the
Public Appraiser and KJPP-WJR are duly licensed and registered with the Ministry of Finance of
the Republic of Indonesia under business license No. 2.15.0133 and with the Financial Services
Authority under Registration Certificate No. STTD.PB-55/PM.223/2022. Such an appointment was
made pursuant to the Engagement Letter No. S1371/BV25/013-KJPP/11-2 dated 28 November
2025 concerning the provision of Business Feasibility Study services for SIP.
The following is a summary of the business feasibility study report on the change and/or addition
of SIP’s business activities as set forth in the Business Feasibility Study Report of PT Soho Industri

A. PURPOSE AND OBJECTIVE
The purpose and objective of this Business Feasibility Study are to fulfill the requirements for
the implementation of SIP’s plan, as part of the compliance requirements for SIP’s plan to (i)
add one (1) new 2020 Indonesian Standard Industrial Classification (KBLI) into SIP’s Articles
of Association, and (ii) implement one (1) 2020 Indonesian Standard Industrial Classification
(KBLI) that has previously been stipulated in SIP’s Articles of Association and will be carried
out and reflected in SIP’s operational licensing.
This Business Feasibility Study is specifically prepared in order to comply with the provisions
of Financial Services Authority Regulation No. 17/POJK.04/2020 (“POJK 17”) concerning
Material Transactions and Changes in Business Activities.
B. DATE OF ASSESSMENT
The assessment date for the Business Feasibility Study is September 30, 2025 as further
supplemented by Business Feasibility Study dated February 19, 2026..
C. OBJECT OF BUSINESS FEASIBILITY STUDY
The object of this Business Feasibility Study is SIP’s plan to add new business activities and
one (1) Indonesian Standard Industrial Classification (KBLI) into its Articles of Association, as
well as to implement one (1) 2020 Indonesian Standard Industrial Classification (KBLI) that
has previously been stipulated in SIP’s Articles of Association and will be carried out and
reflected in SIP’s operational licensing.
The KBLI descriptions used in this Business Feasibility Study refer to KBLI 2020, although KBLI
2025 has been issued, considering that KBLI 2020 is the classification used as the reference
in the preparation and implementation of this Business Feasibility Study:
• Warehousing and Storage (KBLI 2020 - 52101), which under the prevailing KBLI
classification covers the following business activities:
Covers businesses that carry out temporary storage activities for goods before they are
sent to their final destination, for commercial purposes;
SIP intends to carry out the plan to add the above business activities in accordance with
Regulation of the Minister of Trade of the Republic of Indonesia No. 90/M-
DAG/PER/12/2014 on the Arrangement and Development of Warehouses, where Article
3 paragraph (1) stipulates that a warehouse owner is required to have a Warehouse
Registration Certificate (Tanda Daftar Gudang / “TDG”).
During the submission of the TDG through the OSS RBA (Online Single Submission – Risk-
Based Approach) system and during the survey conducted by the Office of Industry,
Trade, Cooperatives, and Small and Medium Enterprises (DPPKUKM), PT Soho Industri
Pharmasi was requested by DPPKUKM to apply for the TDG through OSS RBA using the
Warehousing and Storage KBLI. Accordingly, PT Soho Industri Pharmasi submitted an
application for the addition of such business activity.

c) KJPP-WJR assume that all information and data provided by the SIP in connection with
this engagement are true, complete, and reliable, and that there is no undisclosed
information that would affect this assessment.
Limiting Conditions
a) This Business Feasibility Study must be considered as a whole, and the use of any part
of the analysis and information without taking into account the entire information and
analysis may result in a misleading view of the underlying process on which the opinion
is based. The preparation of this Business Feasibility Study constitutes a complex
process and may not be adequately performed through incomplete analysis.
b) This Business Feasibility Study has been prepared based on the prevailing general
financial, monetary, regulatory, and market conditions existing at the time this report is
issued.
c) This Business Feasibility Study utilizes financial projections prepared by management,
the reasonableness of which has been reviewed by KJPP-WJR. Management remains
fully responsible for the achievement of such financial projections and for the future
financial performance of SIP.
d) KJPP-WJR are responsible for the business feasibility opinion.
e) KJPP-WJR are responsible for the execution of the valuation and for assessing the
reasonableness of the adjusted financial projections.

The services we provide to the SIP in connection with this engagement are limited solely
to the provision of a business feasibility opinion and do not constitute accounting, audit,
or tax services.

activities outside the scope of the Business Feasibility Study Object that may be available
to SIP, nor the impact of such business activities on SIP, and does not constitute an
analysis of the highest and best use of the Business Feasibility Study Object.

construed in any form as a review or audit or the performance of any specific procedures
on financial information. Such work is also not intended to disclose weaknesses in

F. APPROACHES AND METHODS FOR PREPARING BUSINESS FEASIBILITY STUDY REPORTS

a) The approach used in analyzing the feasibility of the addition and implementation of
business activities is conducted through an assessment of market feasibility, business
model feasibility, management model feasibility, and financial feasibility.
b) Based on the market feasibility assessment, the addition of one (1) new KBLI to the
Company’s Articles of Association, together with the implementation of one (1) KBLI
that has previously been included in the Company’s Articles of Association but has not
yet been carried out, is expected to contribute to growth in the Company’s market
share, market potential, and market value potential. This development is also in line
with the continued growth of the skincare industry in the Indonesian market from year
to year. Accordingly, taking into account business developments, market potential, and
Indonesia’s economic conditions, the addition of the KBLI is deemed feasible from a
market perspective.
c) From the technical feasibility assessment, it is indicated that, from a legal perspective,
the addition of the business activity will ensure that, going forward, the Company’s
licensing in relation to its KBLI classification is aligned with the business activities that
have been carried out to date. In addition, with the addition of one (1) new KBLI to the
Company’s Articles of Association and the implementation of one (1) KBLI that has
previously been included in the Company’s Articles of Association but has not yet been
carried out, there will be no changes to the production machinery used or to the
Company’s production process flow.
d) Based on the business model feasibility assessment, it is indicated that the addition of
the business activity will result in a more diversified business model and is expected to
provide advantages in reaching a broader range of potential consumers based on
purchasing power, as well as a competitive advantage for the Company in competing
with other players in the same industry. Taking into account the business model applied
by the Company, the addition of one (1) new KBLI to the Company’s Articles of
Association and the implementation of one (1) KBLI that has previously been included
in the Company’s Articles of Association but has not yet been carried out are deemed
feasible from a business model perspective.
e) Based on the management model feasibility assessment, with the addition of one (1)
new KBLI to the Company’s Articles of Association and the implementation of one (1)
KBLI that has previously been included in the Company’s Articles of Association but has
not yet been carried out, there will be no increase in the number of employees. Instead,
the workforce currently available in the existing business will be further optimized, and
their competencies will be enhanced through education and training. Taking into
account the Company’s management plans to support its operations, the addition of
the KBLI is deemed feasible from a management model perspective.
f) In the financial feasibility assessment, based on the results of the analysis of all data
and information that has been received and by considering all relevant factors that
influence this feasibility analysis, the addition of one (1) new KBLI to the Company's
Articles of Association and the implementation of one (1) KBLI that was previously listed
in the Company's Articles of Association but has not yet been implemented is feasible
to be implemented.

Based on the foregoing, KJPP-WJR are of the opinion that the proposed plan for the addition
and implementation of business activities of PT Soho Industri Pharmasi is “FEASIBLE.”
IV. AVAILABILITY OF EXPERTS IS RELATED TO ADDITION OF IN BUSINESS ACTIVITIES
In connection with the addition of new business activities, PT Soho Industri Pharmasi has not
established a dedicated unit or division. The traditional medicine raw materials industry will be
managed by an internal team that currently handles existing business activities, with approximately
10 people allocated to support production, bookkeeping, and sales and marketing.
Meanwhile, warehousing and storage activities will be supported by operational employees, with
approximately two people specifically coordinating and managing warehousing operations.
In the initial implementation phase, all personnel supporting these new business activities will be
drawn from existing internal resources and allocated according to the needs of each business
activity. The number and composition of this workforce are deemed adequate to support both the
traditional medicine raw materials industry and warehousing and storage activities, without any
additional headcount in the initial phase. PT Soho Industri Pharmasi remains open to additional
staffing if necessary as the business scale expands in the future.
V. EXPLANATIONS, CONSIDERATIONS AND REASONS FOR IMPLEMENTING THE ADDITION OF
CHANGES IN BUSINESS ACTIVITIES
The addition and implementation of business activities are carried out in order to support the
measured and sustainable development of SIP’s business, with the objective of creating new
sources of revenue for SIP. Such addition and implementation of business activities remain within
the scope of business activities relevant to SIP’s core competencies and do not alter the
characteristics of SIP’s principal business, business pattern, or overall management model.
The considerations and reasons underlying SIP’s decision to effect changes to and/or additions
and implementation of business activities are as follows:
a) Expansion of business scope to support business growth
The addition and implementation of business activities are intended to provide a legal basis for
SIP to develop business activities that have the potential to contribute additional revenue. The
business activities to be added and implemented are designed to complement and expand SIP’s
business scope without shifting the focus of SIP’s existing principal business.
b) Utilization of market opportunities relevant to SIP’s competencies
Based on the Business Feasibility Study, the business activities to be added and implemented are
related to SIP’s existing business activities and are supported by adequate potential market
demand. Accordingly, the addition and implementation of such business activities are expected
to open opportunities for business growth without altering SIP’s main market segment.
c) No change to SIP’s business pattern and management model
The addition and implementation of business activities do not result in any changes to SIP’s
business pattern or management model, as their implementation continues to refer to the
existing organizational structure, management systems, and operational policies. As such, the

business activities to be added and implemented can be carried out in an integrated manner with
SIP’s existing business activities.
d) Alignment with SIP’s medium- and long-term business development plans
The changes to and/or addition and implementation of business activities are aligned with SIP’s
medium- and long-term business development plans as analyzed in the Business Feasibility Study
and are expected to strengthen SIP’s position in supporting sustainable business growth.
Based on the foregoing considerations, the Board of Directors of SIP is of the opinion that the plan
for changes to and/or additions and implementation of business activities constitutes a
reasonable and rational step and is in line with SIP’s business interests.
e) Other Material Matters
For warehousing and storage business activities, the Company already has adequate facilities and
therefore does not require additional capital expenditures other than minor operational
adjustments that can be covered through working capital. Therefore, this additional business
activity does not require significant investment requirements and is not expected to have a
material adverse impact on the Company's financial condition.
VI. EXPLANATION OF THE EFFECT OF ADDITION IN BUSINESS ACTIVITIES ON THE COMPANY'S
FINANCIAL CONDITION
The Company conveys that the analysis regarding the impact of changes in business
activities on the financial condition of the Company and PT Soho Industri Pharmasi,
including the impact on revenue, expenses, profits, changes in assets and liabilities (if
any), as well as the impact on the financial ratios of the Company and PT Soho Industri
Pharmasi, has in principle been previously disclosed in Section D (Financial Projection
Analysis) in Chapter III regarding the Feasibility Study Summary in the Information
Disclosure of PT Soho Industri Pharmasi dated January 15, 2026.

The announcement, notice of meeting, and publication of the summary minutes in relation to the
Company’s Extraordinary General Meeting of Shareholders (“EGMS”) will be delivered by the Company
through: (i) the Integrated Electronic Reporting System for Issuers and Public Companies of the IDX and
the Financial Services Authority (OJK), (ii) the Company’s official website, and
(iii) the KSEI Electronic General Meeting System Application (eASY.KSEI), in accordance with the above
schedule and in compliance with the applicable regulations.
Attendance Quorum and Decision Quorum
The GMS will be held in accordance with Article 42 of POJK No. 15/2020. A GMS may be held to discuss
the agenda item if:
1. First GMS
A GMS may be held if attended by shareholders or their proxies representing more than 2/3 (two-thirds)
of the total shares with valid voting rights.
GMS decisions are valid if approved by more than 2/3 (two-thirds) of the total shares with valid voting
rights present at the GMS.

If the attendance quorum for the first GMS as referred to in paragraph (1) is not achieved, a second GMS
may be held, provided that the second GMS is valid and has the right to make decisions if attended by
shareholders or their proxies representing at least 3/5 (three-fifths) of the total shares with valid voting
rights.
The resolution of the second GMS is valid if approved by more than 1/2 (one half) of the total shares
with voting rights present.
3. Third GMS
If the attendance quorum for the second GMS as referred to above is not reached, a third GMS may be
held, provided that the third GMS is valid and has the right to make decisions if attended by shareholders
of shares with valid voting rights within the attendance quorum and decision quorum determined by
the OJK upon the Company's request.
In the event that changes to Business Activities do not obtain approval from the GMS, the Company will
request approval from the GMS again no later than 12 months after the GMS that did not approve the
changes to Business Activities.
In connection with the addition of KBLI which results in changes to Article 3 of the Articles of Association
regarding the aims and objectives and business activities of the Company, these changes constitute
changes to the Articles of Association which require approval from the Minister of Law and Human
Rights of the Republic of Indonesia.
VIII. MISCELLANEOUS
(i) The Company informs that after obtaining approval from the General Meeting of Shareholders
regarding the Change in Business Activities, the Company and its Subsidiaries will add the Indonesian
Standard Industrial Classification (KBLI) to the Business Identification Number (NIB) through the Online
Single Submission (OSS) system.
The Subsidiaries will then fulfill the relevant technical licensing requirements in accordance with
applicable laws and regulations. The additional licensing requirements to be fulfilled by the Subsidiaries
are as follows:
(ii) PT Soho Industri Pharmasi will submit a Warehouse Registration Certificate (TDG) as proof of
registration of its warehouse through the OSS system, in accordance with Regulation of the Minister of
Trade of the Republic of Indonesia No. 90/M-DAG/PER/12/2014 concerning Warehouse Arrangement
and Development, so that the warehouse can be leased in accordance with applicable regulations.
(iii) Objections from parties related to the Company's planned changes and/or additions to its business
activities As of the date of issuance of this Additional Disclosure of Information, the Company has not
received any objections from any parties regarding the Company's planned changes and/or additions to
its business activities.
(iv) Approvals and/or permits and/or notifications from the government, other bodies or institutions, or
other third parties that must be fulfilled by the Company and/or its Subsidiaries, in addition to the
obligations stipulated in POJK No. 17/POJK.04/2020 regarding Changes and/or Additions to the
Company's Business Activities.
After obtaining approval from the General Meeting of Shareholders regarding the Changes to Business
Activities, the Company will add the Indonesian Standard Industrial Classification (KBLI) to its Business
Identification Number (NIB) through the Online Single Submission (OSS) system.
Furthermore, the Company is not required to apply for additional permits related to conducting
electronic commerce, as the Company does not provide and/or operate its own electronic platform, but
rather only conducts retail sales activities through third-party e-commerce platforms.

(v) The Company confirms that in the initial phase, there are no plans to build new production facilities
to expand PT Soho Industri Pharmasi's business activities as referred to, as PT Soho Industri Pharmasi
will utilize existing production facilities and equipment.
However, if there are future production plans for raw materials not currently produced by PT Soho
Industri Pharmasi, significant capital expenditures could potentially arise, which would generally involve
investments in the production machinery needed to support these activities.
