Material/ yang merupakan anak usaha Perseroan, telah menandatangani
Description of Material Perjanjian Pengikatan Jual Beli Hak Atas Tanah dengan PT Matahari
Information or Facts Putra Prima Tbk (“MPPA”), dimana MPPA bermaksud untuk membeli
tanah seluas 38.169 m2, yang berlokasi di Kelurahan Sukamurni dan
Kelurahan Tobat, Kecamatan Balaraja, dengan alas hak Sertifikat Hak
Guna Bangunan (“SHGB”) sebagai berikut:
a. SHGB Nomor Identifikasi Bidang Tanah 28.04.000133500.0 ex
No. 08;
b. SHGB Nomor Identifikasi Bidang Tanah 28.04.000121027.0 ex
No. 09; dan
c. SHGB Nomor Identifikasi Bidang Tanah 28.04.000121029.0 ex
No. 459,
yang dimiliki Balaraja, dengan harga sebesar Rp54.500.000.000 (lima
puluh empat miliar lima ratus juta Rupiah) di luar Pajak Pertambahan
Nilai (“Perjanjian”).

Berdasarkan Perjanjian, penyelesaian dari pembelian tanah tersebut
tunduk pada beberapa persyaratan yang harus dipenuhi pihak yang
terkait./
On 18 February 2026, PT Balaraja Sentosa (“Balaraja”), a subsidiary
of the Company, entered into a Conditional Sale and Purchase
Agreement over Land Rights with PT Matahari Putra Prima Tbk
(“MPPA”), pursuant to which MPPA intends to purchase a plot of land
with an area of 38,169 sqm, located in Sukamurni Sub-district and
Tobat Sub-district, Balaraja District, with title Right to Build Certificate
(“SHGB”) as follows:
a. SHGB Land Plot Identification Number 28.04.000133500.0 ex
No. 08;
b. SHGB Land Plot Identification Number 28.04.000121027.0 ex
No. 09; and
c. SHGB Land Plot Identification Number 28.04.000121029.0 ex
No. 459,
owned by Balaraja, for a purchase price of IDR 54,500,000,000 (fifty-
four billion five hundred million Rupiah), excluding Value Added Tax
(the “Agreement”).
Pursuant to the Agreement, the completion of the land purchase is
subject to the completion of several conditions by relevant parties.
