3. Uraian Informasi atau Fakta Pada tanggal 18 Februari 2026, PT Panca Megah Utama (“PMU”),
Material/ yang merupakan anak usaha Perseroan, telah menandatangani
Description of Material Perjanjian Pengikatan Jual Beli Hak Atas Tanah dan Bangunan,
Information or Facts dengan PT Matahari Putra Prima Tbk (“MPPA”), dimana MPPA
bermaksud untuk membeli Tanah seluas 6,704 m2 dan Gedung
seluas 15,848 m2, yang berlokasi di Kelurahan Sidomoro, Kecamatan
Kebomas, dengan alas hak Sertifikat Hak Guna Bangunan (“SHGB”)
sebagai berikut:
a. SHGB Nomor Identifikasi Bidang Tanah 12.09.000036181.0 ex
No. 22; dan
b. SHGB Nomor Identifikasi Bidang Tanah 12.09.000036131.0 ex
No. 42,
yang dimiliki PMU, dengan harga sebesar Rp134.500.000.000
(seratus tiga puluh empat miliar lima ratus juta Rupiah) di luar Pajak
Pertambahan Nilai (“Perjanjian”).

Berdasarkan Perjanjian, penyelesaian dari pembelian tanah tersebut
tunduk pada beberapa persyaratan yang harus dipenuhi pihak yang
terkait./
On 18 February 2026, PT Panca Megah Utama (“PMU”), a subsidiary
of the Company, entered into a Conditional Sale and Purchase
Agreement of Land and Building Rights with PT Matahari Putra Prima
Tbk (“MPPA”), pursuant to which the Company intends to purchase a
plot of land with an area of 6,704 sqm and a building with a total area
of 15,848 sqm, located in Sidomoro Sub-district, Kebomas District,
with title Right to Build Certificate (“SHGB”) as follows:
a. SHGB Land Plot Identification Number 12.09.000036181.0 ex
No. 22; and
b. SHGB Land Plot Identification Number 12.09.000036131.0 ex
No. 42,
owned by PMU, for a purchase price of IDR 134,500,000,000 (one
hundred thirty-four billion five hundred million Rupiah), excluding
Value Added Tax (the “Agreement”).
Pursuant to the Agreement, the completion of the land and building
purchase is subject to the completion of several conditions by relevant
parties
