Uraian Informasi atau Fakta Material Pada tanggal 18 Februari 2026, Perseroan dan PT Nusa
Malioboro Indah (NMI) telah menandatangani Perjanjian
Pengikatan Jual Beli Hak Atas Tanah dan Bangunan, dimana
Perseroan bermaksud untuk membeli tanah seluas 1.658 m2
dan gedung pusat perbelanjaan Gedoeng Merah ex Matahari
Malioboro dengan luas 5.382 m2, yang berlokasi di Kelurahan
Sosromenduran, Kecamatan Gedongtengen, dengan alas hak
Sertifikat Hak Guna Bangunan (SHGB) sebagai berikut:
a. SHGB No. B.175/Smd;
b. SHGB No. B.176/Smd;
c. SHGB No. B.177/Smd;
d. SHGB No. B.178/Smd; dan
e. SHGB No. 415,
yang dimiliki NMI, dengan harga sebesar Rp68.000.000.000
(enam puluh delapan miliar Rupiah) di luar Pajak
Pertambahan Nilai (Perjanjian).
Berdasarkan Perjanjian, penyelesaian dari pembelian tanah
dan bangunan tersebut tunduk pada beberapa persyaratan
yang harus dipenuhi pihak yang terkait
Dampak kejadian, informasi atau fakta Penandatangan Perjanjian oleh Perseroan akan memberikan
material tersebut terhadap kegiatan dampak positif terhadap kegiatan usaha yang dijalankan oleh
operasional, hukum, kondisi keuangan, Perseroan serta memberikan nilai tambah bagi pemegang
atau kelangsungan usaha Emiten atau saham Perseroan

Description of Material Information or On 18 February 2026, the Company and PT Nusa Malioboro
Facts Indah (NMI) entered into a Conditional Sale and Purchase
Agreement over Land and Building Rights, pursuant to which
the Company intends to purchase a plot of land with an area of
1,658 m2 and the Gedoeng Merah ex Matahari Malioboro
shopping center building with a total area of 5,382 m2, located
in Sosromenduran Sub-district, Gedongtengen District, with
title Right to Build Certificate (SHGB) as follows:
a. SHGB No. B.175/Smd;
b. SHGB No. B.176/Smd;
c. SHGB No. B.177/Smd;
d. SHGB No. B.178/Smd; and
e. SHGB No. 415,
owned by NMI, for a purchase price of IDR 68,000,000,000
(sixty-eight billion Rupiah), excluding Value Added Tax (the
Agreement).
Pursuant to the Agreement, the completion of the land and
building purchase is subject to the completion of several
conditions by relevant parties.
