Pada tanggal 18 Februari 2026, Perseroan dan PT Nusa Malioboro Indah (“NMI”) telah menandatangani Perjanjian Pengikatan Jual Beli Hak Atas Tanah dan Bangunan, dimana Perseroan bermaksud untuk membeli tanah seluas 1.658 m2 dan gedung pusat perbelanjaan Gedoeng Merah ex Matahari Malioboro dengan luas 5.382 m?, yang berlokasi di Kelurahan Sosromenduran, Kecamatan Gedongtengen, dengan alas hak Sertifikat Hak Guna Bangunan (“SHGB”) sebagai berikut: SHGB No. B.175/Smd, SHGB No. B.176/Smd, SHGB No. B.177/Smd, SHGB No. B.178/Smd, dan SHGB No. 415, apv yang dimiliki NMI, dengan harga sebesar Rp68.000.000.000 (enam puluh delapan miliar Rupiah) di luar Pajak Pertambahan Nilai (“Perjanjian”). Berdasarkan Perjanjian, penyelesaian dari pembelian tanah dan bangunan tersebut tunduk pada beberapa persyaratan yang harus dipenuhi pihak yang terkait./ On 18 February 2026, the Company and PT Nusa Malioboro Indah (“NMI”) entered into a Conditional Sale and Purchase Agreement over Land and Building Rights, pursuant to which the Company intends to purchase a plot of land with an area of 1,658 m? and the Gedoeng Merah ex Matahari Malioboro shopping center building with a total area of 5,382 m2, located in Sosromenduran Sub-district, Gedongtengen District, with title Right to Build Certificate (“SHGB”) as follows: SHGB No. B.175/Smd' SHGB No. B.176/Smd, SHGB No. B.177/Smd, SHGB No. B.178/Smd, and SHGB No. 415, pa09&& owned by NMI, for a purchase price of IDR 68,000,000,000 (sixty-eight billion Rupiah), excluding Value Added Tax (the “Agreement”). Pursuant to the Agreement, the completion of the land and building purchase is subject to the completion of several conditions by relevant parties. 4. | Dampak kejadian, informasi atau fakta material tersebut terhadap kegiatan operasional, hukum, kondisi keuangan, | atau kelangsungan usaha Emiten atau Perusahaan Publik/ The impact of such material occurrence, information or fact on the operating activities, legal impact, financial conditions, or going concern of the Issuer or Public Company. Penandatangan Perjanjian oleh Perseroan akan memberikan dampak positif terhadap kegiatan usaha yang dijalankan oleh Perseroan serta memberikan nilai tambah bagi pemegang saham Perseroan./ The signing of Agremeent by the Company will have a positive impact on the Company's business activities and provides added value for shareholders of the Company.
