Uraian Informasi atau Fakta Material Pada tanggal 18 Februari 2026, Perseroan dan PT Surya Asri
Lestari (SAL) telah menandatangani Perjanjian Pengikatan
Jual Beli Hak Atas Tanah dan Bangunan, dimana Perseroan
bermaksud untuk membeli tanah seluas 2.056 m2 dan gedung
pusat perbelanjaan Sinar Matahari Bogor dengan luas 1.659
m2, yang berlokasi di Kelurahan Paledang, Kecamatan Bogor
Tengah, dengan alas hak Sertifikat Hak Guna Bangunan
(SHGB) sebagai berikut:
a. SHGB Nomor Identifikasi Bidang Tanah
10.09.000003586.0 ex No. 388;
b. SHGB Nomor Identifikasi Bidang Tanah
10.09.000002590.0 ex No. 389;
c. SHGB Nomor Identifikasi Bidang Tanah
10.09.000002794.0 ex No. 390; dan
d. SHGB Nomor Identifikasi Bidang Tanah
10.09.0000031830.0 ex No. 391,
yang dimiliki SAL, dengan harga sebesar Rp49.500.000.000
(empat puluh sembilan miliar lima ratus juta Rupiah) di luar
Pajak Pertambahan Nilai (Perjanjian).
Berdasarkan Perjanjian, penyelesaian dari pembelian tanah
dan bangunan tersebut tunduk pada beberapa persyaratan
yang harus dipenuhi pihak yang terkait.
Dampak kejadian, informasi atau fakta Penandatangan Perjanjian oleh Perseroan akan memberikan
material tersebut terhadap kegiatan dampak positif terhadap kegiatan usaha yang dijalankan oleh
operasional, hukum, kondisi keuangan, Perseroan serta memberikan nilai tambah bagi pemegang
atau kelangsungan usaha Emiten atau saham Perseroan

Description of Material Information or On 18 February 2026, the Company and PT Surya Asri Lestari
Facts (SAL) entered into a Conditional Sale and Purchase
Agreement over Land and Building Rights, pursuant to which
the Company intends to purchase a plot of land with an area of
2,056 m2 and the Sinar Matahari Bogor shopping center
building with a total area of 1,659 m2, located in Paledang
Sub-district, Bogor Tengah District, with title Right to Build
Certificate (SHGB) as follows:
a. SHGB Land Plot Identification Number
10.09.000003586.0 ex No. 388;
b. SHGB Land Plot Identification Number
10.09.000002590.0 ex No. 389;
c. SHGB Land Plot Identification Number
10.09.000002794.0 ex No. 390; and
d. SHGB Land Plot Identification Number
10.09.000003183.0 ex No. 391,
owned by SAL, for a purchase price of IDR 49,500,000,000
(forty-nine billion five hundred million Rupiah), excluding Value
Added Tax (the Agreement).
Pursuant to the Agreement, the completion of the land and
building purchase is subject to the completion of several
conditions by relevant parties.
