Uraian Informasi atau Fakta Material Pada tanggal 18 Februari 2026, Perseroan dan PT Surya Asri
Lestari (SAL) telah menandatangani Perjanjian Pengikatan
Jual Beli Hak Atas Tanah dan Bangunan, dimana Perseroan
bermaksud untuk membeli tanah seluas 8.001 m2 dan gedung
pusat perbelanjaan Mega M Kedung Badak dengan luas
26.657 m2, yang berlokasi di Kelurahan Kedung Badak,
Kecamatan Tanah Sereal, dengan alas hak Sertifikat Hak
Guna Bangunan (SHGB) sebagai berikut:
a. SHGB No. 1208; dan
b. SHGB No. 1370,
yang dimiliki SAL, dengan harga sebesar Rp122.000.000.000
(seratus dua puluh dua miliar Rupiah) di luar Pajak
Pertambahan Nilai (Perjanjian).
Berdasarkan Perjanjian, penyelesaian dari pembelian tanah
dan bangunan tersebut tunduk pada beberapa persyaratan
yang harus dipenuhi pihak yang terkait
Dampak kejadian, informasi atau fakta Penandatangan Perjanjian oleh Perseroan akan memberikan
material tersebut terhadap kegiatan dampak positif terhadap kegiatan usaha yang dijalankan oleh
operasional, hukum, kondisi keuangan, Perseroan serta memberikan nilai tambah bagi pemegang
atau kelangsungan usaha Emiten atau saham Perseroan.

Description of Material Information or On 18 February 2026, the Company and PT Surya Asri Lestari
Facts (SAL) entered into a Conditional Sale and Purchase
Agreement over Land and Bulding Rights, pursuant to which
the Company intends to purchase a plot of land with an area of
8,001 m2 and the Mega M Kedung Badak shopping center
building with a total area of 26,657 m2, located in Kedung
Badak Sub-district, Tanah Sereal District, with title Right to
Build Certificate (SHGB) as follows:
a. SHGB No. 1208; and
b. SHGB No. 1370.
owned by SAL, for a purchase price of IDR 122,000,000,000
(one hundred twenty-two billion Rupiah), excluding Value
Added Tax (the Agreement).
Pursuant to the Agreement, the completion of the land and
building purchase is subject to the completion of several
conditions by relevant parties.
