Uraian Informasi atau Fakta Material Perseroan telah menerbitkan Obligasi dengan opsi
penyelesaian secara tunai atau melalui konversi menjadi
saham Perseroan. Saldo Obligasi yang akan jatuh tempo pada
tanggal 11 Juli 2026 adalah sebesar Rp559.993.857.416,00
(lima ratus lima puluh sembilan miliar sembilan ratus sembilan
puluh tiga juta delapan ratus lima puluh tujuh ribu empat ratus
enam belas Rupiah). Pada tanggal 29 Januari 2026,
Perseroan telah menerima konfirmasi dari TIS Inc. selaku
pemegang Obligasi dengan saldo tersebut di atas yang telah
menetapkan penyelesaian dengan pembayaran secara tunai.
Dengan memperhatikan Kas dan Setara Kas Perseroan per
tanggal 30 September 2025 tercatat sebesar
Rp445.287.126.776,00 (empat ratus empat puluh lima miliar
dua ratus delapan puluh tujuh juta seratus dua puluh enam
ribu tujuh ratus tujuh puluh enam Rupiah) maka untuk
memenuhi kebutuhan pendanaan operasional Perseroan,
Perseroan merencanakan Penambahan Modal Dengan
Memberikan Hak Memesan Efek Terlebih Dahulu (PMHMETD)
kepada para pemegang saham Perseroan sebagaimana
dimaksud dalam Peraturan Otoritas Jasa Keuangan No.
32/POJK.04/2015 tentang Penambahan Modal Dengan
Memberikan Hak Memesan Efek Terlebih Dahulu (POJK
32/2015). Perseroan juga telah mendapat konfirmasi dari TIS
Inc. yang merupakan pemegang saham utama Perseroan
dengan kepemilikan sebesar 37,30% (tiga puluh tujuh koma
tiga nol persen), telah menyatakan untuk tidak mengambil
bagian atas PMHMETD yang menjadi haknya.
Dampak kejadian, informasi atau fakta Terhadap Kondisi Keuangan Perseroan
material tersebut terhadap kegiatan
operasional, hukum, kondisi keuangan, Rencana PMHMETD akan mempengaruhi kemampuan
atau kelangsungan usaha Emiten atau Perseroan untuk melakukan penyelesaian Obligasi yang akan
Perusahaan Publik jatuh tempo pada tanggal 11 Juli 2026, tanpa harus dibebani
dengan bunga pinjaman tambahan termasuk membiayai
operasional Perseroan.
Dalam hal pelaksanaan PMHMETD untuk mengambil bagian
atas saham baru yang diterbitkan Perseroan maka Perseroan
akan mencatat sebagai penambahan modal ditempatkan dan
disetor penuh sesuai dengan nilai nominal Rp100,00 (seratus
Rupiah) per saham yang diterbitkan dan tambahan setoran
modal atas selisih harga pelaksanaan dengan nilai nominal
(agio).
Terhadap Pemegang Saham
Bagi pemegang saham Perseroan yang tidak menggunakan
haknya untuk mengambil bagian atas saham baru yang
ditawarkan, maka dengan asumsi seluruh saham baru dalam
PMHMETD ini, pemegang saham tersebut akan terkena dilusi
atas persentase kepemilikan saham Perseroan maksimum
sebesar 7,68% (tujuh koma enam delapan persen).

Disclosure of information in connection with a capital increase

Authority Regulation No. 14/POJK.04/2019 (POJK 14/2019)
Description of Material Information or The Company has issued Bonds with an option for settlement
Facts in cash or through conversion into the Companys shares. The
outstanding balance of the Bonds maturing on 11 July 2026
amounts to Rp559,993,857,416.00 (five hundred fifty nine
billion nine hundred ninety three million eight hundred fifty
seven thousand four hundred sixteen Rupiah). On 29 January
2026, the Company received confirmation from TIS Inc as the
holder of the Bonds with the above balance, that it has elected
settlement by way of cash payment.
Considering that the Companys Cash and Cash Equivalents
as of 30 September 2025 were recorded at
Rp445,287,126,776.00 (four hundred forty five billion two
hundred eighty seven million one hundred twenty six thousand
seven hundred seventy six Rupiah), and in order to meet the
Companys operational funding needs, the Company plans to
undertake a Capital Increase by Granting Pre Emptive Rights
(Penambahan Modal Dengan Memberikan Hak Memesan Efek
Terlebih Dahulu or PMHMETD) to the Companys shareholders
as referred to in Financial Services Authority Regulation No.
32/POJK.04/2015 concerning Capital Increases by Granting
Pre-Emptive Rights (POJK 32/2015). The Company has also
obtained confirmation from TIS Inc being the Companys main
shareholder with ownership of 37.30% (thirty seven point three
zero percent), that it has declared its intention not to exercise
the PMHMETD to which it is entitled.

Company’s operational activities, legal, The PMHMETD plan will affect the Companys ability to settle
financial condition, or going concern the Bonds maturing on 11 July 2026, without having to incur
additional loan interest expenses, while also financing the
Companys operations.
In the event that the PMHMETD is implemented and
subscribed for the newly issued shares of the Company, the
Company will record the proceeds as an increase in issued
and fully paid up capital in accordance with the nominal value
of Rp100.00 (one hundred Rupiah) per issued share and as
additional paid in capital in the amount of the excess of the
exercise price over the nominal value (share premium).
Impact on Shareholders
For the Companys shareholders who do not exercise their
rights to subscribe for the newly offered shares, assuming all
new shares issued under the PMHMETD are subscribed for in
full, such shareholders will be subject to a maximum dilution in
their percentage of share ownership in the Company of 7.68%
(seven point six eight percent).
