Uraian Informasi atau Fakta Material/ Perseroan telah mendirikan anak perusahaan baru
Description of Material Information or Facts berdasarkan hukum negara Republik Indonesia,
yang bernama PT Artha Rasa Cimory (“PT ARC”),
yang berkedudukan di Jakarta Barat. PT ARC
didirikan berdasarkan Akta Pendirian Nomor 17
tertanggal 15 Januari 2026, yang dibuat dihadapan
Notaris Wenda Taurusita Amidjaja, SH di Jakarta
dan disahkan berdasarkan Surat Keputusan SK
Menteri Hukum dan Hak Asasi Manusia Republik
Indonesia No.AHU-0008849.AH.01.11. Tahun 2026
tertanggal 20 Januari 2026.
Pendirian anak perusahaan baru tersebut bertujuan
untuk menunjang rencana bisnis Perseroan dalam
jangka panjang. Susunan Pemegang Saham PT
ARC, adalah sebagai berikut:

Nama Pemegang Saham % Kepemilikan PT Cisarua Mountain Dairy Tbk 99% Farell Grandisuri 1% The Company has established a new subsidiary under the laws of the Republic of Indonesia, named PT Artha Rasa Cimory (“PT ARC”), domiciled in West Jakarta. PT ARC was established based on Deed of Establishment No.17 dated 15 January 2026, drawn before Wenda Taurusita Amidjaja, SH Notary in Jakarta and ratified based on the Decree of the Minister of Law and Human Rights of the Republic of Indonesia No. No.AHU- 0008849.AH.01.11. Year 2026 dated 20 January 2026. The establishment of PT ARC as a new subsidiary aims to support the Company’s long term business strategy. The composition of the shareholders, as follows: Name of Shareholder % Ownership PT Cisarua Mountain Dairy Tbk 99% Farell Grandisuri 1% PT ARC didirikan dengan modal dasar senilai Rp10.000.000.000,- (sepuluh miliar Rupiah) terbagi atas 100.000 (seratus ribu) saham, masing-masing saham bernilai nominal Rp100.000,- (seratus ribu Rupiah). Modal dasar tersebut telah ditempatkan dan disetor penuh sejumlah 25.000 (dua puluh lima ribu) saham dengan nilai nominal seluruhnya sebesar berjumlah Rp2.500.000.000,- (dua miliar lima ratus juta Rupiah) oleh para pemegang saham. PT ARC was established with authorized capital of Rp10,000,000,000,- (ten billion Rupiah) divided into 100,000 (one hundred thousand) shares, each share having a nominal value of Rp100,000,- (one hundred thousand Rupiah). The authorized capital and fully paid up in the amount of 25,000 (twenty- five thousand) shares with a total nominal value of Rp2,500,000,000,- (two billion five hundred million Rupiah) by the shareholders.
