Uraian Informasi atau Fakta Material Merujuk pada:
- Surat dari BP BUMN kepada Perseroan nomor S-
26/BPU/01/2026 tanggal 6 Januari 2026 perihal
Pemberitahuan Penandatanganan Perjanjian Pengalihan
Saham PT Semen Indonesia (Persero) Tbk, dan
- Surat dari PT DAM kepada Perseroan nomor SR.008/DI-
DAM/DO/2026 tanggal 6 Januari 2026 perihal Pemberitahuan
Penandatanganan Perjanjian Pengalihan Saham PT Semen
Indonesia (Persero) Tbk,
pelaksanaan transaksi pengalihan kepemilikan saham telah
dilakukan dengan penandatanganan Perjanjian Pengalihan
Saham Milik Negara Republik Indonesia berupa Saham Seri B
pada BUMN kepada Badan Pengaturan Badan Usaha Milik
Negara Nomor PERJ-1/BPU/01/2026 dan Nomor
LGL1.001/PERJ/DI-DAM.DO/2026 tanggal 5 Januari 2026
antara Kepala BP BUMN dan PT DAM, di mana PT DAM telah
menyerahkan sejumlah lembar saham di Perseroan yang
dimiliki oleh PT DAM kepada BP BUMN. Dengan demikian, BP
BUMN memiliki saham sebesar 1% (satu persen) dari jumlah
kepemilikan Negara Republik Indonesia melalui BP BUMN dan
PT DAM pada Perseroan, sejalan dengan ketentuan UU
16/2025.
Dampak kejadian, informasi atau fakta tidak terdapat dampak yang bersifat material terhadap
material tersebut terhadap kegiatan kegiatan operasional, hukum, kondisi keuangan, atau

Management ("DAM") in SMGR Shares
Description of Material Information or In accordance:
Facts - Letter from BP BUMN to the Company No. S-
26/BPU/01/2026 dated 6 January 2026 regarding Notification
of the Signing of the Share Transfer Agreement of PT Semen
Indonesia (Persero) Tbk; and
- Letter from PT DAM to the Company No. SR.008/DI-
DAM/DO/2026 dated 6 January 2026 regarding Notification of
the Signing of the Share Transfer Agreement of PT Semen
Indonesia (Persero) Tbk,
the execution of the share ownership transfer transaction has
been carried out through the signing of the Share Transfer
Agreement of the Republic of Indonesia's State-Owned Shares
in the form of Series B Shares in a State-Owned Enterprise to
the State-Owned Enterprise Regulatory Agency No. PERJ-
1/BPU/01/2026 and No. LGL1.001/PERJ/DI-DAM.DO/2026
dated 5 January 2026, between the Head of BP BUMN and PT
DAM. Under this agreement, PT DAM has transferred a
number of shares in the Company owned by PT DAM to BP
BUMN. Accordingly, BP BUMN holds 1% (one percent) of the
total shareholding of the Government of the Republic of
Indonesia in the Company through BP BUMN and PT DAM, in
accordance with the provisions of Law 16/2025.
