BUMN (BP BUMN) dalam rangka pelaksanaan UU BUMN.
Uraian Informasi atau Fakta Material 1. Pengalihan kepemilikan 485.333.332 Saham Seri B
Perseroan atau 0,52 % (nol koma lima puluh dua persen) dari
seluruh saham yang telah dikeluarkan dan disetor penuh
Perseroan milik DAM kepada BP BUMN yang akan
diklasifikasikan menjadi saham seri A Dwiwarna.
2. Pelaksanaan transaksi pengalihan saham dilakukan
dengan penandatanganan Perjanjian Pengalihan Saham Milik
Negara Republik Indonesia Berupa Saham Seri B Pada BUMN
Kepada Badan Pengaturan Badan Usaha Milik Negara No.
PERJ-1/BPU/01/2026 dan No. LGL1.001/PERJ/DI-DAM.
DO/2026 tanggal 5 Januari 2026 antara Kepala BP BUMN dan
DAM.
Dengan terdapatnya pengalihan tersebut, BP BUMN memiliki
saham Perseroan sebesar 1% (satu persen) dari jumlah
kepemilikan Negara melalui BP BUMN dan DAM dalam
Perseroan.
3. Pengalihan saham milik Negara RI tersebut
merupakan pelaksanaan peraturan perundang-undangan,
yaitu UU BUMN.
Dampak kejadian, informasi atau fakta 1. Negara RI merupakan pengendali melalui
material tersebut terhadap kegiatan kepemilikan langsung saham seri A Dwiwarna Perseroan dan
operasional, hukum, kondisi keuangan, tetap merupakan Pemilik Manfaat Akhir (ultimate beneficial
atau kelangsungan usaha Emiten atau owner) dari Perseroan melalui kepemilikan secara tidak
Perusahaan Publik langsung melalui DAM.
2. Pengalihan saham tersebut tidak mempengaruhi
kegiatan operasional, hukum, kondisi keuangan, dan
kelangsungan usaha Perseroan.

Transfer of Shares of the Company owned by PT Danantara
Type of Material Information or Facts Asset Management (Persero) (DAM) to State-Owned
Enterprise Regulatory Agency (BP BUMN) in the context of
implementing the UU BUMN.
Description of Material Information or 1. Transfer of ownership of 485,333,332 Series B
Facts Shares of the Company or 0.52% (zero point fifty two percent)
of all shares that have been issued and fully paid up by the
Company owned by DAM to BP BUMN which will be classified
as series A Dwiwarna shares.
2. The implementation of the share transfer transaction
was carried out by signing the Agreement on the Transfer of
State-Owned Shares of the Republic of Indonesia in the Form
of Series B Shares in BUMN to the State-Owned Enterprise
Regulatory Agency No. PERJ-1/BPU/01/2026 and No. LGL1.
001/PERJ/DI-DAM.DO/2026 dated January 5, 2026 between
the Head of BP BUMN and DAM.
With this transfer, BP BUMN owns shares in the Company
amounting to 1% (one percent) of the total State ownership
through BP BUMN and DAM in the Company.
3. The transfer of shares owned by the Republic of
Indonesia is the implementation of UU BUMN.
Impact of event, material information or 1. The Republic of Indonesia is the controller through
facts towards Issuers or Public direct ownership of the Company's Dwiwarna Series A shares
Company’s operational activities, legal, and remains the ultimate beneficial owner of the Company
financial condition, or going concern through indirect ownership through DAM.
2. The transfer of shares does not affect the operational
activities, legal matters, financial condition and business
continuity of the Company.
