Kredit antara Perseroan dengan PT Bank Central Asia Tbk
dan PT Bank Mandiri (Persero) Tbk
Uraian Informasi atau Fakta Material Pada tanggal 30 Desember 2025, PT Darma Henwa Tbk
mendandatangani Perjanjian Fasilitas Kredit dengan BCA dan
Bank Mandiri senilai total Rp 5.000.000.000.000 (lima triliun
rupiah) dengan rincian informasi sebagai berikut:
1. Kredit Investasi
Fasilitas Kredit Investasi senilai Rp3.390.000.000.000 (tiga
triliun tiga ratus Sembilan puluh miliar rupiah):
i. Tranche A Rp2.144.000.000.000 (dua triliun seratus
empat puluh empat miliar rupiah) untuk pembiayaan kembali
atas fasilitas eksisting Peroseran.
ii. Tranche B Rp1.246.000.000.000 (satu triliun dua
ratus empat puluh enam miliar rupiah) untuk pembiayaan
pembelian mesin dan alat berat dan/atau alat pendukung
lainnya.
Jangka waktu fasilitas kredit investasi selama 5 (lima) tahun
sejak penandatanganan perjanjian kredit.
Suku bunga pinjaman adalah Compounded INDONIA 90 hari +
Margin (Efektif 6,75%).
2. Kredit Modal Kerja
Kredit modal kerja sebesar Rp1.610.000.000.000 (satu triliun
enam ratus sepuluh miliar rupiah) untuk pembiayaan Kembali
fasilitas kredit modal kerja eksisting dan modal kerja
Perseroan.
Jangka waktu fasilitas kredit modal kerja selama 2 (dua) tahun
sejak penandatanganan perjanjian kredit.
Suku bunga pinjaman adalah Compounded INDONIA 90 hari +
Margin (Efektif 6,75%)

Dampak kejadian, informasi atau fakta a. Fasilitas pinjaman yang diterima akan menambah
material tersebut terhadap kegiatan kewajiban Perseroan, namun juga akan berdampak positif
operasional, hukum, kondisi keuangan, bagi likuiditas Perseroan karena akan mendukung
atau kelangsungan usaha Emiten atau pembiayaan operasional Perseroan yang berdampak pada
Perusahaan Publik kinerja keuangan Perseroan.
b. Fasilitas pinjaman yang diterima akan berdampak
pada peningkatan produktivitas operasional Perseroan.
c. Fasilitas pinjaman yang diterima akan berdampak
pada semakin baiknya kelangsungan usaha Perseroan.
d. Peristiwa, informasi, atau fakta material tersebut tidak
mempunyai dampak material terhadap hukum.

Description of Material Information or On 30 December 2025, PT Darma Henwa Tbk entered into a
Facts Credit Facility Agreement with PT Bank Central Asia Tbk and
PT Bank Mandiri (Persero) Tbk with a total facility amount of
Rp5,000,000,000,000 (five trillion rupiah), with the following
details:
1. Investment Credit Facility
Investment Credit Facility amounting to Rp3,390,000,000,000
(three trillion three hundred ninety billion rupiah), consisting of:
i. Tranche A in the amount of Rp2,144,000,000,000 (two trillion
one hundred forty-four billion rupiah), to be used for
refinancing the Companys existing facilities; and
ii. Tranche B in the amount of Rp1,246,000,000,000 (one
trillion two hundred forty-six billion rupiah), to be used for
financing the purchase of machinery and heavy equipment
and/or other supporting equipment.
The tenor of the Investment Credit Facility is 5 (five) years from
the signing date of the credit agreement.
The interest rate is Compounded 90-day INDONIA plus margin
(effective rate of 6.75%).
2. Working Capital Credit Facility
Working Capital Credit Facility amounting to
Rp1,610,000,000,000 (one trillion six hundred ten billion
rupiah), to be used for refinancing existing working capital
credit facilities and for the Companys working capital
requirements.
The tenor of the Working Capital Credit Facility is 2 (two) years
from the signing date of the credit agreement.
The interest rate is Compounded 90-day INDONIA plus margin
Impact of event, material information or a. The loan facilities received will increase the Companys
facts towards Issuers or Public liabilities; however, they will also have a positive impact on the
Company’s operational activities, legal, Companys liquidity as they support the Companys operational
financial condition, or going concern financing, which in turn affects the Companys financial
performance.
b. The loan facilities received will have a positive impact on
improving the Companys operational productivity.
c. The loan facilities received will contribute to the
improvement of the Companys business continuity.
d. The said event, information, or material fact does not have
any material legal impact.
