  Petrindo Announces Negotiations in Connection with the
   Proposed Acquisition of PT Singaraja Putra Tbk (SINI)


Jakarta, 29 December 2025 – PT Petrindo Jaya Kreasi Tbk (IDX: CUAN) (“Petrindo”) hereby announces
that the Company has officially disclosed the commencement of negotiations in connection with the
proposed acquisition of PT Singaraja Putra Tbk (SINI). Upon completion of the proposed acquisition,
it is expected that Petrindo and/or its affiliates (including through PT Petrosea Tbk) will own at least
51% of the total issued and/or to-be-issued shares of SINI, and accordingly become the controlling
shareholder of SINI. Following its designation as the controlling shareholder of SINI, Petrindo, on a
consolidated basis, will hold a number of coal mining concessions with total reserves of
approximately 378 million tons of thermal and metallurgical coal, positioning Petrindo as one of the
largest coal mining companies in Indonesia.

“The proposed acquisition is intended to strengthen the Petrindo Group’s asset base, expand its
business network, and form part of the Group’s long-term business development strategy to build an
integrated mining and mining services company,” said Michael, President Director of Petrindo.

As of the date of this announcement, Petrindo, through its subsidiary, PT Kreasi Jasa Persada,
together with its affiliates, indirectly holds 19.99% of the issued and paid-up share capital of SINI. At
present, the Company is engaged in discussions with the controlling shareholder of SINI regarding
the proposed acquisition, including the transaction structure, the estimated number of shares to be
acquired, the acquisition price, and the targeted completion timeline.

The proposed acquisition will be fully subject to the outcome of the ongoing negotiations, including
but not limited to the execution of definitive agreements, the fulfilment of all required conditions,
and the receipt of all necessary approvals in accordance with applicable laws and regulations.
Furthermore, Petrindo, as the prospective new controlling shareholder of SINI, will appoint a
Petrindo-controlled entity to conduct a mandatory tender offer following the completion of the
proposed acquisition, in compliance with the prevailing capital market regulations.
