Other material information or fact relating to
the signing of the Fourth Addendum to the
Conditional New Share Purchase Agreement
on 22 December 2025 between the Company
and PT Sumber Mineral Abadi (“SMA”).

3. | Uraian Informasi atau Fakta Material /
Description of material information or fact

Pada tanggal 22 Desember 2025, telah
dilakukan — penandatanganan — Addendum
Keempat Perjanjian Pembelian Saham Baru
Bersyarat antara Perseroan dan SMA
(“Addendum Keempat”), sehubungan dengan
rencana Perseroan untuk membeli saham baru
SMA sejumlah sebesar-besarnya 50Y6 (Lima
Puluh Persen) dari seluruh modal ditempatkan
dan disetor pada SMA.

On 22 December 2025, the Fourth Addendum
to the Conditional New Share Purchase
Agreement was signed between the Company
and SMA (“Fourth Addendum"”), in relation to
the Company's plan to purchase SMA's new
shares amounting to a maximum of 5046 (fifty
percent) of all issued and paid-up capital in
SMA.

Dalam  Addendum — Keempat,
perubahan sebagai berikut:

terdapat

1) Perubahan periode kondisi prasyarat yang
sebelumnya paling lambat 31 Desember
2025 menjadi paling lambat 31 Desember
2026.

2) Perubahan tanggal penyelesaian yang
sebelumnya paling lambat pada tanggal 31
Desember 2025 menjadi paling lambat
pada tanggal 31 Desember 2026.

3) Perubahan kondisi prasyarat yang diatur

dalam Pasal 4.1 dengan menghapus
ketentuan yang sebelumnya ada pada huruf
(l) dikarenakan tidak lagi relevan dengan
kondisi saat ini dan merubah ketentuan
yang pada huruf (f), (i) dan (j) dengan detail
sebagai berikut:

Sebelumnya:

Perseroan — telah — menyusun — dan
menyampaikan kepada Investor Rencana
Kerja dan Anggaran Biaya (RKAB) Tahun
2024 sampai dengan Tahun 2026.

Menjadi:

menyampaikan kepada Investor Rencana
Kerja dan Anggaran Biaya (RKAB) Tahun
2026.

Pasal 4.1 huruf (i):

Sebelumnya:

Bukti bahwa Perseroan telah memenuhi
kewajiban untuk pembayaran Iuran Tetap
tahun 2023, 2024, dan 2025.

Menjadi:

Bukti bahwa Perseroan telah memenuhi
kewajiban untuk pembayaran Iuran Tetap
tahun 2026.

Pasal 4.1 huruf (7):

Sebelumnya:

Perseroan telah menyerahkan kepada
Investor laporan keuangan Perseroan per
31 Desember 2024 yang telah diaudit oleh
akuntan publik yang disajikan sesuai
dengan Hukum dan Ketentuan Yang

In the Fourth Addendum, there are changes as
Jollows:

Change of the condition precedent period
from no later than 31 December 2025
becomes no later than 31 December 2026.

Change of completion date from previously
no later than 31 December 2025 to no later
than 31 December 2026.

Change of condition precedent that
regulated under Article 4.1 by deleting the
provisions previously in letter (I) because
they are no longer relevant to current
conditions and changing the provisions in
letters (9), (i) and (j) with the following
details:
