Uraian Informasi atau Fakta Material 1. Berdasarkan Keputusan Rapat Umum Pemegang
Saham Perseroan pada tanggal 25 Maret 2025 dan 4 Agustus
2025 telah disetujui pengangkatan pengurus Perseroan yaitu:
a. Bpk. Yuliot sebagai Komisaris
b. Bpk. Zulkifli Zaini sebagai Komisaris Independen
c. Bpk. Sunarto sebagai Direktur Information
Technology
di mana pengangkatan ketiga pengurus tersebut akan berlaku
efektif setelah mendapat persetujuan dari Otoritas Jasa
Keuangan atas Penilaian Kemampuan dan Kepatutan.
2. Pengangkatan pengurus dimaksud telah memperoleh
persetujuan dari Otoritas Jasa Keuangan atas Penilaian
Kemampuan dan Kepatutan sesuai surat No. SR-528/PB.
02/2025 tanggal 17 Desember 2025 perihal Penyampaian
Keputusan Hasil Penilaian Kemampuan dan Kepatutan (PKK)
atas Pengangkatan Pengurus PT Bank Mandiri (Persero) Tbk
3. Sehubungan dengan hal tersebut, maka
pengangkatan ketiga pengurus Perseroan sebagaimana butir
1 telah dinyatakan efektif sejak tanggal 17 Desember 2025.

Description of Material Information or 1. Based on the resolution of the Company's General
Facts Meeting of Shareholders on March 25, 2025, and August 4,
2025, the appointment of the Company's management has
been approved, namely:
1. Mr. Yuliot as Commissioner
2. Mr. Zulkifli Zaini as Independent Commissioner
3. Mr. Sunarto as Director of Information Technology
where the appointment of the three officials will take effect
after obtaining approval from the Financial Services Authority
regarding the Fit and Proper Assessment.
2. The appointment of the management has obtained
approval from the Financial Services Authority regarding the
Fit and Proper Assessment in accordance with letter No. SR-
528/PB.02/2025 dated December 17, 2025 concerning
Submission of Decision on the Results of the Fit and Proper
Test for the Appointment of Management of PT Bank Mandiri
(Persero) Tbk.
3. In relation to this matter, the appointment of the three
company management members as referred to in point 1 has
been declared effective as of December 17, 2025.
