Uraian Informasi atau Fakta Material Pada tanggal 12 Desember 2025, Perseroan telah
melaksanakan Rapat Umum Pemegang Saham Luar Biasa
dimana salah satu Mata Acaranya adalah Persetujuan atas
rencana Perseroan untuk melakukan Pemisahan Sebagian
Bisnis dan Aset Wholesale Fiber Connectivity (Tahap-1) yang
merupakan bagian dari rencana Pengalihan Seluruh Bisnis
dan Aset Wholesale Fiber Connectivity kepada PT Telkom
Infrastruktur Indonesia, anak perusahaan yang sahamnya
dimiliki secara langsung oleh Perseroan sebesar 99,99%
(sembilan puluh sembilan koma sembilan sembilan persen),
sebagai pemenuhan atas ketentuan Pasal 89 ayat (1) dan
Pasal 127 ayat (1) Undang-Undang Nomor 40 Tahun 2007
tentang Perseroan Terbatas sebagaimana telah diubah
terakhir dengan Undang-Undang Nomor 6 Tahun 2023
tentang Penetapan Peraturan Pemerintah Pengganti Undang-
Undang Nomor 2 Tahun 2022 Tentang Cipta Kerja Menjadi
Undang-Undang juncto Pasal 25 ayat (6)

Description of Material Information or On December 12, 2025, the Company has held its
Facts Extraordinary General Meeting of Shareholders whereas one
of the agendas was Approval of the Company's plan to
conduct a Partial Spin-Off of the Wholesale Fiber Connectivity
Business and Assets (Phase-1), which constitutes part of the
plan to Transfer the Entire Wholesale Fiber Connectivity
Business and Assets to PT Telkom Infrastruktur Indonesia
(TIF), a subsidiary whose shares are directly owned by the
Company at 99.99%, in compliance with the provisions of
Article 89 paragraph (1) and
Article 127 paragraph (1) of Law Number 40 of 2007
concerning Limited Liability Companies as lastly amended by
Law Number 6 of 2023 concerning the Stipulation of
Government Regulation in Lieu of Law Number 2 of 2022
concerning Job Creation into Law in conjunction with Article 25
paragraph (6) of the Company's Articles of Association.
