Uraian Informasi atau Fakta Material A) Bentuk dan Tujuan Transaksi: Perpanjangan jangka waktu
pemberian fasilitas (i) Kredit Modal Kerja untuk keperluan
Tambahan modal kerja usaha dan Letter of Credit (L/C) /
SKBDN dan (ii) Fasilitas Kredit Tidak Langsung untuk
keperluan jaminan tender, uang muka, pembelian,
pelaksanaan, pemeliharaan, dan jenis Garansi Bank / SBLC
lainnya yang bankable dan feasible atas kontrak / SPK / PO /
invoice yang akan disediakan oleh BNI sebagai bank, selama
jangka waktu Perjanjian Kredit. Fasilitas pinjaman akan
disediakan oleh BNI kepada PT. Soho Global Health, Tbk, PT.
Soho Industri Pharmasi dan PT. Parit Padang Global sebagai
Para Penerima Fasilitas (selanjutnya disebut "Para
Peminjam") berdasarkan surat permohonan yang harus
diberikan oleh Para Peminjam kepada BNI, sesuai dengan
syarat dan ketentuan Perjanjian Kredit;
B) Nilai Maksimum Fasilitas: Berdasarkan Persetujuan
Perubahan Perjanjian Fasilitas Kredit Tidak Langsung No. (1)
32, fasilitas yang diberikan oleh BNI untuk tujuan keperluan
jaminan tender, uang muka, pembelian, pelaksanaan,
pemeliharaan, dan jenis Garansi Bank / SBLC lainnya yang
bankable dan feasible atas kontrak / SPK / PO / invoice
dengan nilai maksimum sebesar Rp. 600.000.000.000 (enam
ratus miliar Rupiah). Dan berdasarkan Perubahan Perjanjian
Kredit Modal Kerja R/C No. (1) 31. Fasilitas yang diberikan
oleh BNI untuk tujuan keperluan tambahan modal kerja usaha
dan Letter of Credit (L/C) /SKBDN dengan nilai maksimum
sebesar Rp. 150.000.000.000 (seratus lima puluh miliar
Rupiah).
Dampak kejadian, informasi atau fakta Transaksi ini akan memberikan tambahan fleksibilitas
material tersebut terhadap kegiatan keuangan bagi Perseroan dan anak perusahaannya untuk
operasional, hukum, kondisi keuangan, mendukung kebutuhan modal kerja dan kas operasional.

The Execution of the Amendment Agreement to Indirect Credit
Type of Material Information or Facts Facility Agreement No. (1) 32 and the Amendment Agreement
to Revolving Credit Working Capital Agreement No. (1) 31 by
PT Soho Global Health Tbk., PT Soho Industri Pharmasi, and
PT Parit Padang Global with PT Bank Negara Indonesia Tbk
Description of Material Information or A) Form and Purpose of the Transaction: Period extension for
Facts the provision of Working Capital Credit for the purpose of
working capital addition and Letter of Credit (L/C) / SKBDN
and (ii) Indirect Credit Facility for the purpose of auction
guarantee, advance payment, purchase, performance,
maintenance, and other type of Bank Guarantee / SBLC which
are bankable and feasible under a contract / work order /
invoice facilities to be provided by BNI as the bank, during the
term of the Loan Agreement. Loan facilities will be provided by
BNI to PT. Soho Global Health, Tbk, PT Soho Industri
Pharmasi, and PT Parit Padang Global as the Facility
Recipients (hereinafter referred to as the "Borrowers") based
on a request letter that must be provided by the Borrowers to
BNI, in accordance with the terms and conditions of the Loan
Agreement;
B) Based on the Approval for the Amendment Agreement to
Indirect Credit Facility Agreement No. (1) 32, the facility
provided by BNI is intended for the purposes of auction
guarantee, advance payment, purchase, performance,
maintenance, and other type of Bank Guarantee / SBLC which
are bankable and feasible under a contract / work order /
invoice, with a maximum value of IDR 600,000,000,000 (six
hundred billion Rupiah). And based on the Approval for the
Amendment Agreement to Revolving Credit Working Capital
Agreement No. (1) 31 the facility provided by BNI is intended
for additional working capital and Letter of Credit
(L/C)/SKBDN, with a maximum value of IDR 150,000,000,000
(one hundred fifty billion Rupiah).

Impact of event, material information or This Transaction will provide the Company and its subsidiaries
facts towards Issuers or Public with additional financial flexibility to support its working capital
Company’s operational activities, legal, and operating cash needs. The Company and its subsidiaries
financial condition, or going concern have the flexibility to draw down partially or fully the loan
facility by serving the request letter.
