Indonesia (“Pembeli”) sesuai dengan ketentuan
Perjanjian Pengalihan Bisnis tanggal 22
November 2024 antara Perseroan dan Pembeli,
sebagaimana diubah dari waktu ke waktu
(“Transaksi”).
Transaksi telah memperoleh persetujuan
pemegang saham (termasuk pemegang saham
independen) Perseroan pada Rapat Umum
Pemegang Saham Luar Biasa dan Rapat
Umum Pemegang Saham Independen yang
diadakan pada tanggal 14 Januari 2025, sesuai
dengan ketentuan Peraturan OJK No.
17/POJK.04/2020 tentang Transaksi Material
dan Perubahan Kegiatan Usaha./
On 8 December 2025, the Company completed
the sale of the Company’s ice cream business
to PT The Magnum Ice Cream Indonesia (the
“Purchaser”) in accordance with the provisions
of the Business Transfer Agreement dated 22
November 2024 between the Company and the
Purchaser, as amended from time to time (the
“Transaction”).
The Transaction has obtained the approval of
the shareholders (including the independent
shareholders) of the Company at the
Extraordinary General Meeting of Shareholders
and General Meeting of Independent
Shareholders held on 14 January 2025, in
accordance with the provisions of OJK
Regulation No. 17/POJK.04/2020 on Material
Transactions and Change in Business Activities.
