menyampaikan Keterbukaan Informasi in relation to an event that will increase the

Type of Information or Material Fact Sarana Indonesia yang merupakan anak usaha atau perusahaan
terkendali dari Perseroan (“FSI”) dengan PT Bank Danamon
Indonesia Tbk (“Bank”) (“Fasilitas Kredit”).
The execution of a Credit Facility Agreement between PT Fastel Sarana
Indonesia, a subsidiary or controlled entity of the Company (“FSI”),
and PT Bank Danamon Indonesia Tbk (“Bank”) (the “Credit Facility”).
3 Uraian Informasi Para Pihak dalam Transaksi:
Description of the Information a. Debitur: PT Fastel Sarana Indonesia (“FSI”), merupakan
anak usaha atau Perusahaan terkendali yang sahamnya
dimiliki 99,99% oleh Perseroan, sehingga laporan
keuangannya terkonsolidasi dengan Perseroan.
b. Kreditur: PT Bank Danamon Indonesia Tbk (“Bank”), Bank
Umum yang memberikan Fasilitas Kredit.
Deskripsi Fasilitas Kredit dalam Transaksi:
a. Jenis Fasilitas Kredit: Fasilitas Kredit Angsuran berjangka
(KAB) - Committed (Non-Revolving).
b. Nilai Fasilitas Kredit: Rp100.000.000.000,- (seratus miliar
Rupiah).
c. Tujuan Penggunaan: Untuk mendukung pertumbuhan
belanja modal (CAPEX) FSI.
d. Jangka Waktu Fasilitas Kredit: 18 Bulan setelah tanggal
penandatanganan Perjanjian Fasilitas Kredit atau hingga 16
Maret 2027, yang mana yang lebih dulu.
e. Jaminan: Clean Basis.
Dengan ditandatanganinya Fasilitas Kredit sebagaimana dimaksud
dalam Keterbukaan Informasi ini maka mengakibatkan
penambahan kewajiban keuangan Perseroan.
Penandatangan Fasilitas Kredit sebagaimana dimaksud dalam
Keterbukaan Informasi ini tidak mengakibatkan menurunnya
pendapatan Perseroan.
Parties to the Transaction:
a. Debtor: PT Fastel Sarana Indonesia (“FSI”), a subsidiary or
controlled entity whose shares are owned 99.99% by the
Company, and therefore its financial statements are
consolidated with the Company.

b. Creditor: PT Bank Danamon Indonesia Tbk (“Bank”), a
Commercial Bank providing the Credit Facility.
Description of the Credit Facility in the Transaction:
a. Type of Credit Facility: Term Instalment Credit Facility (KAB)
– Committed (Non-Revolving).
b. Credit Facility Amount: Rp100,000,000,000 (one hundred
billion Rupiah).
c. Purpose of Use: To support the capital expenditure (CAPEX)
growth of FSI.
d. Credit Facility Tenor: 18 months after the signing date of the
Credit Facility Agreement or until 16 March 2027, whichever
is earlier.
e. Collateral: Clean Basis.
The execution of the Credit Facility as disclosed in this Information
Disclosure results in an increase in the Company’s financial liabilities.
The execution of the Credit Facility as disclosed in this Information
Disclosure does not result in a decrease in the Company’s revenue.

Company and/or FSI has obtained all required approvals from
all creditors (if mandated) as stipulated in each of the
credit/financing agreements.

II. Informasi yang disampaikan dalam Keterbukaan Informasi ini
merupakan informasi yang diungkapkan Perseroan guna
memenuhi ketentuan POJK 31/2015.
The information conveyed in this Information Disclosure
constitutes information disclosed by the Company in order to
comply with the provisions of POJK 31/2015.
III. Apabila terdapat perubahan atau penyesuaian informasi atas
Informasi atau Fakta Material di atas, maka Perseroan akan
menginformasikan kembali perubahan dan/atau penyesuaian
tersebut secara resmi melalui Sistem Pelaporan Elektronik (SPE)
OJK-IDX pada kesempatan pertama.
Should there be any changes or adjustments to the above
Material Information or Facts, the Company will duly inform
such changes and/or adjustments through the OJK-IDX
Electronic Reporting System (SPE) at the earliest opportunity.
