Merujuk pada (i) Peraturan Otoritas Jasa Keuangan No. 32/POJK.04/2015 tentang Penambahan Modal
Perusahaan Terbuka dengan Memberikan Hak Memesan Efek Terlebih Dahulu sebagaimana diubah
dengan Peraturan Otoritas Jasa Keuangan No. 14/POJK.04/2019, (ii) Surat Keputusan Direksi PT Bursa
Efek Indonesia No. Kep-00101/BEI/12-2021 tentang Perubahan Peraturan Nomor I-A tentang
Pencatatan Saham dan Efek Bersifat Ekuitas Selain Saham yang Diterbitkan oleh Perusahaan Tercatat
dan (iii) Surat Edaran Direksi PT Bursa Efek Indonesia No. SE-00002/BEI/03-2020 perihal Tata Cara
Pelaksanaan Program Kepemilikan Saham tertanggal 2 Maret 2020, dengan ini, kami, PT Global Digital
Niaga Tbk (BELI), menyampaikan Keterbukaan Informasi sehubungan dengan rencana pelaksanaan
Program MESOP III Tahap III dan Program MESOP IV Tahap I dengan rincian sebagai berikut:
Referring to the (i) Financial Services Authority Regulation No. 32/POJK.04/2015 regarding Capital
Increase in Public Companies with Pre-Emptive Rights, as amended by Financial Services Authority
Regulation No. 14/POJK.04/2019, (ii) Indonesia Stock Exchange Board of Directors’ Decree No. Kep-
00101/BEI/12-2021 regarding the Amendment of Rule Number I-A concerning Listing of Shares and
Equity Other Than Shares Issued by Listed Companies and (iii) Indonesia Stock Exchange Directors’
Circular Letter No. SE-00002/BEI/03-2020 regarding Procedures on the Implementation of the Share
Ownership Program dated 2 March 2020, hereby, we, PT Global Digital Niaga Tbk (BELI), submit an
Information Disclosure on the exercise plan of MESOP Program III Phase III and MESOP Program IV
Phase I with details as follow:

3. Jumlah Hak Opsi yang : Jumlah hak opsi yang dapat dilaksanakan pada periode
Dilaksanakan / pelaksanaan ini untuk Program MESOP III Tahap III adalah
Total of Exercised Option Rights sebanyak-banyaknya 1.283.677.301 (satu miliar dua ratus
delapan puluh tiga juta enam ratus tujuh puluh tujuh ribu
tiga ratus satu) saham.
Sama halnya dengan Program MESOP III Tahap II,
sebagaimana telah disampaikan melalui Surat Perseroan
No. 009/GDN-LEG/Corsec/SKL/III/2025 tanggal 7 Maret
2025 perihal Keterbukaan Informasi Sehubungan dengan
Rencana Pelaksanaan Program Management and
Employee Stock Option Plan (MESOP) II Tahap IV (“Program
MESOP II Tahap IV”) dan Program MESOP III Tahap II
(“Program MESOP III Tahap II”) PT Global Digital Niaga Tbk.
Hak opsi yang belum dilaksanakan pada periode ini (dalam
hal ini Program MESOP III Tahap III) dapat dilaksanakan
pada periode pelaksanaan berikutnya. /
The total option rights that can be exercised during this
exercise period for MESOP Program III Phase III at the

maximum is 1,283,677,301 (one billion two hundred eighty-
three million six hundred seventy-seven thousand three
hundred one) shares.
Similar to the MESOP III Phase II Program, as stated in
Company Letter No. 009/GDN-LEG/Corsec/SKL/III/2025
dated 7 March 2025 regarding the Information Disclosure
on the Exercise Plan of Management and Employee Stock
Option Plan (MESOP) II Phase IV (“MESOP Program II Phase
IV”) and MESOP III Phase II (“MESOP Program III Phase II”)
of PT Global Digital Niaga Tbk. Any option rights that are not
exercised in this exercise period (in this case MESOP
Program III Phase III), can be exercised in the following
exercise periods.
Program MESOP IV Tahap I / MESOP Program IV Phase I
1. Periode Pelaksanaan / : 30 hari kalender terhitung sejak tanggal 15 Desember
Exercise Period 2025 sampai dengan tanggal 13 Januari 2026 /
30 calendar days since 15 December 2025 until 13 January
2026
2. Harga Pelaksanaan yang Telah : Rp436 per saham /
Ditetapkan Sebelumnya/

3. Jumlah Hak Opsi yang : Jumlah hak opsi yang dapat dilaksanakan pada periode
Dilaksanakan / pelaksanaan ini untuk Program MESOP IV Tahap I adalah
Total of Exercised Option Rights sebanyak-banyaknya 1.300.000.000 (satu miliar tiga ratus
juta) saham. Hak opsi yang belum dilaksanakan pada
periode pelaksanaan ini (dalam hal ini Program MESOP IV
Tahap I) dapat dilaksanakan pada periode pelaksanaan
berikutnya.
The total option rights that can be exercised during this
exercise period for MESOP Program IV Phase I at the
maximum is 1,300,000,000 (one billion three hundred
million) shares. Any option rights that are not exercised in
this exercise period (in this case MESOP Program IV Phase
I) can be exercised in the following exercise periods.
