Material PT Oscar Mitra Sukses Sejahtera Tbk,
Perseroan menerima informasi terkait perkembangan
pengambilalihan Perseroan bahwa:

a. PT Olive Power Invest (“Pembeli”) dan Hendro Jap
dan Hico Mie Tjen (secara bersama-sama,
“Penjual”) telah menandatangani Perjanjian Jual
Beli Saham tanggal 25 November 2025, sehubungan
dengan pembelian sebanyak 1.290.157.112 (satu
miliar dua ratus sembilan puluh juta seratus lima
puluh tujuh ribu seratus dua belas) saham dari
Penjual: dan

b. pelaksanaan pengambilalihan Perseroan melalui
penyelesaian Akuisisi Tahap Kedua oleh Pembeli
telah selesai dilaksanakan (crossing/closing) pada
tanggal 25 November 2025 (“Transaksi”).

Whereas in connection with the Second Phase
Acguisition as stated in the Company's Letter No.
17092025003/OMSS/BODY/IX/2025 dated 17 September
2025, concerning the Report on Material Information or
Facts of PT Oscar Mitra Sukses Sejahtera Tbk, the
Company has received information regarding the
development of the Company's acguisition, stating that:

events,

a. PT Olive Power Invest (the “Buyer”) and Hendro
Jap and Hieo Mie Tjen (collectively, the “Seller”)
have signed a Share Sale and Purchase Agreement
on 25 November 2025, in connection with the
purchase of 1,290,157,112 (one billion two hundred
ninety million one hundred fifty-seven thousand one
hundred and twelve) shares from the Seller: and

b. the Company's acguisition through the completion of
the Second Phase Acguisition by the Buyer was
completed (crossing/closing) on 25 November 2025
(the “Transaction”).

The Seller and the Buyer in this Transaction are not
affiliated parties.

Dengan selesainya Transaksi dimaksud, telah terjadi
perubahan pengendalian Perseroan sesuai ketentuan
perundang-undangan yang berlaku, termasuk namun
tidak terbatas pada pemenuhan ketentuan dalam
Peraturan OJK No. 9/POJK.04/2018 tentang
Pengambilalihan Perusahaan Terbuka, dan oleh
karenanya Perseroan akan melakukan penyesuaian
dokumen internal terkait struktur pemegang saham dan
pengendalian, dimana Pembeli menjadi pengendali baru
Perseroan.

Pada saat keterbukaan informasi ini disampaikan,
Perseroan tidak dapat memastikan dampak informasi
dan fakta material tersebut di atas terhadap kegiatan
operasional, hukum, kondisi keuangan atau
kelangsungan usaha Perseroan. Namun demikian,
Perseroan memperkirakan bahwa pengambilalihan ini
akan memberikan dampak positif terhadap struktur
manajemen, strategi bisnis, dan potensi pengembangan
usaha Perseroan di masa mendatang.

in accordance with the prevailing laws and regulations,
including but not limited to the fulfilment of the
provisions under OJK Regulation No. 9/POJK.04/2018
