Uraian Informasi atau Fakta Material Pada tanggal 21 November 2025, BNPP sebagai kreditur serta
Protelindo sebagai debitur telah menandatangani Amandemen
Perjanjian Fasilitas No. LC/HT-103/LA/2025 terhadap
Perjanjian Fasilitas Pinjaman Bergulir No. LC/HT-093/LA/2024
tertanggal 21 November 2024 yang mana terakhir diubah
dengan Amandemen Perjanjian No. LC/HT-009/LA/2025
tertanggal 22 Januari 2025 sebesar Rp500.000.000.000,00
(Perjanjian Fasilitas BNPP atau Transaksi) sehubungan
dengan perpanjangan jangka waktu fasilitas.
Berdasarkan Perjanjian Fasilitas BNPP, para pihak telah
sepakat untuk memperpanjang jangka waktu fasilitas sampai
dengan 21 November 2026.
Transaksi di atas bukan merupakan transaksi afiliasi maupun
transaksi benturan kepentingan sebagaimana dimaksud dalam
Peraturan OJK No.42/POJK.04/2020 dan bukan merupakan
transaksi material sebagaimana dimaksud dalam Peraturan
OJK No.17/POJK.04/2020 tentang Transaksi Material dan
Perubahan Kegiatan Usaha.
Dampak kejadian, informasi atau fakta Pelaksanaan atas Transaksi tersebut tidak memiliki dampak
material tersebut terhadap kegiatan negatif yang material yang merugikan terhadap kegiatan
operasional, hukum, kondisi keuangan, operasional, hukum, kondisi keuangan, atau kelangsungan
atau kelangsungan usaha Emiten atau usaha Perseroan.

The Signing of Amendment to Revolving Loan Facility

Description of Material Information or On November 21, 2025, BNPP as the lender, along with
Facts Protelindo as the borrower signed Amendment Facility
Agreement No. LC/HT-103/LA/2025 to the Revolving Loan
Facility Agreement No. LC/HT-093/LA/2024 dated November
21, 2024 as lastly amended by Amendment Agreement No.
LC/HT-009/LA/2025 dated January 22, 2025 amounting
IDR500.000.000.000,00 (BNPP Facility Agreement or
Transaction) in connection with the extension of the facility
period.
Based on the BNPP Facility Agreement, the parties have
agreed to extend the facility term until November 21, 2026.
The Transaction does not constitute an affiliated transaction
nor a conflict-of-interest transaction of the Company as
referred to OJK Regulation No. 42/POJK.04/2020 and not a
material transaction as referred to the OJK Regulation No.
17/POJK.04/2020 on Material Transactions and Change of
Business Activities.
Impact of event, material information or The performance of such Transaction does not have negative
