Keterbukaan informasi dalam rangka Penawaran Tender Wajib oleh Pengendali Baru sebagaimana
terlampir dengan ringkasan sebagai berikut:
Latar Belakang Pengambilalihan Pada tanggal 6 Agustus 2025, Bel S.A (Bel) dan PT
Garudafood Putra Putri Jaya Tbk (GPPJ) telah
menandatangani Framework Agreement (FA) yang
mengatur mengenai rencana Perubahan
Pengendalian Perseroan. Berdasarkan ketentuan
dalam FA dan tunduk pada dipenuhinya persyaratan
tertentu dalam FA, Bel akan memperoleh hak-hak
pengelolaan tertentu atas Perseroan yang pada
akhirnya akan memungkinkan Bel, bersama-sama
dengan GPPJ, untuk menentukan kebijakan keuangan
dan operasional Perseroan dan dengan demikian
menjadi pengendali bersama Perseroan sebagaimana
dimaksud dalam POJK 9/2018 sesuai dengan
ketentuan dalam FA. GPPJ akan tetap menjadi
pengendali Perseroan dan mempunyai hak penuh
untuk melakukan konsolidasi laporan keuangan
Perseroan dalam laporan keuangannya. Seluruh
persyaratan tertentu sehubungan dengan FA yang
sebelumnya belum dipenuhi, kini telah dipenuhi dan
FA telah berlaku efektif sejak tanggal 8 September
2025 (Tanggal Efektif).
Jumlah dan persentase saham yang akan dibeli 229.852.874
Jumlah dan persentase saham Perusahaan Terbuka yang 1.265.625.000
diambilalih, yang dimiliki baik langsung maupun tidak
langsung oleh pengendali baru
Profil Pengendali Baru yang akan melakukan Penawaran Bel adalah suatu perusahaan yang didirikan
Tender Wajib berdasarkan hukum negara Perancis sejak tanggal 16
November 1922, terdaftar pada Nanterre Trade and
Companies Registry dengan nomor perusahaan 542
088 067. Bel merupakan pelaku usaha terkemuka
dalam segmen camilan sehat berbahan dasar keju,
buah dan sayuran. Portofolio produk Bel yang
beragam dan berkelas dunia seperti The Laughing
Cow, Kiri, Babybel, Boursin, Nurishh, Pom Potes dan
GoGo squeeZ, serta sekitar dua puluh merek lokal
lainnya, telah memungkinkan Bel untuk mencapai
penjualan sebesar 3,7 miliar Euro pada tahun 2024.

adalah untuk menciptakan kolaborasi antara Bel dan
GPPJ dalam mengembangkan bisnis keju Perseroan
di Indonesia. Hal ini akan dicapai melalui
pengembangan produk keju yang inovatif oleh
Perseroan, dengan memanfaatkan keahlian dan
kemampuan inovasi Bel dalam kategori keju dan
camilan berbahan dasar keju.

Subject Disclosure of Information About the Mandatory Tender Offer
Disclosure of Information regarding mandatory tender offer by new controlling shareholder is as follows:
Mandatory Tender Offer Background On 6 August 2025, Bel S.A (Bel) and PT
Garudafood Putra Putri Jaya Tbk (GPPJ) signed
the Framework Agreement (FA) governing the
proposed Change of Control of the Company.
Under the provisions of the FA and subject to the
fulfilment of certain conditions therein, Bel will
obtain certain governance rights over the
Company, which will ultimately enable Bel,
together with GPPJ, to determine the financial and
operational policies of the Company and thereby
become a joint controller of the Company as
referred to in POJK 9/2018, in accordance with the
provisions of the FA. All pending conditions
related to the FA have been satisfied, and the FA
became effective as of 8 September 2025
(Effective Date).

New Controlling Shareholder Profile that will conduct Bel is a company incorporated under the laws of

under company number 542 088 067. Bel is a
major player in the healthy cheese, fruit and
vegetable snacking segment. Its portfolio of
differentiated, world-class products such as The
Laughing Cow, Kiri, Babybel, Boursin, Nurishh,
Pom Potes and GoGo squeeZ, as well as some
twenty other local brands, have enabled it to
achieve sales of 3.7 billion Euros in 2024.
