Uraian Informasi atau Fakta Material Pada tanggal 30 Juni 2025, PT Tripatra Multi Energi ("TIME")
dan PT Indika Empat Mitra Surya ("IEMS") telah
menandatangani Perjanjian Jual Beli Bersyarat ("PPJB") di
mana TIME setuju untuk menjual, dan IEMS setuju untuk
membeli, proyek sewa daya pembangkit listrik tenaga surya
("PLTS") yang dioperasikan untuk PT PLN Indonesia
Geothermal (sebelumnya PT Indo Tenaga Hijau) ("PLN IG")
berdasarkan Surat Perjanjian No. 005.PJ/01/ITH/2021 tanggal
14 Oktober 2021 antara TIME dan PLN IG mengenai sewa
daya listrik PLTS di pembangkit PT Indonesia Power,
sebagaimana terakhir diubah melalui Amandemen II terhadap
Surat Perjanjian tanggal 11 Desember 2023 ("Perjanjian Sewa
Daya"), dengan harga pembelian sebesar Rp31.000.000.000
("Harga Pembelian").
Perseroan telah menyampaikan Keterbukaan Informasi
mengenai penandatanganan PPJB terkait dengan pengalihan
proyek PLTS kepada OJK dan BEI berdasarkan Surat No.
043/IE/SEC/LET/VII/2025 tanggal 2 Juli 2025.
Pada tanggal 30 Oktober 2025, TIME dan IEMS telah
memenuhi Syarat Penyelesaian sebagaimana ditetapkan
dalam PPJB, antara lain penandatanganan perjanjian novasi
dan pelunasan Harga Pembelian.
Berikut merupakan ringkasan dari transaksi:

Objek Transaksi
Pengalihan seluruh hak, kepemilikan, kewajiban, risiko, dan
kepentingan TIME atas PLTS (termasuk peralatan dan aset
tetap) di 4 (empat) lokasi, yaitu Bali, Semarang, Grati, dan
Suralaya, dengan kapasitas terpasang total kurang lebih
2.916,54 kWp, berdasarkan Perjanjian Sewa Daya PLTS
dengan PLN IG.
Harga Pembelian Rp 31.000.000.000,- (tiga puluh satu miliar
Rupiah)
Syarat Penyelesaian
Pada Tanggal Penyelesaian (sebagaimana didefinisikan
dalam PPJB), Para Pihak akan melaksanakan tindakan-
tindakan berikut, antara lain:
1. IEMS menyerahkan bukti pembayaran penuh atas Harga
Pembelian ke rekening TIME;
2. TIME, IEMS, dan PLN IG menandatangani Perjanjian
Novasi atas Perjanjian Sewa Daya; dan
3. TIME mengalihkan dan menyerahkan proyek PLTS,
peralatan, dan aset tetap berdasarkan Perjanjian Sewa Daya
kepada IEMS, dan IEMS menerima pengalihan tersebut.
Dampak kejadian, informasi atau fakta Transaksi ini selaras dengan strategi Perseroan untuk
material tersebut terhadap kegiatan sentralisasi aset energi terbarukan, khususnya pembangkit
operasional, hukum, kondisi keuangan, listrik tenaga surya, pada EMITS beserta entitas anaknya,
atau kelangsungan usaha Emiten atau termasuk IEMS, mengefisienkan biaya antarperusahaan dan
Perusahaan Publik mendorong profitabilitas konsolidasi. Tidak terdapat dampak
hukum yang merugikan terhadap kelangsungan usaha
Perseroan.

Description of Material Information or On 30 June 2025, PT Tripatra Multi Energi ("TIME") and PT
Facts Indika Empat Mitra Surya ("IEMS") executed a Conditional
Sale and Purchase Agreement ("CSPA") by which TIME
agreed to sell, and IEMS agreed to acquire, the solar-power
plant ("PLTS") lease project operated for PT PLN Indonesia
Geothermal (previously PT Indo Tenaga Hijau) ("PLN IG")
under Letter Agreement No. 005.PJ/01/ITH/2021 dated 14
October 2021 between TIME and PLN IG regarding the lease
of solar power electricity at PT Indonesia Power's power
plants, as most recently amended by Amendment II to the
Agreement dated 11 December 2023 ("Power Lease
Agreement"), for a purchase price of Rp31,000,000,000
("Purchase Price").
The Company has submitted a Disclosure of Information
regarding the execution of the CSPA related to the transfer of
the PLTS Project to OJK and IDX, pursuant to Letter No.
043/IE/SEC/LET/VII/2025 dated 2 July 2025.
On 30 October 2025, TIME and IEMS fulfilled the Completion
Conditions as stipulated in the CSPA, including the execution
of the novation agreement and the settlement of the Purchase
Price.
The following is a summary of the transaction:

Object of the Transaction
Transfer of all TIME's rights, title, obligations, risks, and
interests in the PLTS (including equipment and fixed assets) at
4 (four) sites, namely Bali, Semarang, Grati, and Suralaya,
with total installed capacity of approximately 2,916.54 kWp,
governed by the PLTS Power Lease Agreement with PLN IG.
Purchase Price Rp 31.000.000.000,- (thirty-one billion
Rupiah)
Completion Conditions
On the Completion Date (as defined in the CSPA), the Parties
shall carry out, among others, the following actions:
1. IEMS shall deliver evidence of full payment of the Purchase
Price to the designated account of TIME;
2. TIME, IEMS, and PLN IG shall execute the Novation
Agreement of the Power Lease Agreement; and
3. TIME shall transfer and deliver the PLTS Project, including
the related equipment and fixed assets under the Power Lease
Agreement, to IEMS, and IEMS shall accept such transfer and
delivery.
Impact of event, material information or This transaction aligns with the Company's strategy to
facts towards Issuers or Public centralize renewable energy assets, particularly solar power
Company’s operational activities, legal, plants, under EMITS and its subsidiaries, including IEMS,
financial condition, or going concern thereby enhancing intercompany cost efficiency and driving
consolidated profitability. There are no adverse legal impacts
on the Company's business continuity.
