                                        On the Completion Date (as defined in the CSPA), the Parties shall carry
                                        out, among others, the following actions:
                                        4. IEMS shall deliver evidence of full payment of the Purchase Price to
                                             the designated account of TIME;
                                        5. TIME, IEMS, and PLN IG shall execute the Novation Agreement
                                             of the Power Lease Agreement; and
                                        6. TIME shall transfer and deliver the PLTS Project, including the
                                             related equipment and fixed assets under the Power Lease Agreement,
                                             to IEMS, and IEMS shall accept such transfer and delivery.
