PT Telkom Infrastruktur Indonesia
Uraian Informasi atau Fakta Material Perseroan telah menandatangani Perjanjian Pemisahan
Bersyarat (Conditional Spin-Off Agreement) dengan TIF pada
tanggal 20 Oktober 2025 (Perjanjian Pemisahan Bersyarat)
sehubungan dengan rencana Perseroan untuk melakukan
suatu restrukturisasi korporasi dan transformasi bisnis yang
akan dilakukan melalui
pemisahan tidak murni (spin-off) atas sebagian bisnis dan aset
Wholesale Fiber Connectivity (Rencana Transaksi).
Berdasarkan Perjanjian Pemisahan Bersyarat, nilai dari
Rencana Transaksi adalah sebesar Rp35.787.258.000.000.
Rencana Transaksi ini dimaksudkan agar Perseroan lebih
fokus dalam mengembangkan bisnis, menciptakan nilai
tambah, meningkatkan efisiensi serta mengoptimalkan
pemanfaatan aset jaringan fiber optik sehingga memperkuat
posisi Perseroan sebagai penyedia infrastruktur konektivitas
utama di Indonesia. Rencana Transaksi ini juga mendukung
agenda nasional dalam mempercepat pemerataan digitalisasi,
meningkatkan penetrasi fixed broadband, serta memastikan
ketersediaan konektivitas yang andal dan berkualitas di
seluruh wilayah Indonesia.
Pasca pelaksanaan setelah transaksi, komposisi kepemilikan
saham Perseroan di TIF adalah menjadi 99,9999997%.

dalam ringkasan rancangan pemisahan yang akan diumumkan
oleh perseroan.

Dampak kejadian, informasi atau fakta Mengingat Rencana Transaksi dilakukan oleh Perseroan
material tersebut terhadap kegiatan dengan TIF (yang merupakan anak perusahaan terkonsolidasi
operasional, hukum, kondisi keuangan, Perseroan dengan kepemilikan sebesar 99,999%), maka tidak
atau kelangsungan usaha Emiten atau ada dampak signifikan dari Rencana Transaksi terhadap
Perusahaan Publik kondisi keuangan Perseroan.

The Signing of Conditional Spin-Off Agreement with PT

Description of Material Information or The Company has signed Conditional Spin Off Agreement with
Facts TIF on 20 October 2025 (Conditional Spin-Off Agreement) in
relation to the Companys plan to carry out a corporate
restructuring and business transformation by way of partial
spin off of the Companys Wholesale Fiber Connectivity
business and assets (Proposed Transaction).Under the
Conditional Spin Off Agreement, the value of the Proposed
Transaction is in the amount of IDR 35,787,258,000,000.
This Spin off is intended so the company can enable a more
focused business development, create added value, increase
efficiency, and optimize the utilization of fiber optic network
assets, thereby strengthening the Companys position as a
leading connectivity infrastructure provider in Indonesia. The
Proposed Transaction also supports the national agenda in
accelerating digital equality, increasing fixed broadband
penetration, and ensuring the availability of reliable and high-
quality connectivity across all regions of Indonesia.
Following the completion of the transaction, the Companies
shareholding composition in TIF will amount to 99.9999997%.
More detailed information on the Proposed Transaction can be
seen in the summary of spin-off plan that will be announced by
the Company.
Impact of event, material information or Given that the Proposed Transaction carried out by the
facts towards Issuers or Public Company with TIF (that is a consolidated subsidiary of the
Company’s operational activities, legal, Company with 99.999% ownership), no significant impact of
financial condition, or going concern the Proposed Transaction towards the financial conditions of
the Company.
