Uraian Informasi atau Fakta Material Pada tanggal 03 Oktober 2025, pemegang saham Perseroan,
yaitu Anderson Bay Pte Ltd telah menyelesaikan pembelian
atas 600 (enam ratus) lembar saham dalam PT Energi
Batubara Indonesia (EBI), perusahaan terkendali dari
Perseroan, yang mewakili sekitar 0,03% (nol koma nol tiga
persen) dari total modal yang disetor dan ditempatkan dalam
EBI.
Transaksi jual beli saham dalam EBI tersebut diselesaikan
oleh Anderson Bay Pte Ltd dengan PT Dian Ciptamas Agung,
selaku penjual, dengan harga Rp1.000.000,- (satu juta
Rupiah) per lembar saham, dan dengan total nilai pembelian
sebesar Rp600.000.000,- (enam ratus juta Rupiah).
Perseroan juga telah menyelesaikan pembelian atas 1 (satu)
lembar saham dalam PT Trans Lintas Segara (TLS),
perusahaan terkendali dari Perseroan, yang mewakili sekitar
0,0004% (nol koma nol nol nol empat persen) dari total modal
yang disetor dan ditempatkan dalam TLS.
Transaksi jual beli saham dalam TLS tersebut diselesaikan
oleh Perseroan dengan PT Dian Ciptamas Agung, selaku
penjual, dengan harga Rp1.000.000,- (satu juta Rupiah) per
lembar saham, dan dengan total nilai pembelian sebesar
Rp1.000.000,- (satu juta Rupiah).
Perseroan juga telah menyelesaikan pembelian atas 600
(enam ratus) lembar saham dalam PT Abe Jaya Perkasa
(AJP), perusahaan terkendali dari Perseroan, yang mewakili
sekitar 48,7% (empat puluh delapan koma tujuh persen) dari
total modal yang disetor dan ditempatkan dalam AJP.
Transaksi jual beli saham dalam AJP tersebut diselesaikan
oleh Perseroan dengan PT Dian Ciptamas Agung, selaku
penjual, dengan harga Rp1.000.000,- (satu juta Rupiah) per
lembar saham, dan dengan total nilai pembelian sebesar
Rp600.000.000,- (enam ratus juta Rupiah).
EBI, perusahaan terkendali dari Perseroan juga telah
menyelesaikan pembelian atas 2,280 (dua ribu dua ratus
delapan puluh) lembar saham dalam PT Sekti Rahayu Indah
(SRI), sesama perusahaan terkendali dari Perseroan, yang
mewakili sekitar 38% (tiga puluh delapan persen) dari total
modal yang disetor dan ditempatkan dalam SRI. Transaksi jual
beli saham dalam SRI tersebut diselesaikan oleh Perseroan
dengan PT Dian Ciptamas Agung, selaku penjual, dengan
harga Rp500.000,- (lima ratus ribu Rupiah) per lembar saham,
dan dengan total nilai pembelian sebesar Rp1.140.000.000,-
(satu miliar seratus empat puluh juta Rupiah).
Transaksi-transaksi ini bukan merupakan transaksi material
berdasarkan Peraturan Otoritas Jasa Keuangan No.
17/POJK.04/2020 tentang Transaksi Material dan Perubahan
Kegiatan Usaha, karena tidak mencapai 10% (sepuluh persen)
total aset Perseroan, serta dikecualikan dari kewajiban
melakukan prosedur sebagaimana dimaksud dalam Pasal 3
dan Pasal 4 ayat (1) Peraturan Otoritas Jasa Keuangan No.
42/POJK.04/2020 tentang Transaksi Afiliasi dan Transaksi
Benturan Kepentingan, karena dilakukan sesama perusahaan
terkendali dari Perseroan.

Description of Material Information or On October 3, 2025, the Company's shareholder, Anderson
Facts Bay Pte Ltd, completed the purchase of 600 (six hundred)
shares in PT Energi Batubara Indonesia (EBI), a controlled
company of the Company, representing approximately 0.03%
(zero point zero three percent) of the total paid-up and issued
capital of EBI.
The sale and purchase transaction of EBI shares was
completed by Anderson Bay Pte Ltd with PT Dian Ciptamas
Agung, the seller, at a price of IDR 1,000,000 (one million
Rupiah) per share, for a total purchase value of IDR
600,000,000 (six hundred million Rupiah).
The Company also completed the purchase of 1 (one) share in
PT Trans Lintas Segara (TLS), a controlled company of the
Company, representing approximately 0.0004% (zero point
zero zero zero four percent) of the total paid-up and issued
capital of TLS.
The sale and purchase transaction of shares in TLS was
completed by the Company with PT Dian Ciptamas Agung, as
the seller, at a price of Rp1,000,000 (one million Rupiah) per
share, for a total purchase value of Rp1,000,000 (one million
Rupiah).
The Company also completed the purchase of 600 (six
hundred) shares in PT Abe Jaya Perkasa (AJP), a controlled
company of the Company, representing approximately 48.7%
(forty-eight point seven percent) of the total paid-up and issued
capital in AJP.
The sale and purchase transaction of shares in AJP was
completed by the Company with PT Dian Ciptamas Agung, as
the seller, at a price of Rp1,000,000 (one million Rupiah) per
share, for a total purchase value of Rp600,000,000 (six
hundred million Rupiah).
EBI, a controlled company of the Company, has also
completed the purchase of 2,280 (two thousand two hundred
and eighty) shares in PT Sekti Rahayu Indah (SRI), another
controlled company of the Company, representing
approximately 38% (thirty-eight percent) of the total paid-up
and issued capital of SRI. The sale and purchase transaction
of SRI shares was completed by the Company with PT Dian
Ciptamas Agung, as the seller, at a price of IDR 500,000 (five
hundred thousand Rupiah) per share, for a total purchase
value of IDR 1,140,000,000 (one billion one hundred and forty
million Rupiah).
These transactions are not considered material transactions
under Financial Services Authority Regulation No.
17/POJK.04/2020 concerning Material Transactions and
Changes in Business Activities, as they do not constitute 10%
(ten percent) of the Company's total assets, and are exempt
from the obligation to carry out procedures as referred to in
Article 3 and Article 4 paragraph (1) of Financial Services
Authority Regulation No. 42/POJK.04/2020 concerning Affiliate
Transactions and Conflict of Interest Transactions, because
they are carried out by fellow companies controlled by the
Company.
