Dengan hormat,
We, hereby would like to notify you of the following matters.
Kami, dengan ini bermaksud memberitahukan kepada anda hal-hal sebagai berikut.
1. PROPOSED ACQUISITION
We, Lim Shrimp Org Pte. Ltd. ("Purchaser") is pleased to notify that we have intention to
purchase shares in PT Sumber Mas Konstruksi Tbk (the "Target Company") representing
up to 44.98% of the issued and paid-up capital of the Target Company owned by PT Vina
Nauli Jordania (the "Seller") and have entered into a term sheet with the Seller on 17
September 2025. This transaction is hereinafter referred to as the "Proposed
Acquisition".
Kami, Lim Shrimp Org Pte. Ltd. (“Pembeli”) dengan ini memberitahukan bahwa kami
bermaksud untuk membeli saham-saham dalam PT Sumber Mas Konstruksi Tbk
(“Perusahaan Target”) yang mewakili sebanyak-banyaknya 44,98% dari modal
ditempatkan dan disetor dalam Perusahaan Target yang dimiliki oleh PT Vina Nauli
Jordania ("Penjual”) dan telah menandatangani term sheet dengan Penjual pada 17
September 2025. Transaksi ini selanjutnya disebut sebagai “Rencana Pengambilalihan”.
2. MANDATORY TENDER OFFER
Following the completion of the Proposed Acquisition, as the new controller of the Target
Company, the Purchaser will conduct a mandatory tender offer as required pursuant to
the Financial Services Authority Regulation No. 9/POJK.04/2018 on Acquisition of Public
Companies. The implementation of the Proposed Acquisition and the mandatory tender
offer will be carried out in compliance with applicable regulations, including regulations
of the capital markets sector.
Setelah penyelesaian Rencana Pengambilalihan, sebagai pengendali baru Perusahaan
Target, Pembeli akan melaksanakan penawaran tender wajib sesuai dengan ketentuan
dalam Peraturan Otoritas Jasa Keuangan No. 9/POJK.04/2018 tentang Pengambilalihan
Perusahaan Terbuka. Pelaksanaan Rencana Pengambilalihan maupun penawaran tender

wajib akan dilakukan dengan memperhatikan ketentuan yang berlaku, termasuk ketentuan
di bidang pasar modal.
