Uraian Informasi atau Fakta Material Pada hari ini, Perseroan telah menerbitkan laporan keuangan
konsolidasian pada tanggal dan untuk periode enam bulan
yang berakhir pada 30 Juni 2025 yang telah direviu, melalui
surat Perseroan No. 077/GOTO/CS/JKT/VIII/2025, tanggal 13
Agustus 2025.
Perseroan hari ini mengumumkan kinerja keuangan kuartal
kedua tahun 2025 dimana Perseroan mencetak rekor baru
untuk GTV inti Grup, pendapatan bersih, EBITDA dan EBITDA
yang disesuaikan, menunjukkan eksekusi kuat Perseroan dan
ketahanan ekosistem integrasinya.
Perseroan mempertahankan momentum yang kuat dari sisi
pendapatan dengan GTV inti Grup mencapai Rp89,8 triliun,
mengalami peningkatan tahunan sebesar 43%. Total GTV
Grup meningkat menjadi Rp152,9 triliun, tumbuh 26% YoY,
sementara pendapatan bersih tumbuh 23% YoY mencapai
Rp4,3 triliun.
EBITDA Grup yang disesuaikan mencapai positif sebesar
Rp427 miliar, membaik Rp491 miliar YoY, sementara EBITDA
Grup mencapai positif untuk tiga kuartal berturut-turut sebesar
Rp292 miliar, membaik Rp874 miliar YoY. Perbaikan-
perbaikan ini merupakan hasil dari kinerja pendapatan yang
lebih kuat dan pengelolaan biaya yang lebih baik.
Perseroan juga mencatatkan arus kas dari aktivitas
operasional yang disesuaikan positif sebesar Rp313 miliar,
yang menunjukkan kekuatan strateginya dan momentum
bisnis yang berkelanjutan. Laba usaha juga mencapai positif
untuk pertama kalinya sebesar Rp21 miliar sejalan dengan
keberhasilan Grup memangkas rugi periode berjalan sebesar
77% YoY menjadi Rp222 miliar. Imbalan jasa e-commerce dari
PT Tokopedia mencapai Rp199 miliar pada kuartal kedua.
Perseroan mempertahankan posisi kas dan neraca yang solid.
Hingga 30 Juni 2025, Perseroan memiliki Rp18,2 triliun, atau
US$1,1 miliar dalam bentuk kas, setara kas dan deposito
jangka pendek.
Perseroan telah menyelesaikan proses migrasi cloud yang
kompleks pada kuartal kedua, dengan melakukan transisi
sistem ke Alibaba Cloud dan Tencent Cloud. Migrasi ini
diperkirakan akan mengurangi biaya cloud tahunan lebih dari
50 persen, sekaligus memberikan kelincahan yang lebih tinggi
serta mempercepat waktu peluncuran fitur-fitur baru. Selain itu,
langkah ini juga mendukung prioritas kedaulatan data
Indonesia, dengan seluruh data disimpan dan diproses di
infrastruktur yang berbasis di Indonesia.
Perseroan telah membentuk pusat teknologi baru di Tiongkok
untuk mengakses salah satu sumber daya keahlian rekayasa
teknologi terkaya di dunia. Langkah ini akan mempercepat
peta jalan produk Perseroan serta meningkatkan kapabilitas
seluruh organisasi rekayasa di Indonesia dan wilayah lainnya
melalui alih pengetahuan.
Perseroan meluncurkan model fondasi Sahabat-AI dengan 70
miliar parameter pada kuartal kedua yang dilatih dan
ditempatkan sepenuhnya di Indonesia. Model ini kini dapat
beroperasi dalam Bahasa Indonesia dan bahasa daerah
seperti Bahasa Jawa, Bahasa Sunda, Bahasa Bali, dan
Bahasa Batak, selain beberapa bahasa internasional lainnya.

Description of Material Information or The Company today released its reviewed consolidated
Facts financial statements as of and for the six-month period ended
on June 30, 2025, through its letter No.
077/GOTO/CS/JKT/VIII/2025, dated August 13, 2025.
The Company today announced its 2025 second quarter
financial results, where the Company set new records for
Group core GTV, net revenue, EBITDA and adjusted EBITDA,
demonstrating strong execution and the resilience of its
integrated ecosystem.
The Company maintained strong momentum in its topline, with
Group core GTV hitting Rp89.8 trillion, a 43% YoY increase.
The total GTV of Group climbed to Rp152.9 trillion, up 26%
YoY, while net revenue grew 23% YoY to Rp4.3 trillion.
Group adjusted EBITDA reached Rp427 billion, an
improvement of Rp491 billion YoY, while EBITDA was positive
for the third consecutive quarter, reaching Rp292 billion, an
improvement of Rp874 billion YoY. These improvements
resulted from stronger revenue performance and better cost
management.
The Company delivered positive adjusted operating cash flow
of Rp313 billion, demonstrating the strength of its strategy and
sustained momentum in the business. Profit from operations
also turned positive for the first time at Rp21 billion as the
Group reduced its net loss by 77% YoY to Rp222 billion. The
ecommerce service fee from PT Tokopedia reached Rp199
billion in the second quarter.
The Company maintains a solid cash position and balance
sheet. As of June 30, 2025, the Company had Rp18.2 trillion,
or USD1.1 billion, in cash, cash equivalents and short term
deposits.
The Company completed its complex cloud migration in the
second quarter as it transitioned its system to Alibaba Cloud
and Tencent Cloud. The migration is expected to reduce
annual cloud spent by more than 50 percent while providing
greater agility and faster time to market for new features. It
also support data sovereignty priorities of Indonesia, with all
data stored and processed on Indonesia based infrastructure.
The Company established new tech hubs in China to access
one of the deepest pools of engineering expertise in the world.
This will accelerate the product road map of the Company
while elevating its entire engineering organization in Indonesia
and elsewhere, through knowledge transfer.
The Company launched Sahabat AI 70 billion parameter
foundation model in the second quarter, trained and hosted
entirely in Indonesia. The model can now operate in Bahasa
Indonesia and several local languages such as Javanese,
Sundanese, Balinese, and Bataknese in addition to a number
of international languages.
