A brief description of the Material Transaction Referring to the Disclosure on Material Transaction
No. 032/KMG-Corsec/VII/2025 dated 17 July 2025
Material Transaction Value 250.000.000
previously published by the Company, the
Company hereby informs that the Company has
executed a Joint Corporate Guarantee for Facility
B (as further described by the Company in the
Material Transaction Report above) together with
its subsidiaries. The Joint Corporate Guarantee for
Facility B was provided in connection with banking
facilities (syndicated loans) received by the
subsidiaries of the Company (once effective),
which are the debtors, from the banks, which are
the creditors, under a Facility Agreement
amounting to U$250,000,000. The issuance of the
Joint Corporate Guarantee constitutes a material
transaction under POJK 17, as the transaction
value exceeds 20% of the equity of the Company
based on its 2024 Annual Financial Statements.
However, in accordance with Article 11(c) of POJK
17, the provision of such guarantee to banks is
exempted from the requirements to appoint an
independent appraiser and to obtain prior approval
from the General Meeting of Shareholders.
