Application Services between SRCIS and
PMFTC;
2. Agreement for the Provision of
Application Services between SRCIS and
PMSA. (“Transaction”)
The Company, SRCIS, PMFTC and PMSA have
the same ultimate controlling shareholder,
namely Philip Morris International Inc.
3. Description on the Material : as attached
Information or Fact
4. Impact of the material event, : There is no potential risks which may result in
information or fact to the adverse impacts or disruption of the
Issuer’s operational activity, Company's business sustainability from such
legal, financial condition and events and information to the operational,
business continuity legal, financial condition, or business
continuity of the Company.
5. Other information : The Transaction is agreement for the
provision of application services by the
subsidiary of the Company, namely SRCIS,
where SRCIS will provide AYO SRC application
software, each to PMFTC and PMSA, which is
intended for use in the business-to-business
(B2B) segment in each affiliate's market. In
return, SRCIS will charge certain fees in
accordance with the Agreement with each
PMFTC and PMSA.
In connection with the Transaction as defined in the Disclosure of Information above, the
Board of Directors and Board of Commissioners of the Company hereby state that, having
made all reasonable enquiries and to the best of our knowledge and belief, all material
information has been disclosed and such information is not misleading.
