Unit Usaha Syariah PT Bank CIMB Niaga Tbk
Uraian Informasi atau Fakta Material Mengacu pada ketentuan Pasal 62 ayat (1) Undang-Undang
No. 40 Tahun 2007 tentang Perseroan Terbatas (UUPT),
maka setiap pemegang saham Perseroan berhak meminta
kepada Perseroan agar sahamnya dibeli dengan harga yang
wajar, apabila pada saat Rapat Umum Pemegang Saham Luar
Biasa Perseroan tanggal 26 Juni 2025 yang bersangkutan
(pemegang saham) tidak menyetujui tindakan Perseroan
(dalam hal ini Spin-Off dan/atau Perubahan Anggaran Dasar
Perseroan) dan berpendapat bahwa tindakan Perseroan
tersebut dirasakan akan merugikan pemegang saham
Perseroan.
Bahwa, pembelian kembali saham tersebut harus dilakukan
dengan memperhatikan ketentuan dalam Pasal 37 ayat (1)
UUPT yang menyatakan bahwa pembelian kembali saham
tersebut tidak menyebabkan kekayaan bersih Perseroan
menjadi lebih kecil dari jumlah modal ditempatkan ditambah
cadangan wajib yang telah disisihkan dan jumlah nilai nominal
seluruh saham yang dibeli kembali oleh Perseroan tidak
melebihi 10,00% dari modal ditempatkan dalam Perseroan.

Description of Material Information or Referring to the provision of Article 62 paragraph (1) of Law
Facts No. 40 of 2007 on Limited Liability Companies (the Company
Law), every shareholder of the Company has the right to
request the Company to buyback his/her shares at a
reasonable price, if at the Extraordinary General Meeting of
Shareholders of the Company on 26 June 2025 he/she (the
shareholder) does not approve of the Company actions (in this
case the Spin-Off and/or the Amendment of the Companys
Articles of Association) and is of the opinion that the
Companys actions will be detrimental to the shareholders of
the Company.
Whereas, the buyback of shares must be carried out with due
observance of the provision in Article 37 paragraph (1) of the
Company Law which states that the buyback of shares shall
not cause the net assets of the Company to become smaller
than the amount of issued capital plus mandatory reserves that
have been set aside and the total nominal value of all shares
buyback by the Company shall not exceed 10.00% of the
issued capital of the Company.
