Jenis Informasi atau Fakta Material Peningkatan modal anak perusahaan Perseroan.
Uraian Informasi atau Fakta Material Perseroan pada tanggal 28 Juni 2024 telah meningkatkan
modal setor pada PT Khatulistiwa Hidro Energi, suatu anak
perusahaan Perseroan yang bergerak di bidang pembangkitan
tenaga listrik.
Adapun peningkatan modal setor Perseroan pada PT
Khatulistiwa Hidro Energi merupakan hasil dari konversi dari
tagihan/piutang Perseroan terhadap PT Khatulistiwa Hidro
Energi menjadi modal/saham Perseroan pada PT Khatulistiwa
Hidro Energi.
Dalam transaksi ini, Perseroan mengkonversi tagihan/piutang
menjadi penambahan modal pada PT Khatulistiwa Hidro
Energi sebesar Rp.129.682.200.000,- (seratus dua puluh
sembilan miliar enam ratus delapan puluh dua juta dua ratus
ribu Rupiah) menjadi 100.000 (seratus ribu) lembar saham
dengan nilai transaksi sebesar Rp.1.296.822,- (satu juta dua
ratus sembilan puluh enam ribu delapan ratus dua puluh dua
Rupiah) per lembar saham yang telah dinilai dengan wajar
sesuai dengan Laporan Penilaian Saham dari penilai
independen (KJPP) Budi, Edy, Saptono dan Rekan tertanggal
5 Mei 2025 Nomor 00066/2.0033-00/BS/02/0440/1/V/2025.
PT Khatulistiwa Hidro Energi juga melakukan peningkatan
modal dasar untuk mengakomodir penambahan modal setor
dalam PT Khatulistiwa Hidro Energi, dengan rincian sebagai
berikut.

Description of Material Information or On June 28, 2024, the Company increased its paid-up capital
Facts in PT Khatulistiwa Hidro Energi, a subsidiary of the Company
engaged in the electricity generation sector
The increase in the Companys paid up capital in PT
Khatulistiwa Hidro Energi is the result of the conversion of the
Companys receivables/accounts receivable to PT Khatulistiwa
Hidro Energi into the Companys capital/shares in PT
Khatulistiwa Hidro Energi.
In this transaction, the Company converted the
receivables/accounts receivable into additional capital at PT
Khatulistiwa Hidro Energi amounting to Rp.129,682,200,000,-
(one hundred twenty nine billion six hundred eighty two million
two hundred thousand Rupiah) into 100,000 (one hundred
thousand) shares with a transaction value of Rp.1,296,822,-
(one million two hundred ninety six thousand eight hundred
twenty two Rupiah) per share which has been fairly valued in
accordance with the Share Valuation Report from the
independent appraiser (KJPP) Budi, Edy, Saptono and Rekan
dated May 5, 2025 Number 00066/2.0033-
00/BS/02/0440/1/V/2025.
PT Khatulistiwa Hidro Energi also increased its authorized
capital to accommodate the additional paid-up capital within
PT Khatulistiwa Hidro Energi, as follows:
