Wajib atas saham-saham PT Remala Abadi Tbk
Uraian Informasi atau Fakta Material Keterbukaan Informasi ini dibuat dalam rangka penawaran
tender wajib yang harus dilakukan sehubungan dengan
adanya pengambilalihan PT Remala Abadi Tbk oleh
Perseroan, sebagaimana diatur dalam Peraturan Otoritas Jasa
Keuangan No.9/POJK.04/2018 tentang Pengambilalihan
Perusahaan Terbuka.
Penawaran Tender Wajib dilakukan atas Saham-saham yang
dimiliki oleh Pemegang Saham Yang Berhak dengan jumlah
sebanyak-banyaknya 274.973.100 Saham dengan nilai
nominal Rp50 setiap saham Perusahaan Sasaran atau
sebanyak-banyaknya sekitar 20% dari modal ditempatkan dan
disetor penuh Perusahaan Sasaran dan Harga Penawaran
Tender Wajib adalah sebesar Rp974 per saham. Nilai
Penawaran Tender Wajib adalah sebanyak-banyaknya
sebesar Rp267.823.799.400.
Periode Penawaran Tender Wajib adalah 30 Hari yang dimulai
1 Hari setelah pengumuman Keterbukaan Informasi ini, yaitu
dimulai pada pukul 09.00 WIB tanggal 1 Juli 2025 dan berakhir
pada pukul 16.00 WIB tanggal 30 Juli 2025.
Dampak kejadian, informasi atau fakta Tidak terdapat dampak material yang merugikan terhadap
material tersebut terhadap kegiatan kegiatan operasional, hukum, kondisi keuangan atau
operasional, hukum, kondisi keuangan, kelangsungan usaha Perseroan atas pelaksanaan Penawaran
atau kelangsungan usaha Emiten atau Tender Wajib oleh Perseroan atas saham PT Remala Abadi
Perusahaan Publik Tbk.

PT Iforte Solusi Infotek - Announcement on the Mandatory
Type of Material Information or Facts Tender Offer of PT Remala Abadi Tbk shares
Description of Material Information or The Company hereby announce the Disclosure of Information
Facts in connection with the mandatory tender offer that must be
performed after the acquisition of PT Remala Abadi Tbk by the
Company, as regulated in the Financial Services Authority
Regulation No. 9/POJK.04/2018 on the Acquisition of Public
Companies.
Mandatory Tender Offer shall be carried out on Shares owned
by Eligible Shareholders, in the amount of maximum
274,973,100 Shares with a nominal value of IDR50 per share
of the Target Company, or a maximum of approximately 20%
of the issued and paid-up capital of the Target Company, and
the Mandatory Tender Offer Price is IDR974 per share. The
value of the Mandatory Tender Offer shall be a maximum of
IDR267,823,799,400.
The Mandatory Tender Offer Period shall be 30 Days
commencing 1 Day after the publication of this Disclosure of
Information, which commences at 09.00 a.m. Western
Indonesia Time on July 1, 2025 and ends at 04.00 p.m.
Western Indonesia Time on July 30, 2025.
Impact of event, material information or There is no negative material impact to the operational
facts towards Issuers or Public activities, legal or financial conditions or the business
Company’s operational activities, legal, continuity of the Company due to the execution of the
financial condition, or going concern Mandatory Tender Offer by the Company on the shares of PT
Remala Abadi Tbk.
