SEGPL, SEGN B.V. dan SEGSD B.V. secara
bersama-sama disebut sebagai “Para
Peminjam"”.

d. DBS Bank Ltd. (“DBS Bank”) sebagai Agen,
Agen Jaminan dan Account Bank, dan

e. Sumitomo Mitsui Banking Corporation
Singapore Branch (“SMBC”) dan DBS Bank
sebagai Pemberi Pinjaman Awal dan Green
Loan Coordinators.

The signing of Senior Secured Term Facility
Agreement in the amount of USD121.100.000 dated
19 June 2025 (“Loan Agreement”), between:

a. Star Energy Geothermal Pte. Ltd.
(“SEGPL)):

b. Star Energy Geothermal Netherlands B.V.
(“SEGN B.V.”):

c. Star Energy Geothermal (Salak Darajat) B.V.
(“SEGSD B.V.)

SEGPL, SEGN B.V. and SEGSD B.V. are
collectively referred to as “Borrowers”.

d. DBS Bank Ltd. (“DBS Bank”) as Agent,
Security Agent and Account Bank: and

e. Sumitomo Mitsui Banking Corporation
Singapore Branch (“SMBC”) and DBS Bank
as Original Lender and Green Loan
Coordinators.

Para Pihak
Sebagaimana diuraikan di atas.

Hubungan Afiliasi
Tidak terdapat hubungan afiliasi antara SEGPL,

SEGN B.V. dan SEGSD B.V. dengan SMBC and
DBS Bank selaku Pemberi Pinjaman Awal.

Namun demikian, SEGPL, SEGN B.V dan
SEGSD B.V. seluruhnya merupakan anak
perusahaan terkendali Perseroan.

Ruang Lingkup Perjanjian
(i) SEGPL dan SEGN BV memperoleh

pinjaman fasilitas A dengan jumlah
keseluruhan komitmen sebesar
USD96.100.000, dan

(ii) SEGSD B.V. memperoleh pinjaman
fasilitas B dengan jumlah keseluruhan
komitmen sebesar USD25.000.000.

Tanggal Jatuh Tempo Awal
5 tahun sejak tanggal perjanjian, yaitu pada
tanggal 18 Juni 2030.

Tujuan Penggunaan Dana

Ii. Fasilitas A dan Fasilitas B digunakan untuk
membiayai ekspansi kapasitas Proyek
Salak-Darajat melalui peningkatan
(retrofitting) unit panas bumi Unit 3 yang
ada di Star Energy Geothermal Darajat II
Ltd. (“SEGDIIL”) dan pembangunan unit
panas bumi baru Unit 7 di Star Energy
Geothermal Salak Pratama, Ltd(SEGSPL),
untuk tambahan kapasitas sebesar 47MW
(“Pekerjaan Konstruksi dan Retrofit”),
termasuk untuk memenuhi kewajiban
pembayaran berdasarkan Kontrak EPC,
dan

ii. Hanya untuk Fasilitas A untuk membayar

semua biaya, ongkos dan pengeluaran

(termasuk biaya bunga) yang timbul

sehubungan dengan fasilitas A.

Jaminan

Jaminan Fasilitas A:

i. gadai atas (i) 1.020 saham biasa atau
sejumlah saham lainnya yang setara dengan
10,2Yo (sepuluh koma dua persen) dari modal
saham yang ditempatkan dalam Star Energy
Geothermal Holdings (Salak-Darajat) B.V.
(SEGHSDBW) yang dimiliki oleh SEGPL
dan (ii) 980 saham biasa atau sejumlah
lainnya yang setara dengan 9,8” (sembilan
koma delapan) dari modal saham yang

ditempatkan dalam SEGHSDBV yang dimiliki
oleh Star Energy Geothermal Netherlands
B.V. (“SEGNBV),

i. biaya rekening yang diatur oleh hukum
Singapura sehubungan dengan Rekening
Transaksi (DSRA, rekening pendanaan lebih
DSRA dan rekening penampungan
pendapatan) yang dibuat pada atau sekitar
tanggal Perjanjian ini antara SEGPL, SEGN
B.V. dan Agen Jaminan, dan

iii. dokumen lain yang ditetapkan oleh Agen
Jaminan (Fasilitas A) dan SEGPL.

Jaminan Fasilitas B:

i. Akta Interkreditor Green Bond (Green Bond
Intercreditor Deed), yaitu akta interkreditor
tertanggal 5 November 2020 yang dibuat
sehubungan dengan Green Bonds oleh
(antara lain) Star Energy Geothermal Salak
Ltd. (SEGSL) dan SEGDIIL sebagai penerbit
bersama, SEGSD B.V. sebagai penjamin
induk, dan The Bank of New York Mellon
sebagai wali amanat (notes trustee):

i. Dokumen jaminan bersama (Common

Security Documents) istilah yang diberikan

terhadap istilah tersebut dalam Akta

Interkreditor Green Bond (Green Bond

Intercreditor Deed) (atau istilah yang setara

sebagaimana tercantum dalam ketentuan

dokumen pembiayaan atau utang yang
membentuk Green Bond Permitted Bond

Refinancing, jika terdapat Jaminan yang

dibuat sehubungan dengan Green Bond

Permitted Bond Refinancing yang dibagi

secara pari passu dengan Agen Jaminan

(Fasilitas B) sebagai Jaminan untuk Fasilitas

B) dan

setiap dokumen lain yang ditunjuk oleh Agen

Jaminan (Fasilitas B) dan SEGSD B.V.

Parties
As elaborated above.

Affiliated Relationship
There is no affiliation between SEGPL, SEGN

B.V. and SEGSD B.V. with SMBC and DBS Bank
as the Original Lenders.

However, SEGPL, SEGN B.V. and SEGSD B.V.
are all controlled companies of the Company.

Scope of Agreement

ii) SEGSD B.V. obtained facility B loan with
an aggregate commitment amount of
USD25,000,000.

Initial Maturity Date
5 years from the date of the agreement, which is
on 18 June 2030.

Purpose of use of funds

i. Facility A and Facility B is used to finance
the capacity expansion of the Salak-Darajat
Project through the retrofitting of its existing
Unit 3 geothermal unit at SEGDIIL and the
construction of a new Unit 7 geothermal unit
at SEGSPL, for an additional 47MW (the
“Construction and Retrofit Work”),
including by satisfying the payment
obligations under the EPC Contract, and

li. under Facility A only, to pay all fees, costs

and expenses (including interest expenses)

incurred in connection with the Facilities.

Securities

Facility A Securities:
i. a pledge of (i) 1.020 ordinary shares or any

other number of shares eguivalent to 10.296
(ten point two percent) of the issued share
capital of SEGHSDBV held by SEGPL and (ii)
980 ordinary shares or such other number of
shares eguivalent to 9.846 (nine point eight
percent) of the issued capital of SEGHSDBV,
held by SEGNBV:
Ii. account fees governed by Singapore law in
respect of the Transaction Accounts (DSRA,
DSRA overfunding account and revenue
escrow account) established on or about the
date of this Agreement by SEGPL, SEGN
B.V. and the Security Agent: and
any other documents specified by the
Security Agent (Facility A) and SEGPL.

Ti.

Facility B Securities:

i. Green Bond Intercreditor Deed which is the
intercreditor deed dated 5 November 2020
entered in connection with the Green Bonds
by (amongst others) SEGSL and SEGDIIL as
co-issuers, SEGSDBV as parent guarantor,
and The Bank of New York Mellon as notes
trustee,

ii. Common Security Documents is the term

under the Green Bond Intercreditor Deed (or

such eguivalent term under the terms of the
finance or debt documents constituting the

Green Bond Permitted Bond Refinancing if

any Security created in connection with the

Green Bond Permitted Bond Refinancing is
shared pari passu with the Security Agent
(Facility B) as Security for Facility B): and

iii. any other documents designated by the
Security Agent (Facility B) and SEGSD B.V.

4. | Dampak kejadian, informasi atau fakta material
tersebut terhadap kegiatan operasional, hukum,
kondisi keuangan, atau kelangsungan usaha
Emiten atau Perusahaan Publik

The impact of the event, information or material
facts on the operational activities, legal matters,
financial condition or business continuity of the
Issuer or Public Company

Pinjaman yang diterima oleh SEGPL, SEGN B.V dan
SEGSD B.V. berdasarkan Perjanjian Pinjaman
berdampak positif bagi likuiditas keuangan SEGPL,
SEGN B.V. dan SEGSD B.V. yang pada akhirnya
akan mendukung aktivitas operasional SEGPL,
SEGN B.V dan SEGSD B.V.

The financing received by SEGPL, SEGN B.V and
SEGSD B.V. pursuant to the Facility Agreement shall
positively impact the financial liguidity of SEGPL,
SEGN B.V and SEGSD B.V. which ultimately will
Support.the operational activities of SEGPL, SEGN
B.V and SEGSD B.V.

5. | Keterangan lain-lain

Other information

Transaksi ini:

a. bukan merupakan transaksi material
sebagaimana dimaksud dalam Peraturan
Otoritas Jasa Keuangan No.
17/POJK.04/2020 tentang Transaksi

Material dan Perubahan Kegiatan Usaha
karena nilai pinjaman tidak mencapai 2046
dari ekuitas Perseroan berdasarkan Laporan
Keuangan Konsolidasian Perseroan dan
entitas anak untuk tahun yang berakhir pada
31 Desember 2024:

b. merupakan transaksi afiliasi sebagaimana
dimaksud dalam POJK42/2020 karena para
Peminjam Fasilitas A secara tanggung
renteng memiliki kewajiban berdasarkan
Perjanjian Pinjaman kepada Pemberi
Pinjaman Awal. Namun demikian transaksi
afiliasi ini merupakan transaksi yang hanya
wajib dilaporkan kepada OJK karena
merupakan transaksi yang diterima dari
bank, berdasarkan Pasal 6 ayat (1) huruf (d)

POJK 42/2020,
c. Direksi dan Dewan Komisaris Perseroan
menyatakan bahwa transaksi ini tidak

mengandung benturan kepentingan dan baik
secara sendiri-sendiri maupun bersama-
sama, Direksi dan Dewan Komisaris
bertanggung jawab sepenuhnya atas
kebenaran dan kelengkapan informasi
sebagaimana diungkapkan di dalam laporan
ini dan setelah melakukan penelitian secara
seksama, menegaskan bahwa informasi
yang dimuat dalam laporan ini adalah benar
dan tidak ada fakta penting material dan
relevan yang tidak diungkapkan atau

informasi yang diberikan dalam laporan ini
menjadi tidak benar dan/atau menyesatkan,
Laporan Informasi atau Fakta Material ini
sebagaimana diwajibkan oleh POJK No:

transaksi afiliasi sebagaimana diwajibkan
oleh POJK No. 42/2020.

the Financial Services Authority Regulation
No. 17/POJK.04/2020 on the Material
Transactions and Changes in Business
Activities because the loan value does not
reach 2046 of the Company's eguity based
on the Consolidated Financial Statements of
the Company and its subsidiaries forthe year
ended 31 December 2024:

is an affiliated transaction as referred to in
OJK Reg 42/2020 as the Facility A
Borrowers are jointly and severally liable
under the Loan Agreement to the Original
Lender. However, this affiliated transaction is
a transaction that must only be reported to
OJK because it is a transaction received
from the bank, based on Article 6 paragraph
(1) letter (d) POJK 42/2020,
