Evaluasi kinerja Dewan Komisaris dan Direksi melibatkan Key Performance Indicators (KPI) yang telah

target yang telah ditetapkan oleh Perseroan, dengan membedakan antara pencapaian yang sesuai dan
tidak sesuai, serta strategi untuk mencapai tujuan tersebut. Dewan Komisaris dan Direksi memiliki kebijakan
untuk melakukan penilaian mandiri (self-assessment) guna mengukur kinerja mereka selama tahun
berjalan. Tujuan dari penilaian ini adalah untuk mengidentifikasi keunggulan yang telah dicapai dan area
yang perlu diperbaiki guna meningkatkan kinerja Dewan Komisaris dan Direksi. Penilaian kinerja Dewan
Komisaris kemudian disahkan dalam Rapat Umum Pemegang Saham (RUPS) untuk memperoleh
persetujuan dari Pemegang Saham. Selain self-assessment, Dewan Komisaris juga mengevaluasi kinerja
Direksi berdasarkan kemampuan anggota Direksi dalam menjalankan fungsi dan tugasnya. Indikator yang
dievaluasi mencakup kinerja keuangan dan non-keuangan sebagai bagian dari hasil kerja Direksi. Dengan
demikian, penilaian kinerja Dewan Komisaris dan Direksi merupakan proses holistik yang melibatkan
pengukuran KPI, evaluasi diri, dan penilaian eksternal untuk memastikan pencapaian tujuan dan
peningkatan kualitas kinerja organisasi.

Dalam rangka melindungi Pemegang Saham, Perseroan juga melaksanakan kebijakan yang berlaku umum

garis besar, orang dalam Perseroan yang mempunyai Informasi orang dalam dilarang untuk melakukan
pembelian atau penjualan, mempengaruhi pihak lain untuk melakukan pembelian atau penjualan, atau
memberi informasi kepada pihak manapun untuk tujuan melakukan pembelian atau penjualan atas efek
Perseroan atau efek perusahaan lain yang melakukan transaksi dengan Perseroan (dengan memperhatikan
pengecualian berdasarkan Peraturan Otoritas Jasa Keuangan No. 78/POJK.04/2017 tanggal 21 Desember
2017 tentang Transaksi Efek Yang Tidak Dilarang Bagi Orang Dalam). Perseroan memisahkan secara
tegas informasi dan data korporasi yang bersifat rahasia dengan yang bersifat publik. Perseroan
memastikan bahwa informasi dirilis ke pasar secara seimbang, adil, dan tepat waktu sehingga perdagangan
sekuritas dilakukan hanya berdasarkan keseimbangan informasi antara orang dalam dan masyarakat
umum.

anggota Dewan Komisaris dan Direksi akan membantu Perseroan untuk mencegah adanya benturan

setiap peluang yang dapat menimbulkan konflik kepentingan dengan mewajibkan bahwa Direksi, Dewan
Komisaris, Pejabat Eksekutif Perseroan, serta karyawan atau pihak-pihak terkait dengan Perseroan untuk
menghindari pengambilan keputusan dalam kondisi yang terdapat konflik kepentingan.

The Company has done various actions to achieve energy efficiency that includes the use of LED lamps, which
are more durable, provide optimal lighting, and consume less power. LED lamps are more ecofriendly due to
their advantages of being mercury-free, non-toxic, and producing less heat energy and a smaller carbon footprint
compared to other types of lamps. The Company also strives for energy efficiency in the office, particularly in the
use of air conditioners (AC). The Company conducts energy-saving awareness campaigns and adheres to
building operational schedule regulations. Monitoring and maintenance of facilities are also consistently carried
out to ensure all electronic equipment operates optimally.

The Company adheres to a two-tier governance system that separates the supervisory and management
functions of the Company, each handled by the Board of Commissioners and the Board of Directors. This
system also separates the roles of the President Commissioner and the President Director, the latter acting
as the Chief Executive Officer of the Company.

The performance evaluation of the Board of Commissioners and Board of Directors involves Key
Performance Indicators (KPIs) that have been agreed upon, focusing on the fulfillment or enhancement of
competencies. The approved achievements include set targets by the Company, distinguishing between
approved and disapproved achievements, along with strategies to attain those objectives. The Board of
Commissioners and the Board of Directors have a policy to conduct selfassessment to measure their
performance during the current year. The purpose of this assessment is to identify the strengths achieved
and areas that need improvement to enhance the performance of the Board of Commissioners and the
Board of Directors. The performance evaluation of the Board of Commissioners is then ratified in the
General Meeting of Shareholders (GMS) to obtain approval from the Shareholders. In addition to
selfassessment, the Board of Commissioners also evaluates the performance of the Board of Directors
based on the ability of its members to fulfill their functions and responsibilities. Indicators evaluated include
both financial and non-financial performance as part of the results of the Board of Directors work. Thus, the
performance evaluation of the Board of Commissioners and the Board of Directors is a holistic process
involving the measurement of KPIs, self-assessment, and external evaluation to ensure the achievement of
goals and the improvement of organizational performance.

individuals within the Company as well as with external parties. The Company is aware of the potential

members of the Board of Commissioners and Board of Directors. Transparency regarding the members of
the Board of Commissioners and Board of Directors will help the Company prevent any conflicts of interest
that may affect the continuity of the business. In general, the Company mitigates any opportunities that may
lead to conflicts of interest by requiring the Board of Directors, the Board of Commissioners, Executive
